  10. Hamarsoft Software License, Limited Warranty and Nondisclosure Agreement
  11. ========================================================================

  13. This legal document is an agreement between you, the end user, and Hamarsoft.
  14. By using the accompanied software programs you agree to be bound by the terms
  15. of this agreement, which includes the HAMARSOFT SOFTWARE LICENSE,
  16. LIMITED WARRANTY, NONDISCLOSURE AGREEMENT and ACKNOWLEDGEMENT.

  18. If you do not agree with the terms in this document, do not use the software
  19. and delete it from your disk(s).
  20. In order to preserve and protect Hamarsoft's rights, Hamarsoft does not sell
  21. any rights in Hamarsoft SOFTWARE. Instead, Hamarsoft grants the right to use
  22. Hamarsoft SOFTWARE by means of a software license. Hamarsoft specifically
  23. retains all rights with regard to and ownership of all Hamarsoft computer
  24. software.

  26. HAMARSOFT SOFTWARE LICENSE

  29. 1. Grant of license
  30. -------------------
  31. In consideration of payment of the license fee which is part of the price
  32. you paid for this product, and your agreement to abide by the terms and
  33. conditions of this license and the limited warranty, or,
  34. in case you are allowed to use this product and/or its accompanying
  35. materials on a trial basis as is the case with "Publicly Distributed"
  36. versions of Hamarsoft software, in consideration of your agreement to
  37. abide by the terms and conditions of this license and the limited
  38. warranty, assuming you will pay for this product within 30 days after
  39. receiving it, Hamarsoft, as licensor, grants you, the licensee,
  40. a nonexclusive right to use and display this copy of the Hamarsoft software 
  41. program, hereafter referred to as the software, on a single computer, that 
  42. is with a single CPU, at a single location as long as you comply with the
  43. terms of this license. Hamarsoft reserves all rights not expressly granted to
  44. the licensee.

  47. 2. Ownership of software
  48. ------------------------
  49. As the licensee, you own the recording and/or other media which were sent
  50. to you by Hamarsoft on which the software is originally or subsequently
  51. recorded or fixed. But an express condition of this license is, that
  52. Hamarsoft retains all rights with regard to and ownership of the software
  53. recorded on the original disk(s) and all subsequent copies of the software,
  54. regardless of the form or media in or on which the original and other copies
  55. may exist. This includes software which was obtained by electronic means.
  56. This license is not a sale or transfer of any kind of the original software or
  57. any copy.

  60. 3. Copy restrictions
  61. --------------------
  62. This software and the accompanying written materials, including this license
  63. agreement are copyrighted and registered. Unauthorized copying of the
  64. software, including software which has been modified, merged, or included with
  65. other software, or of the written accompanying materials is expressly 
  66. forbidden. You may be held legally responsible for any copyright infringement
  67. which is caused or encouraged by your failure to abide by the terms of this
  68. license.
  69. Subject to the restrictions above, you may make one (1) copy of the registered
  70. software for backup purposes solely. You must reproduce and include the 
  71. copyright notice on the backup copy.

  74. 4. Use restrictions
  75. -------------------
  76. You may distribute "Publicly Distributed" versions of Hamarsoft software by
  77. electronic or other means for as long as it and its accompanying materials, 
  78. if any, are not sold, are not bundled as part of a package, are distributed
  79. with this license agreement and all other accompanying materials and files 
  80. and all other provisions as set forth in this document are met.

  82. You are expressly forbidden to modify, adapt, translate, reverse-engineer,
  83. decompile or disassemble the software or make derivative works based on the
  84. software. You may not modify, adapt, or translate the accompanying written
  85. or non-written materials or create derivative works based on the accompanying
  86. written or non-written materials.

  90. 5. Transfer restrictions
  91. ------------------------
  92. This software is licensed only to you, the licensee, and may not be transferred
  93. to anyone else without the prior written consent of Hamarsoft. Any authorized
  94. transferee of the software shall be bound by the terms of this license and
  95. limited warranty. In no event may you transfer, assign, rent, lease, sell
  96. or otherwise dispose of the software on a temporary or permanent basis, except
  97. as expressly provided herein.

  100. 6. Termination
  101. --------------
  102. This license is effective until terminated. This license will terminate 
  103. automatically without notice from Hamarsoft if you fail to comply with any
  104. provisions of this license. Upon termination, you shall destroy the written and
  105. non-written materials and the software, including all copies made thereof, if
  106. any.

  110. 7. Miscellaneous
  111. ----------------
  112. Any dispute which might arise between the licensee and the licensor will be
  113. handled by a court of Hamarsoft's choice. Such a court need not be a local
  114. court. This license shall benefit Hamarsoft and any of its appointed 
  115. successors and assigns.

  118. LIMITED WARRANTY (disclaimer of warranty)
  119. =========================================
  120. The software and accompanying written materials (printed or non-printed), 
  121. including instructions on how-to-use, are provided "as-is" without warranty
  122. of any kind. Further, Hamarsoft does not warrant, guarantee or make any
  123. representations regarding the use, or the results of use, of the software or
  124. written materials in terms of correctness, accuracy, reliability, currentness
  125. or otherwise. The entire risk as to the results and performance of the software
  126. is assumed by you. If the software or written materials are defective, you,
  127. and not Hamarsoft or any of its dealers, distributors, agents or employees
  128. assume the entire cost of all necessary servicing, repair or correction.

  130. Hamarsoft warrants that, if the licensee received media directly originating
  131. from Hamarsoft, containing Hamarsoft products, these media are free from
  132. defects in material and workmanship under normal use and service for a period
  133. of ninety days (90 days) from the date of delivery as is evidenced by postal
  134. stamp. Hamarsoft hereby limits any implied warranties to any media to the
  135. period as stated above.

  137. Hamarsoft's entire liability and your exclusive remedy as to the disk(s) or
  138. other media shall be, at Hamarsoft's option, either (a) return of the purchase
  139. price or (b) replacement of the disk or other media which does not meet 
  140. Hamarsoft's Limited Warranty and which is returned to Hamarsoft postage
  141. prepaid with a copy of the invoice. If failure of the disk or other media has
  142. resulted from accident, abuse or misapplication, Hamarsoft shall have no 
  143. responsibility to replace the media or refund the purchase price. In the
  144. event of replacement of any media, the replacement media will be warranted
  145. for the remainder of the original warranty period or thirty (30) days, 
  146. whichever is the longer.

  148. The above is the only warranty of any kind, either express or implied, 
  149. statutory or otherwise,including but not limited to the implied warranties
  150. of merchantability and fitness for a particular purpose that is made by 
  151. Hamarsoft on this Hamarsoft product. No oral or written information or advice
  152. given by Hamarsoft, its dealers, distributors, agents or employees shall create
  153. a warranty or in any way increase the scope of this warranty and you may not
  154. rely on such information or advice. The warranty gives you specific legal 
  155. rights. You may have other rights which vary from state to state and from
  156. country to country.
  157. Neither Hamarsoft or anyone else who has been involved in the creation, 
  158. production or delivery of this product shall be liable for any direct, indirect
  159. consequential, or incidental damages (including, but not limited to, damages
  160. through loss of business profits, business interruption, loss of business or
  161. private information, and the like), arising out of the use or inability to use
  162. this product, even if Hamarsoft has been advised of the possibility of such
  163. damages.

  166. NONDISCLOSURE AGREEMENT

  169. This software incorporates certain technological innovations which are secret
  170. and may have been patented. Should you find out either on purpose or by
  171. accident about the internal operation of the software, you agree to inform
  172. Hamarsoft of this fact without delay. You are expressly forbidden to share any
  173. knowledge you may have about the internal operation of the software with 
  174. others. Furthermore, you agree not to incorporate or propagate these
  175. innovations in any form for whatever purpose whether for profit or not.
  176. Should the Hamarsoft Software License terminate for whatever reason while you
  177. have knowledge of the internal operation of the software, you agree to remain
  178. bound by the terms of this nondisclosure agreement.

  182. ACKNOWLEDGEMENT
  183. ===============

  185. You acknowledge that you have read this HAMARSOFT SOFTWARE LICENSE, LIMITED
  186. WARRANTY and NONDISCLOSURE AGREEMENT, understand them and agree to be bound
  187. by their terms and conditions. You also agree that the HAMARSOFT SOFTWARE
  188. LICENSE, LIMITED WARRANTY and NONDISCLOSURE AGREEMENT are the complete and
  189. exclusive statement of agreement between the parties and supersede all
  190. proposals or prior agreement oral or written, and any other communications
  191. between the parties relating to the subject matter of the HAMARSOFT SOFTWARE
  192. LICENSE, LIMITED WARRANTY and NONDISCLOSURE AGREEMENT.
