  4. DEBTOR shall maintain the collateral in good repair, ordinary 
  5. wear and tear excepted, and shall insure the same for its full 
  6. value. DEBTOR shall provide to secured party certificates of 
  7. insurance. SECURED PARTY shall be named as a loss payee on a long 
  8. form standard loss payable clause. Should DEBTOR fail to maintain 
  9. such coverage, SECURED PARTY may obtain the same and DEBTOR shall 
  10. pay SECURED PARTY for the same, together with interest at the 
  11. highest legal rate on the amounts advanced by the SECURED PARTY.

  14. Upon default, as is defined herein, SECURED PARTY shall have all 
  15. of the rights given to a secured party under the Uniform 
  16. Commercial Code, Article 9.
  17.

  19. Default shall be defined as:

  22. 1. Any failure to comply with any covenant of the indebtedness 
  23. secured by this agreement, including but not limited to a failure 
  24. to timely pay as provided;
  25.  
  26.  
  27. 2. The entry of a judgment, tax lien or other charge against the 
  28. DEBTOR which is not satisfied or superseded within thirty days of 
  29. inception;
  30.  
  31.  
  32. 3. Such other commercially reasonably reason that leads SECURED 
  33. PARTY to believe that its security is in peril.
  34.  
  35.  
  36. DEBTOR shall execute any and all financing statements or other 
  37. documents which are requested by SECURED PARTY and which SECURED 
  38. PARTY determines is necessary to perfect SECURED PARTY'S LIEN.

  41. DEBTOR appoints SECURED PARTY agent as its agent to file and any 
  42. all financing statements which may be necessary or required to 
  43. perfect SECURED PARTY's security interest, and DEBTOR authorizes 
  44. SECURED PARTY to execute the same for DEBTOR.

  47. This document represents the entire agreement between the 
  48. parties, and there are no agreements or representations which are 
  49. not stated herein. This agreement may not be modified unless it 
  50. is in writing and signed by both parties.
