Shareware Distribution Agreement

Developer authorizes the distributor to distribute software
products developed and owned by the developer in any manner consistent
with the Shareware concept. Said products shall be provided from time
to time as they are developed or upgraded. Distributors invoice for
each shareware product shall constitute its authority to distribute
that product under this agreememt
All software provided by developer, is and shall remain the
property of developer.
All software provided by developer is copyrighted and may not be
copied or distributed except as provided in this agreement.
Distributor will, upon receipt of an upgrade, begin copying the
upgraded version with in 30 days. Previous copies of earlier versions
may be shipped or updated at distributors option.
The term of this agreement shall be for five years from the date of
this agreement. Either party may cancel this agreement upon 30 days
written notice.
The distributor agrees that its distribution method and advertising
will clearly state:
1) The distributor is not selling the software.
2) The software is not free software.
3) The end user is urged to register the software if in fact
it is used.
4) The software is copyrighted.
5) Registration fees are to be mailed to developer.
The distributor may charge a fee for copying, duplication, mailing,
or other service actually provided by the distributor so long as that
fee is clearly identified and not disguised as being the price of the
software.
If the distributor maintains an electronic bulletin board,
distributor may post the software on the bulletin board. At the option
of the distributor, in order to reduce the size of the downloadable
file, the files related to the disk menu, auto installation, manual
printing, etc may be omitted. The manual however may not be omitted.
Distributor will not make any changes in the distribution disk. Eg.
delete files, modify files or modify any screens.
Distributor may add a batch file to the distribution disk if
necessary to maintain consistency of operation with distributors other
disks. Eg. a GO.BAT file, etc. This file, and its support files must
be self supporting and not eliminate or replace any files provided by
developer. This file may however display any of the developer's files
or print them to the printer.
