  4. DEFINITIONS.
  5.  
  6.    "Novell" means Novell, Inc., a Delaware corporation, 122 East
  7.    1700 South, Provo, Utah  84606.
  8.    "You and Your" means the person or business entity who acquires
  9.    this License to use this Software or for whom such License was
  10.    acquired.
  11.    "Software" collectively means all the software contemporaneously
  12.    distributed by Novell as the NetWare DOS Client Kit v.3.x.
  13.    "Documentation" means the manual(s) and any other printed
  14.    material provided by Novell (if any) with the Software.
  15.  
  16. LICENSE AND PROTECTION.
  17.  
  18.    License Grant.  Novell grants to You, subject to the following
  19.    terms and conditions, a nonexclusive, nontransferable right to
  20.    use the Software (in object code form only), and as a means of
  21.    promoting the Software the nonexeclusive right to reproduce,
  22.    distribute and use copies of the Software, provided you (1)
  23.    include a copy of this Software License Agreement on each copy
  24.    of media to which a supplemental driver is copied (this Software
  25.    License Agreement is contained in the "LICENSE.TXT" file
  26.    accompanying the Software), (2) do not receive any payment,
  27.    commercial benefit, other consideration for such reproduction or
  28.    distribution, or (3) modify the Software, this license agreement
  29.    or any copyright notices appearing on or in the Software.  All
  30.    rights not specifically granted to You are retained by Novell
  31.    and/or its Licensors.
  32.    Protection of Software.  You agree to take all reasonable steps
  33.    to protect the Software and Documentation from unauthorized
  34.    copying or use.  The Software source code represents and
  35.    embodies trade secrets of Novell and/or its licensors.  The
  36.    source code and embodied trade secrets are not licensed to You
  37.    and any modification, addition, or deletion is strictly
  38.    prohibited.  You agree not to disassemble, decompile, or
  39.    otherwise reverse engineer the Software in order to discover the
  40.    source code and/or the trade secrets contained in the source
  41.    code.
  42.    Ownership.  Ownership of, and title to, the Software and
  43.    Documentation (including any adaptations or copies) shall be
  44.    held by Novell and/or its licensors.  Copies are provided to You
  45.    only to allow You to exercise your rights under the License. 
  46.    Only the License is purchased by You.
  47.    Term.  This Agreement is effective from the date you obtain a
  48.    copy of the Software and will remain in force until terminated. 
  49.    You may terminate this License at any time by destroying the
  50.    Documentation and the Software together with all copies.  This
  51.    Agreement shall also automatically terminate if You breach any
  52.    of the terms or conditions of this Agreement.
  53.  
  54. LIMITED WARRANTY AND LIMITED LIABILITY.
  55.  
  56.    WITHOUT WARRANTY.  THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT
  57.    WARRANTY.
  58.  
  59.    DISCLAIMER OF WARRANTIES.  NOVELL MAKES NO WARRANTY,
  60.    REPRESENTATION OR PROMISE NOT EXPRESSLY SET FORTH IN THIS
  61.    AGREEMENT.  NOVELL DISCLAIMS AND EXCLUDES ANY AND ALL IMPLIED
  62.    WARRANTIES OF MERCHANTABILITY, TITLE AND FITNESS FOR A
  63.    PARTICULAR PURPOSE.  NOVELL DOES NOT WARRANT THAT THE SOFTWARE
  64.    OR DOCUMENTATION WILL SATISFY YOUR REQUIREMENTS OR THAT THE
  65.    SOFTWARE AND DOCUMENTATION ARE WITHOUT DEFECT OR ERROR OR THAT
  66.    THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED.  Some
  67.    states do not allow limitations on how long an implied warranty
  68.    lasts, so the above limitation may not apply to You.  This
  69.    warranty gives you specific legal rights which vary from state
  70.    to state.  Some states do not allow the exclusion or limitation
  71.    of incidental or consequential damages, so the above limitation
  72.    or exclusion may not apply to You.
  73.  
  74. GENERAL CONDITIONS.
  75.  
  76.    Governing Law.  This Agreement shall be governed by, and
  77.    interpreted in accordance with, the laws of the State of Utah of
  78.    the United States of America.  
  79.    Entire Agreement.  This Agreement sets forth the entire
  80.    understanding and agreement between You and Novell and may be
  81.    amended only in a writing signed by both parties.  NO VENDOR,
  82.    DISTRIBUTOR, DEALER, RETAILER, SALES PERSON OR OTHER PERSON IS
  83.    AUTHORIZED TO MODIFY THIS AGREEMENT OR TO MAKE ANY WARRANTY,
  84.    REPRESENTATION OR PROMISE WHICH IS DIFFERENT THAN, OR IN
  85.    ADDITION TO, THE REPRESENTATIONS OR PROMISES OF THIS AGREEMENT
  86.    ABOUT THE SOFTWARE.
  87.    Waiver.  No waiver of any right under this Agreement shall be
  88.    effective unless in writing, signed by a duly authorized
  89.    representative of Novell.  No waiver of any past or present
  90.    right arising from any breach or failure to perform shall be
  91.    deemed to be a waiver of any future right arising under this
  92.    Agreement.
  93.    Severability.  If any provision in this Agreement is invalid or
  94.    unenforceable, that provision shall be construed, limited,
  95.    modified or, if necessary, severed, to the extent necessary, to
  96.    eliminate its invalidity or unenforceability, and the other
  97.    provisions shall be interpreted to give effect to severed
  98.    provisions.
  99.    Export.  You agree that You will not knowingly, directly or
  100.    indirectly, without prior written consent, if required, of the
  101.    Office of Export Licensing of the U.S. Department of Commerce,
  102.    Washington D.C. 20230, export or transmit the Software to
  103.    Afghanistan, the Peoples Republic of China, or to any group Q,
  104.    S, W, Y, or Z country specified in the Export Administration
  105.    Regulations issued by the U.S. Department of Commerce or to any
  106.    country to which such transmission is restricted by applicable
  107.    regulations or statutes.
  108.    U.S. Government Restricted Rights.  Use, duplication, or
  109.    disclosure by the United States Government is subject to
  110.    restrictions as set forth in FAR  52.227-14 (June 1987)
  111.    Alternate III(g)(3) (June 1987), FAR  52.227-19 (June 1987), or
  112.    DFARS  52.227-7013 (c)(1)(ii) (June 1988), as applicable.
