  2.                             SOFTWARE LICENSE AGREEMENT
  3.                              - READ THIS BEFORE USE -
  4.  
  5. Please read this License carefully.
  6.  
  7. Grant of License.  Klos Technologies, Inc. ("KTI"), grants the
  8. extractor ("LICENSEE") the limited rights to possess and use
  9. the Klos Technologies, Inc. Software ("SOFTWARE"), on the terms and
  10. conditions specifically set out in this License.  SOFTWARE includes
  11. any files contained within the PPPSHARE distribution.
  12.  
  13. Term.   This License is effective as of the time LICENSEE receives
  14. the SOFTWARE, and shall continue in effect until LICENSEE ceases all
  15. use of the SOFTWARE and returns or destroys all copies thereof, or
  16. until automatically terminated upon the failure of LICENSEE to
  17. comply with any of the terms of this License.
  18.  
  19. LICENSEE Agreement.
  20. *       LICENSEE is granted a license to use the SOFTWARE for its intended
  21. purposes.  LICENSEE agrees that the SOFTWARE will be used solely
  22. for LICENSEE's internal purposes.
  23. *       LICENSEE may, without charge, reproduce and distribute copies
  24. of PPPSHARE and use copies of the FILES provided:
  25.      1) LICENSEE does not make copies of PPPSHARE or the FILES publically
  26. available, either on a BBS, web site, FTP site or other such public forum;
  27.      2) LICENSEE does not receive any direct or indirect payment, commercial
  28. benefit, or other consideration for the reproduction, distribution or use of
  29. the FILES or PPPSHARE;
  30.      3) LICENSEE does not distribute PPPSHARE as part of or in combination
  31. with any other software or hardware product; and,
  32.      4) LICENSEE distributes only PPPSHARE exactly AS IS, without change,
  33. addition or deletion to PPPSHARE or any of the FILES enclosed.
  34. *       Except as expressly provided in this License, LICENSEE may not
  35. use, copy, disseminate, modify, reverse engineer, distribute, sub-
  36. license, sell, rent, lease, lend, give or in any other way transfer,
  37. by any means or in any medium, including telecommunications,
  38. the SOFTWARE.  LICENSEE will use its best efforts and take all
  39. reasonable steps to protect the SOFTWARE from unauthorized use,
  40. copying or dissemination, and will maintain all proprietary
  41. notices intact.

  43. LIMITED WARRANTY.  EXCEPT AS RESTRICTED BY LAW,
  44. THE FILES ARE PROVIDED "AS IS" WITHOUT WARRANTY
  45. OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING
  46. BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
  47. TITLE OR FITNESS FOR A PARTICULAR PURPOSE.  THE
  48. FILES MAY NOT BE USED IN ANY APPLICATION WHERE
  49. FAILURE OF THE FILES MAY CAUSE HARM OR INJURY TO
  50. ANY HUMAN.
  51.  
  52. DISCLAIMER.  GRANT OF LICENSE FOR THE SOFTWARE DOES
  53. NOT INCLUDE ANY CONSIDERATION FOR ASSUMPTION
  54. OF RISK BY KTI, AND KTI DISCLAIMS ANY AND ALL
  55. LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
  56. DAMAGES ARISING OUT OF THE USE OR OPERATION OR
  57. INABILITY TO USE THE SOFTWARE, OR ARISING FROM
  58. THE NEGLIGENCE OF KTI, OR ITS EMPLOYEES,
  59. OFFICERS, DIRECTORS, CONSULTANTS OR DEALERS,
  60. EVEN IF ANY OF THESE PARTIES HAVE BEEN ADVISED
  61. OF THE POSSIBILITY OF SUCH DAMAGES.
  62. FURTHERMORE, LICENSEE INDEMNIFIES AND AGREES
  63. TO HOLD KTI HARMLESS FROM SUCH CLAIMS.  THE
  64. ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE
  65. OF THE  SOFTWARE IS ASSUMED BY THE LICENSEE.
  66. THE WARRANTIES EXPRESSED IN THIS LICENSE ARE
  67. THE ONLY WARRANTIES MADE BY KTI, AND ARE IN
  68. LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR
  69. IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
  70. WARRANTIES OF MERCHANTABILITY AND OF FITNESS
  71. FOR A PARTICULAR PURPOSE.
  72. THIS WARRANTY GIVES YOU SPECIFIED LEGAL RIGHTS,
  73. AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH
  74. VARY FROM JURISDICTION TO JURISDICTION.
  75.  
  76. General.  This License is the complete and exclusive statement of
  77. the parties' agreement.  Should any provision of this License be
  78. held to be invalid by any court of competent jurisdiction, that
  79. provision will be enforced to the maximum extent permissible, and
  80. the remainder of the License shall nonetheless remain in full force
  81. and effect.  This License shall be controlled by the laws of the State
  82. of New Hampshire, and the United States of America.
  83.  
  84. U.S. GOVERNMENT RESTRICTED RIGHTS
  85. The SOFTWARE and documentation are provided with RESTRICTED
  86. RIGHTS.  Use, duplication, or disclosure by the Government is
  87. subject to restrictions set forth in subparagraph (c)(1)(ii) of the
  88. Rights in Technical Data and Computer Software clause of
  89. DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the
  90. Commercial Computer Software -- Restricted Rights at 48 CFR
  91. 252.227-19, as applicable.
