  1. MYNETMEDIA.COM, Inc. LICENSE AGREEMENT AND WARRANTY DISCLAIMER

  3. REDISTRIBUTION OF SOFTWARE NOT PERMITTED

  5. License for MyNetMedia.com, Inc.'s Software Product(s)
  6.  
  7. IMPORTANT, READ CAREFULLY: By clicking on the "Accept" button or by
  8. opening the sealed package(s) containing the MyNetMedia.com Software
  9. ("Software"), You agree to be and are hereby bound by the terms of this
  10. License Agreement ("Agreement"). If you do not agree to the terms of
  11. this Agreement, you must promptly destroy all copies of the Software and
  12. accompanying documentation ("Documentation").

  15. I. GRANT OF LICENSE:

  17. MyNetMedia.com, Inc. and its suppliers and licensors hereby grant you a
  18. non-exclusive license to use the Software and Documentation subject to
  19. the following terms: 
  20.  
  21. You may: (i) use the Software on any single computer; (ii) use the
  22. Software on a second computer so long as the first and second computers
  23. are not used simultaneously; and (iii) copy the Software for back-up,
  24. archival purposes provided any copy must contain all of the original
  25. Software's proprietary notices. 
  26.  
  27. You may not: (i) permit other individuals to use the Software except
  28. under the terms listed above; (ii) modify, translate, reverse engineer,
  29. decompile, disassemble (except to the extent that this restriction is
  30. expressly prohibited by law) or create derivative works based upon the
  31. Software or Documentation; (iii) copy the Software or Documentation
  32. (except for back-up purposes); (iv) resell, rent, lease, transfer, or
  33. otherwise transfer rights to the Software or Documentation; or (v)
  34. remove any proprietary notices or labels on the Software or
  35. Documentation.

  38. II. SOFTWARE:

  40. If you receive the first copy of the Software electronically and a
  41. second copy on media the second copy may be used for archival purposes
  42. only and may not be transferred to or used by any other person. This
  43. license does not grant you any right to any enhancement or update.

  46. III. TITLE: 
  47.  
  48. Title, ownership, rights, and intellectual property rights in and to the
  49. Software and Documentation shall remain in MyNetMedia.com, Inc. and/or
  50. its suppliers. The Software is protected by the copyright laws of the
  51. United States and international copyright treaties. Title, ownership
  52. rights and intellectual property rights in and to the content accessed
  53. through the Software including any content contained in the Software
  54. media demonstration files is the property of the applicable content
  55. owner and may be protected by applicable copyright or other law. This
  56. license gives you no rights to such content.

  59. IV. DISCLAIMER OF WARRANTY:

  61. THE SOFTWARE AND DOCUMENTATION ARE PROVIDED AS IS WITHOUT WARRANTY OF
  62. ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,
  63. MYNETMEDIA.COM, INC. FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT
  64. LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
  65. PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF
  66. THE USE OR PERFORMANCE OF THE SOFTWARE AND DOCUMENTATION REMAINS WITH
  67. YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
  68. SHALL MYNETMEDIA.COM, INC. OR ITS SUPPLIERS BE LIABLE FOR ANY
  69. CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER
  70. DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  71. BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
  72. OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR
  73. INABILITY TO USE THE PRODUCT, EVEN IF MYNETMEDIA.COM, INC. HAS BEEN
  74. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME
  75. STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
  76. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION
  77. MAY NOT APPLY TO YOU.

  80. V. TERMINATION:

  82. This license shall terminate automatically if you fail to comply with
  83. the limitations described in this Agreement.  No notice shall be
  84. required from MyNetMedia.com, Inc. to effectuate such termination. On
  85. termination you must destroy all copies of the Software and
  86. Documentation.

  89. VI. U.S. GOVERNMENT RESTRICTED RIGHTS AND EXPORT RESTRICTIONS:

  91. The Software is provided with RESTRICTED RIGHTS. Use, duplication, or
  92. disclosure by the Government is subject to restrictions as set forth in
  93. subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer
  94. Software clause of DFARS 252.227- 7013 or subparagraphs (c)(i) and (2)
  95. of the Commercial Computer Software-Restricted Rights at 48 CFR
  96. 52.227-19, as applicable. Manufacturer is MyNetMedia.com, Inc., 12462 S.
  97. Lopez Pl., Tustin, CA 92872. You acknowledge that none of the Software
  98. or underlying information or technology may be downloaded or otherwise
  99. exported or re-exported into (or to a national or resident of) Angola,
  100. Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any other country
  101. to which the U.S. has embargoed goods; or anyone on the U.S. Treasury
  102. Department's list of Specially Designated Nationals or the U.S. Commerce
  103. Department's Table of Denial Orders. By using the Software, you are
  104. agreeing to the foregoing, and are representing and warranting that you
  105. are not located in or under the control of a national or resident of any
  106. such country or on any such list.

  109. VII. GOVERNING LAW:

  111. This License Agreement shall be governed by the laws of the State of
  112. California, without regard to conflicts of law provisions, and you
  113. consent to the exclusive jurisdiction of the state and federal courts
  114. sitting in the State of California. Any and all unresolved disputes
  115. arising under this Agreement shall be submitted to arbitration in the
  116. State of California. The arbitration shall be conducted under the rules
  117. then prevailing of the American Arbitration Association. The award of
  118. the arbitrator shall be binding and may be entered as a judgment in any
  119. court of competent jurisdiction. This License Agreement will not be
  120. governed by the United Nations Convention of Contracts for the
  121. International Sale of Goods, the application of which is hereby
  122. expressly excluded.

  125. VIII. ENTIRE AGREEMENT:

  127. This Agreement constitutes the complete and exclusive agreement between
  128. MyNetMedia.com, Inc. and you with respect to the subject matter hereof
  129. and supersedes all prior oral or written understandings, communications
  130. or agreements not specifically incorporated herein. This Agreement may
  131. not be modified except in a writing duly signed by an authorized
  132. representative of MyNetMedia.com, Inc. and you.
