READ THE TERMS OF THIS LICENSE AGREEMENT ("LICENSE")CAREFULLY BEFORE USING INTELLICAD 2000 BY CADOPIA ("SOFTWARE"). THIS IS A LEGAL AGREEMENT BETWEEN YOU ("YOU") AND CADOPIA.COM LLC ("CADopia") FOR THE SOFTWARE INTELLICAD 2000 BY CADOPIA. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS LICENSE AGREEMENT, DO NOT USE THE SOFTWARE PRODUCT.
1. License to use
CADopia grants you a non-exclusive and non-transferable limited license for the internal use only of a single copy of the Software on a single computer, subject to the terms and conditions of this License Agreement. The Software is not-for-resale.
You have a license to use the Software only. You agree not to reverse-engineer, disassemble, or decompile the Software. The Software may not be redistributed, sold, rented, or leased. You may not tamper with any proprietary notices or marks from the Software.
2. Restrictions
The Software is confidential and copyrighted. The Software is protected by international copyright treaties and laws, as well as other intellectual property laws and treaties. No right, title or interest in or to any trademark, service mark, logo or trade name of CADopia is granted under this agreement.
3. Export Control
By using this Software and the CADopia website, you agree that you are complying with applicable local and international laws, including but not limited to the export and import regulations of other countries.
Diversion of technology and software contrary to U.S. law is prohibited. You agree and certify that none of the technology and software are being, or will be acquired for, shipped, transferred or reexported directly or indirectly, to proscribed or embargoed countries or thier nationals, nor will be used for purposes prohibited by U.S. export laws. Countries currently subject to US embargo are: Cuba, Iran, Iraq, Libya, North Korea, Syria and the Sudan. This list is subject to change and you are responsible for complying with the current list set forth in the Export administration Regulations.
4. Disclaimer
THE SOFTWARE IS PROVIDED "AS-IS". CADOPIA MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY OR SUITABILITY OF THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE.
5. Entire Agreement
This License Agreement constitutes the entire agreement between CADopia and You and supersedes any and all prior agreements, whether written or oral. This license agreement shall not be modified except by a written agreement executed by an authorized representative of CADopia.com LLC and You.
6. Responsibility
YOU HAVE SOLE RESPONSIBILITY FOR ADEQUATE PROTECTION AND BACKUP OF DATA AND/OR EQUIPMENT USED IN CONNECTION WITH THIS PRODUCT AND ASSCIATED WEBSITE AND WILL NOT MAKE A CLAIM AGAINST CADOPIA OR ANY OF ITS
SUPPLIERS FOR LOST DATA, INACCURATE OUTPUT AND LOST PROFITS FROM USE OF THIS WEBSITE. YOU AGREE TO HOLD CADOPIA AND ITS SUPPLIERS HARMLESS FROM ANY CLAIMS BASED ON USE OF THE CADOPIA WEBSITE AND THE SOFTWARE.
7. Software Warranty
INTELLICAD 2000 BY CADOPIA COMES WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. USE THE PRODUCT ENTIRELY AT YOUR OWN RISK. BY ACCEPTING THIS AGREEMENT, YOU AGREE TO BEAR ALL COSTS RESULTING FROM THE USE OF THE SOFTWARE.
8. GENERAL
CADopia reserves the right to revise the above policies any time. All disputes will be under the jurisidction of the California state and controlling US federal law.
