  1. mBED END USER LICENSE AGREEMENT
  2. REDISTRIBUTION NOT PERMITTED
  3. (Electronic Version)

  5. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING TO
  6. BE BOUND BY THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF
  7. THE TERMS OF THIS AGREEMENT, CLICK THE "NO"
  8. BUTTON AND THE INSTALLATION PROCESS WILL NOT CONTINUE.

  10.  
  11. 1.    GRANT OF LICENSE.  Subject to payment of applicable
  12. license fees, mBED Software, Inc., San Francisco,
  13. California ("mBED") grants you a non-exclusive license to
  14. use this mBED software (the "Software") and any
  15. accompanying documentation ("Documentation"), in the manner
  16. provided in Section 2 below. 
  17.  
  18. 2.    TERMS APPLICABLE TO LICENSE GRANTS:
  19.  
  20. YOU MAY:
  21.  
  22. A.    Use the Software on any single computer.
  23.  
  24. B.    Use the Software on a network, provided that each person
  25. accessing the Software through the network must have a copy
  26. licensed to that person.
  27.  
  28. C.    Use the Software on a second computer so long as only
  29. one copy is used at a time.
  30.  
  31. D.    Copy the Software for archival purposes, provided that
  32. any copy must contain all of the original Software's
  33. proprietary notices.
  34.  
  35. E.    If you have purchased licenses for multiple copies of
  36. the Software, make the number of copies of Software (but
  37. not the Documentation) which the invoice states you have
  38. paid for, provided that each copy made must contain all of
  39. the original Software's proprietary notices, including a
  40. complete reiteration of this End User License Agreement.
  41.  
  42. YOU MAY NOT:
  43.  
  44. A.    Permit other individuals to use the Software except
  45. under the terms listed above.
  46.  
  47. B.    Permit concurrent use of the Software.
  48.  
  49. C.    Decompile or disassemble the Software or in any manner
  50. reverse engineer the Software or back develop algorithms
  51. for the Software for any purpose whatsoever.
  52.  
  53. D.    Copy or permit copying of the Software, other than as
  54. specified above.
  55.  
  56. E.    Remove any proprietary notices from the Software.
  57.  
  58. F.    Prepare modifications or adaptations of the Software or
  59. create derivative works based on the Software.
  60.  
  61. G.    Lease, sell, license, distribute or otherwise transfer
  62. interests in the Software.
  63.  
  64. H.    Bundle or otherwise combine the Software with any other
  65. software or product for any purpose.
  66.  
  67. 3.    LIMITED WARRANTY.  mBED warrants that for a period of
  68. sixty (60) days from the date of acquisition, the Software,
  69. if operated as directed, will substantially achieve the
  70. functionality described in the Documentation.  mBED's sole
  71. liability for any breach of this warranty shall be, in
  72. mBED's sole discretion: (i) to replace the defective
  73. Software; or (ii) to advise you how to achieve
  74. substantially the same functionality with the Software as
  75. described in the Documentation through a procedure
  76. different from that set forth in the Documentation; or
  77. (iii) if the above remedies are impracticable, to refund
  78. the license fee you paid for the Software.  Repaired,
  79. corrected or replaced Software and Documentation shall be
  80. covered by this limited warranty for the period remaining
  81. under the original warranty , or if longer, for thirty (30)
  82. days after the date (a) of delivery or
  83. downloading/installation of the repaired or replaced
  84. Software, or (b) mBED advises you how to operate the
  85. Software so as to achieve the functionality described in
  86. the Documentation.  Only if you inform mBED of your problem
  87. with the Software during the applicable warranty period and
  88. provide evidence of the date you purchased a license to the
  89. Software will mBED be obligated to honor this warranty. 
  90. mBED will use reasonable commercial efforts to repair,
  91. replace, advise or refund pursuant to the foregoing
  92. warranty within 30 days of being so notified.
  93.  
  94. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE
  95. BY mBED OR ITS SUPPLIERS.  mBED MAKES NO OTHER EXPRESS
  96. WARRANTY AND NO WARRANTY OF NONINFRINGEMENT OF THIRD
  97. PARTIES' RIGHTS.  THE DURATION OF IMPLIED WARRANTIES,
  98. INCLUDING WITHOUT LIMITATION THE WARRANTIES OF
  99. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IS
  100. LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD.  SOME
  101. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN
  102. IMPLED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT
  103. APPLY TO YOU.  NO mBED DEALER, RETAILER, DISTRIBUTOR, AGENT
  104. OR EMPLOYEE IS AUTHORIZED TO MAKE ANY MODIFICATIONS,
  105. EXTENSIONS, OR ADDITIONS TO THIS WARRANTY.  If any
  106. modifications are made to the Software by you during the
  107. warranty period or if you violate the terms of this
  108. Agreement, then this warranty shall immediately be
  109. terminated.  This warranty shall not apply if the Software
  110. is used on or in conjunction with hardware or software
  111. other than the unmodified version of the hardware and
  112. software with which the Software was designed to be used as
  113. described in the Documentation,  THIS WARRANTY GIVES YOU
  114. SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER LEGAL RIGHTS
  115. THAT VARY BY JURISDICTION.
  116.  
  117. 4.    TITLE.  Title, ownership rights, and intellectual
  118. property rights in the Software shall remain exclusively in
  119. mBED.  The Software is protected by copyright and other
  120. intellectual property laws and by international treaties.  
  121.  
  122. 5.    TERMINATION.  This license is effective until
  123. terminated.  You may terminate this license at any time by
  124. destroying the Software, the Documentation, and all copies
  125. thereof.  This license will terminate automatically upon
  126. your failure to comply with the restrictions set forth
  127. above.  Upon termination of this license, you agree to
  128. destroy the Software, the Documentation, and all copies
  129. thereof.
  130.  
  131. 6.    MISCELLANEOUS.  This Agreement represents the complete
  132. agreement between the parties pertaining to the subject
  133. matter hereof, and supersedes any and all written or oral
  134. agreements previously existing between the parties with
  135. respect to such subject matter.  If any provision of this
  136. Agreement is held to be unenforceable, such provision shall
  137. be reformed only to the extent necessary to make it
  138. enforceable.  This Agreement shall be governed by
  139. California law (except for conflict of law provisions). 
  140. The application of the United Nations Convention of
  141. Contracts for the International Sale of Goods is expressly
  142. excluded.  If you have any questions regarding the nature

  147. 7.  LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND
  148. UNDER NO LEGAL THEORY, TORT, CONTRACT OR OTHERWISE, SHALL
  149. mBED OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY
  150. OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR
  151. CONSEQUENTIAL DAMAGES OR LOSS OF ANY CHARACTER INCLUDING
  152. WITHOUT LIMITATION, DAMAGES FOR COMPUTER FAILURE OR
  153. MALFUNCTION, OR ANY OTHER LOSSES THAT RESULT FROM THE USE
  154. OF THE SOFTWARE OR RELATED DOCUMENTATION, EVEN IF mBED or
  155. any mBED AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE
  156. POSSIBILITY THAT mBED'S TOTAL LIABILITY FOR ALL DAMAGES,
  157. LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT,
  158. INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT PAID
  159. BY YOU FOR THE SOFTWARE.  SOME STATES DO NOT ALLOW THE
  160. EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
  161. DAMAGES, SO THAT THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  163. 8.    U.S. GOVERNMENT END USER.  The Software is a "commercial
  164. item," as that term is defined in 48 C.F.R. 2.101 (Oct.
  165. 1995), consisting of "commercial computer software" and
  166. "commercial computer software documentation", as such terms
  167. are used in 48 C.F.R. 12.212 (Sept. 1995).  Consistent with
  168. 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1, users acquire
  169. the Software with only those rights set forth herein.
  170.  
  171. 9.    EXPORT CONTROLS.  None of the Software or underlying
  172. information or technology may be downloaded or otherwise
  173. exported or reexported (i) into (or to a national or
  174. resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  175. Iran, Syria or any other country to which the U.S. has
  176. embargoed goods; or (ii) to anyone on the U.S. Treasury
  177. Department's list of Specially Designated Nationals or the
  178. U.S. Commerce Department's Table of Denial Orders.  By
  179. downloading or using the Software, you are agreeing to the
  180. foregoing and you are representing and warranting that you
  181. are not located in, under the control of, or a national or
  182. resident of any such country or on any such list.
