  10.             DEE SOFTWARE, INC. REGISTERED PRODUCTS LICENSE AGREEMENT

  12. If you do not agree to the terms of this agreement, and you purchased this
  13. REGISTERED VERSION from Dee Software, Inc. or an authorized dealer, then
  14. promptly return this disk package and the other items (including written
  15. materials, binders or other containers, and hardware (if any), that are part
  16. of this product, to the place where you obtained them for a full refund.
  17. Otherwise, you must destroy this disk, all copies, modified copies, and
  18. documentation accompanying it.

  21. 1.  This legal agreement is between you, the end user, and Dee Software, Inc.
  22.     (hereinafter known as Dee Software).
  23.  
  24. 2.  If you have not paid the registration fee, or did not purchase this as a
  25.     registered version from Dee Software, or its authorized dealers, then you
  26.     are granted a limited license as described in the Dee Software, Inc.
  27.     Shareware Products License, included herein.
  28.  
  29.     If you registered this shareware package, or purchased a registered version
  30.     from Dee Software or an authorized dealer, then in consideration of payment
  31.     of the LICENSE fee, which is part of the price you paid for this product,
  32.     DEE SOFTWARE, as Licensor, grants to you, the Licensee, a nonexclusive
  33.     right to use and display this copy of a DEE SOFTWARE program (hereinafter
  34.     the "SOFTWARE") on a single computer (i.e., with a single CPU) at a single
  35.     location.  If the single computer on which you use the SOFTWARE is a
  36.     multiuser system, then you must purchase a License for each user on that
  37.     system.  Dee Software reserves all rights not expressly granted to LICENSEE.

  39. 3.  As the LICENSEE, you own the magnetic or other physical media onto which
  40.     the software is originally or subsequently recorded or fixed, but Dee
  41.     Software retains right, title, and ownership of the SOFTWARE recorded on
  42.     the original disk copy(ies) and all subsequent copies of the SOFTWARE,
  43.     regardless of the form or media in or on which the original and other
  44.     copies may exist.  This License is not a sale of the original SOFTWARE nor
  45.     of any copy.

  47. 4.  You may not modify, adapt, translate, reverse engineer, decompile,
  48.     disassemble, or create derivative works based on the SOFTWARE.  You may not
  49.     modify, adapt, translate, or create derivative works based on the written
  50.     materials without the written consent of Dee Software.

  52. 5.  This SOFTWARE is licensed only to you, the LICENSEE, and may not be
  53.     transferred to anyone without the prior written consent of Dee Software,
  54.     except when the terms set forth in the "Dee Software, Inc. Shareware
  55.     Products License" are complied with.  Any transferee of the SOFTWARE shall
  56.     be bound by the terms and conditions of this Agreement. In no event may you
  57.     transfer, assign, rent, lease, sell, or otherwise dispose of the SOFTWARE
  58.     on a temporary basis except as expressly provided herein.

  60. 6.  Dee Software may create, from time to time, updated versions of this
  61.     SOFTWARE.  At its option, Dee Software may make such updates available
  62.     to the LICENSEE and transferees who have a registered version and have
  63.     paid the update fee to Dee Software.

  65. 7.  DISCLAIMER OF WARRANTY AND LIMITED WARRANTY
  66.  
  67.     The software and accompanying written materials (including instructions for
  68.     use) are provided "as is" without warranty of any kind. Further, Dee
  69.     Software does not warrant, guarantee, nor make any representations
  70.     regarding the use, or the results of the use, of the software or written
  71.     materials in terms of correctness, accuracy, reliability, currentness, or
  72.     otherwise. The entire risk as to the results, and performance of the
  73.     software is assumed by you. If the software or written materials are
  74.     defective you, and not Dee Software or its dealers, distributors, agents or
  75.     employees, assume the entire cost of all necessary servicing, repair, or
  76.     correction.

  78.     If you purchased this disk from Dee Software, then Dee Software warrants
  79.     to the original LICENSEE that (a) the disk(s) which the SOFTWARE is
  80.     recorded is(are) free from defects in materials and workmanship under
  81.     normal use and service for a period of ninety (90) days from the date of
  82.     delivery as evidenced by a copy of the receipt, and (b) the hardware
  83.     accompanying the SOFTWARE is free from defects in materials and workmanship
  84.     under normal use and service for a period of one (1) year from the date of
  85.     delivery as evidenced by a copy of the receipt.  Further, Dee Software
  86.     hereby limits the duration of any implied warranty(ies) on the disk(s) or
  87.     such hardware to the respective periods stated above.  Some states do not
  88.     allow limitations on duration of an implied warranty, so the above
  89.     limitation may not apply to you.  Should you reside in one of such
  90.     progressive states, you must immediately destroy any written materials,
  91.     documentation, and all copies of this SOFTWARE, including modified copies,
  92.     if any.

  94.     Dee Software's entire liability and your exclusive remedy as to the disk(s)
  95.     or hardware shall be, at DEE SOFTWARE's option, either (a) return of the
  96.     purchase price or (b) replacement of the disk(s) or hardware that does not
  97.     meet Dee Software's Limited Warranty and which is returned to Dee Software
  98.     with a copy of the receipt.  If failure of the disk(s) or hardware has
  99.     resulted from accident, abuse, or misapplication, Dee Software shall have
  100.     no responsibility to replace the disk(s) or hardware nor to refund the
  101.     purchase price.  Any replacement disk(s) or hardware will be warranted for
  102.     the remainder of the original warranty period or thirty (30) days,
  103.     whichever is longer.

  105.     The above are the only warranties of any kind, either expressed or implied,
  106.     including but not limited to the implied warranties of merchantability and
  107.     fitness for a particular purpose, that are made by Dee Software on this
  108.     Dee Software product. No oral or written information nor advice given by
  109.     Dee Software, its dealers, distributors, agents, or employees shall create
  110.     a warranty or in any way increase the scope of this warranty, and you may
  111.     not rely on any such information or advice. This warranty gives you
  112.     specific legal rights, you may have other rights, which vary from state to
  113.     state.

  115.     Neither Dee Software nor anyone else who has been involved in the creation,
  116.     production, or delivery of this product shall be liable for any
  117.     direct, indirect, consequential, inconsequential, or incidental damages
  118.     (including damages for loss of business profits, loss of potential business
  119.     business profits, business interruption, loss of business information, and
  120.     the like) arising out of the use or abuse of or inability to use such
  121.     product even if Dee Software has been advised of the possibility of such
  122.     damages. Because some political entities do not allow the exclusion or
  123.     limitation of liability for consequential or incidental damages, the above
  124.     limitation may may not apply to you. Should you reside in such a
  125.     political entity, then you must immediately destroy all written and printed
  126.     materials and destroy all copies of this software, including modified
  127.     copies, if any.

  129. 8.  U.S. GOVERNMENT RIGHTS RESTRICTED
  130.  
  131.     This SOFTWARE and documentation are provided with RESTRICTED RIGHTS.  Use,
  132.     duplication, or disclosure by the Government of the United States of
  133.     America, or by any of its political subdivisions, is expressly forbidden.
  134.  
  135. 9.  If any provision of this agreement is held to be unenforceable, the
  136.     enforceability of the remaining provisions shall not be affected.
  137.  
  138. 10. Unless specifically covered by another license agreement, this is the
  139.     complete agreement between us and it supersedes any information you
  140.     received relating to the subject matter of this agreement.
  141.  
  142. 11. This License is effective until terminated.  This License will terminate
  143.     automatically without notice from Dee Software if you fail to comply with
  144.     any provision of this License.  Upon termination you must destroy the
  145.     written material and all copies of the SOFTWARE, including modified copies,
  146.     if any.

  148. 12. Violation of any of these terms is(are) ground(s) for legal action by Dee
  149.     Software, Inc. for violation of its Copyright(s).

  151. 13. By using, copying, or distributing the aforementioned software, you agree
  152.     to the statements above.
