BOY SCOUTS OF CANADA
ENGLAND DISTRICT COUNCIL
BY-LAWS
ARTICLE I
AUTHORITY
1. BOY SCOUTS OF CANADA is a youth serving organization in the field of
recreation and education. Its purpose is to enable Canadian youth to
be actively involved in a Scouting environment of fun, fellowship and
achievement so as to help develop current generations better able to
meet the challenge of the future.
2. BOY SCOUTS OF CANADA was incorporated on June 12, 1914, by an Act of
Parliament of Canada, and the affairs of the Boy Scouts of Canada are
administered and managed by the National Council established under
the Act.
3. A booklet entitled, "By-laws, Policies and Procedures", Boy Scouts of
Canada, published by the National Council sets out policy, organization
and rules of the Boy Scouts of Canada.
4. Boy Scouts of Canada, England District Council obtained its authority
to operate from the South Saskatchewan Regional Council.
ARTICLE II
NAME
1. The Name of the Council shall be:
"BOY SCOUTS OF CANADA, ENGLAND DISTRICT COUNCIL"
ARTICLE III
PURPOSE
1. The purpose of the District Council shall be as follows:
a) supporting and strengthening sponsoring institutions, groups of
citizens, youth members and adult leaders in the use of the
Scouting program.
b) fostering the growth and development of Scouting within the
area serviced.
c) providing direct service, support and counsel to the area
serviced.
d) maintaining close relations and working co-operatively with
other Scout Councils, local government and local organizations.
e) to determine needs and develop innovations to meet challenge of
the future.
ARTICLE IV
JURISDICTION
1. The jurisdiction of the District Council is determined by South
Saskatchewan Regional Council and may be altered from time to time to
meet the needs of Scouting.
ARTICLE V
MEMBERSHIP
1. Membership in the Boy Scouts of Canada, England District Council is
open to any person willing to subscribe to the principles found in the
national By-laws, Policies and Procedures and who meets the stated
membership requirements.
MEMBERSHIP
2. Membership includes:
a) Offices of the District Council;
b) Honourary officers and members of the District Council;
c) Assistant District Commissioners and District Service Scouters;
d) Chairpersons of District Operating Committees and
e) Up to two representatives from every group registered and
chartered with the Boy Scouts of Canada within the area
serviced.
3. Vacancies in the District Council shall be filled by the District
Administrative Board until the next Annual Meeting.
4. Where any member is for any reason unable to attend a meeting of the
District Council, a substitute may be appointed for that meeting and
the substitute shall have all the privileges of the member.
ARTICLE VI
ANNUAL MEETING
1. The Annual Meeting of the District Council shall be held in the Spring
of each year at a time and place to be fixed by the Administrative
Board for the following purposes:
a) consideration of the reports of officers and committees;
b) ratification of the Group Committee's appointed representatives;
c) election of officers to District Council;
d) recommending the appointment of the District Commissioner;
e) appointment of Legal Counsel;
f) consideration of any matter or notice of which has been given
in writing to the members at least thirty days prior to the
date of the Annual Meeting;
g) appointment of delegates to the Regional Annual Meeting and
h) consideration of the District Budget for the following year.
ANNUAL MEETING
2. Notice of an annual meeting shall be in writing and shall be delivered
to each member at least fourteen days prior to the date of the
meeting and in the case of a special meeting, the notice shall state the
purpose of the meeting.
ARTICLE VII
MEETINGS
1. A special general meeting of District Council may be called by the
President or person authorized by him/her to do so, as and when
he/she considers it necessary, but he/she shall call a special general
meeting when requested to do so in writing by the District
Commissioner or by two-thirds of the members of the District Council.
2. Representation from half of the Groups and half of the District
Officers shall constitute a quorum at a any meeting of the District
Council.
3. Each member of District Council shall be entitled to one vote at
meetings and voting by proxy shall not be permitted.
ARTICLE VIII
OFFICERS
1. The Officers shall be Past-President, President, District
Commissioners, Vice-President, Secretary and Treasurer. With the
exception of the District Commissioner, and immediate Past-President,
each officer shall be elected annually by the members of the District
Council.
2. Each elected officer shall be deemed to be in office until his successor
is elected at the first Annual Meeting following his/her election and
such officers shall not be elected to the same office for more than
three successive terms. A one year extension may be approved by a
majority vote of the delegates of the Annual Meeting.
3. In the event of a vacancy among the elected officers or District
Commissioner, the Administrative Board shall have the power to
appoint a successor for the duration of the original term of office.
OFFICERS
4. Honourary Officers may be elected at the discretion of the District
Council and shall be elected annually.
5. The Past President shall serve as advisor to the President and
perform such duties as the President may assign and shall serve as
chairperson of the Nominating Committee.
6. The President is responsible for the operation of District Council by:
a) acting as Chairperson of all meetings of the District council,
Administrative Board Meetings and shall be ex officio a member
of all District Committees.
b) performing all duties that are usual to the office of the
President and other duties assigned to him/her by District
Council.
c) being responsible for providing representation to the Regional
Council.
7. A Vice-President shall preside in the absence of the President and
shall perform such other duties as assigned by the President.
8. The Vice-President shall have general jurisdiction and responsibility
over specific Council operations as assigned by the District Council
and is responsible to the District President.
9. The Treasurer shall have general jurisdiction and responsibility over
funds handled by the District Council under the direction of the
Administrative Board and shall prepare an annual statement, duly
audited, for the consideration of the Annual Meeting of the District
Council.
10. The secretary shall be responsible for any records kept by the
District re inventory, properties, and shall prepare agendas for
meetings as directed by the President. Keeping minutes of all meetings,
mailing of appropriate documents, minutes and agendas and maintaining
an up-to-date mailing list are also part of the responsibilities.
OFFICERS
11. The District Commissioner is appointed by the Regional Commissioner
on a recommendation from the annual meeting of the District Council
and his responsibilities are:
a) to the Regional Commissioner and the District President for all
matters pertaining to program, training and special events
within the District Council.
b) to appoint District Service Scouters/Assistance District
Commissioners with the approval of the Administrative Board and
to meet frequently with them to consult on matters within his
responsibility.
c) to provide representation to the Regional Council.
ARTICLE IX
ADMINISTRATIVE BOARD
1. The Administrative Board shall consist of the officers of the District
Council and Chairpersons of District Operating Committees whose terms
of reference are:
a) administer the affairs of the District Council and discharge all
the functions between meetings of the District Council and be
accountable to and subject to any directives of the District
Council.
b) meet at the request of the President.
c) three members of the Administrative Board personally plus the
Chairperson shall constitute a quorum at each meeting of the
Board.
ARTICLE X
COMMITTEES
1. District Committees may be established by the District Council with
terms of reference for each committee.
2. Chairpersons may be appointed by the Administrative Board.
3. Members may be added to each committee by the Administrative Board
or the committee chairperson.
ARTICLE XI
FINANCE AND PROPERTY
1. The funds of the Council shall be deposited in a chartered bank,
credit union or trust company and any surplus funds may be invested
in the form of Dominion of Canada Savings Bonds, Chartered Bank,
Trust Company or Credit Union Savings Certificates, as designated by
the Administrative Board.
2. All cheques drawn on the District Council must be signed by two
persons who shall be designated by the District Council.
3. The fiscal year of the Council shall begin September 1st and end
August 31st of the following year. An audited financial statement must
be presented within 90 days of fiscal year end.
4. The auditor shall examine all books, vouchers, accounts and documents
having reference to the financial affairs of the District Council and
shall submit a statement of the income and expenditures and the
assets and labilities of the District Council to each Annual Meeting and
shall also make such reports, suggestions and recommendations to the
District Council as he may deem advisable.
5. Property of District Council shall be held in the name of the Regional
Council for the benefit of the respective council and, an inventory of
all property shall be maintained and a copy entered into the minutes
of each Annual Meeting.
ARTICLE XII
AMENDMENTS
1. These By-laws may be amended by a three-quarter vote of those
present at the Annual Meeting of the District Council of which not less
than thirty days notice specifying the intention to propose By-law
changes has been given.
ARTICLE XIII
APPROVAL
1. Any By-law of the District Council or amendment or appeal thereof
shall require the approval of the Regional Council before coming into
effect.
