  8.                                    ARTICLE I
  9.  
  10.                                    AUTHORITY
  11.  
  12. 1.    BOY SCOUTS OF CANADA is a youth serving organization in the field of
  13.       recreation and education. Its purpose is to enable Canadian youth to
  14.       be actively involved in a Scouting environment of fun, fellowship and
  15.       achievement so as to help develop current generations better able to
  16.       meet the challenge of the future.
  17.  
  18. 2.    BOY SCOUTS OF CANADA was incorporated on June 12, 1914, by an Act of
  19.       Parliament of Canada, and the affairs of the Boy Scouts of Canada are
  20.       administered and managed by the National Council established under
  21.       the Act.
  22.  
  23. 3.    A booklet entitled, "By-laws, Policies and Procedures", Boy Scouts of
  24.       Canada, published by the National Council sets out policy, organization
  25.       and rules of the Boy Scouts of Canada.
  26.  
  27. 4.    Boy Scouts of Canada, England District Council obtained its authority
  28.       to operate from the South Saskatchewan Regional Council.

  33.                                   ARTICLE II

  35.                                      NAME
  36.  
  37. 1.    The Name of the Council shall be:
  38.  
  39.          "BOY SCOUTS OF CANADA, ENGLAND DISTRICT COUNCIL"

  46.                                   ARTICLE III
  47.  
  48.                                     PURPOSE
  49.  
  50. 1.    The purpose of the District Council shall be as follows:
  51.  
  52.       a)    supporting and strengthening sponsoring institutions, groups of
  53.             citizens, youth members and adult leaders in the use of the
  54.             Scouting program.
  55.  
  56.       b)    fostering the growth and development of Scouting within the
  57.             area serviced.
  58.  
  59.       c)    providing direct service, support and counsel to the area
  60.             serviced.
  61.  
  62.       d)    maintaining close relations and working co-operatively with
  63.             other Scout Councils, local government and local organizations.
  64.  
  65.       e)    to determine needs and develop innovations to meet challenge of
  66.             the future.

  70.                                   ARTICLE IV

  72.                                  JURISDICTION

  75. 1.    The jurisdiction of the District Council is determined by South
  76.       Saskatchewan Regional Council and may be altered from time to time to
  77.       meet the needs of Scouting.

  81.                                    ARTICLE V

  83.                                   MEMBERSHIP
  84.  
  85.  
  86. 1.    Membership in the Boy Scouts of Canada, England District Council is
  87.       open to any person willing to subscribe to the principles found in the
  88.       national By-laws, Policies and Procedures and who meets the stated
  89.       membership requirements.

  93.                                   MEMBERSHIP
  94.  
  95. 2.    Membership includes:
  96.  
  97.       a)    Offices of the District Council;
  98.       b)    Honourary officers and members of the District Council;
  99.       c)    Assistant District Commissioners and District Service Scouters;
  100.       d)    Chairpersons of District Operating Committees and
  101.       e)    Up to two representatives from every group registered and
  102.             chartered with the Boy Scouts of Canada within the area
  103.             serviced.

  105. 3.    Vacancies in the District Council shall be filled by the District
  106.       Administrative Board until the next Annual Meeting.
  107.  
  108. 4.    Where any member is for any reason unable to attend a meeting of the
  109.       District Council, a  substitute may be appointed for that meeting and
  110.       the substitute shall have all the privileges of the member.

  115.                                   ARTICLE VI
  116.  
  117.                                 ANNUAL MEETING
  118.  
  119.  
  120. 1.    The Annual Meeting of the District Council shall be held in the Spring
  121.       of each year at a time and place to be fixed by the Administrative
  122.       Board for the following purposes:
  123.  
  124.       a)    consideration of the reports of officers and committees;
  125.       b)    ratification of the Group Committee's appointed representatives;
  126.       c)    election of officers to District Council;
  127.       d)    recommending the appointment of the District Commissioner;
  128.       e)    appointment of Legal Counsel;
  129.       f)    consideration of any matter or notice of which has been given
  130.             in writing to the members at least thirty days prior to the
  131.             date of the Annual Meeting;
  132.       g)    appointment of delegates to the Regional Annual Meeting and
  133.       h)    consideration of the District Budget for the following year.

  143. 2.    Notice of an annual meeting shall be in writing and shall be delivered
  144.       to each member at least fourteen days prior to the date of the
  145.       meeting and in the case of a special meeting, the notice shall state the
  146.       purpose of the meeting.

  149.                                   ARTICLE VII

  151.                                    MEETINGS
  152.

  154. 1.    A special general meeting of District Council may be called by the
  155.       President or person authorized by him/her to do so, as and when
  156.       he/she considers it necessary, but he/she shall call a special general
  157.       meeting when requested to do so in writing by the District
  158.       Commissioner or by two-thirds of the members of the District Council.
  159.  
  160. 2.    Representation from half of the Groups and half of the District
  161.       Officers shall constitute a quorum at a any meeting of the District
  162.       Council.
  163.  
  164. 3.    Each member of District Council shall be entitled to one vote at
  165.       meetings and voting by proxy shall not be permitted.

  168.                                  ARTICLE VIII

  170.                                    OFFICERS
  171.  
  172. 1.    The Officers shall be Past-President, President, District
  173.       Commissioners,  Vice-President, Secretary and Treasurer. With the
  174.       exception of the District Commissioner, and immediate Past-President,
  175.       each officer shall be elected annually by the members of the District
  176.       Council.
  177.  
  178. 2.    Each elected officer shall be deemed to be in office until his successor
  179.       is elected at the first Annual Meeting following his/her election and
  180.       such officers shall not be elected to the same office for more than
  181.       three successive terms. A one year extension may be approved by a
  182.       majority vote of the delegates of the Annual Meeting.
  183.  
  184. 3.    In the event of a vacancy among the elected officers or District
  185.       Commissioner, the Administrative Board shall have the power to
  186.       appoint a successor for the duration of the original term of office.
  187.  
  188.                                    OFFICERS

  190.  
  191. 4.    Honourary Officers may be elected at the discretion of the District
  192.       Council and shall be elected annually.
  193.  
  194. 5.    The Past President shall serve as advisor to the President and
  195.       perform such duties as the President may assign and shall serve as
  196.       chairperson of the Nominating Committee.
  197.  
  198. 6.    The President is responsible for the operation of District Council by:
  199.  
  200.       a)    acting as Chairperson of all meetings of the District council,
  201.             Administrative Board Meetings and shall be ex officio a member
  202.             of all District Committees.
  203.  
  204.       b)    performing all duties that are usual to the office of the
  205.             President and other duties assigned to him/her by District
  206.             Council.
  207.  
  208.       c)    being responsible for providing representation to the Regional
  209.             Council.
  210.  
  211.  
  212. 7.    A Vice-President shall preside in the absence of the President and
  213.       shall perform such other duties as assigned by the President.
  214.  
  215.  
  216. 8.    The Vice-President shall have general jurisdiction and responsibility
  217.       over specific Council operations as assigned by the District Council
  218.       and is responsible to the District President.
  219.  
  220. 9.    The Treasurer shall have general jurisdiction and responsibility over
  221.       funds handled by the District Council under the direction of the
  222.       Administrative Board and shall prepare an annual statement, duly
  223.       audited, for the consideration of the Annual Meeting of the District
  224.       Council.
  225.  
  226. 10.   The secretary shall be responsible for any records kept by the
  227.       District re inventory, properties, and shall prepare agendas for
  228.       meetings as directed by the President. Keeping minutes of all meetings,
  229.       mailing of appropriate documents, minutes and agendas and maintaining
  230.       an up-to-date mailing list are also part of the responsibilities.

  241. 11.   The District Commissioner is appointed by the Regional Commissioner
  242.       on a recommendation from the annual meeting of the District Council
  243.       and his responsibilities are:
  244.  
  245.        a)   to the Regional Commissioner and the District President for all
  246.             matters pertaining to program,  training and special events
  247.             within the District Council.
  248.  
  249.        b)   to appoint District Service Scouters/Assistance District
  250.             Commissioners with the approval of the Administrative Board and
  251.             to meet frequently with them to consult on matters within his
  252.             responsibility.

  254.        c)   to provide representation to the Regional Council.

  260.                                   ARTICLE IX

  262.                              ADMINISTRATIVE BOARD
  263.

  265. 1.    The Administrative Board shall consist of the officers of the District
  266.       Council and Chairpersons of District Operating Committees whose terms
  267.       of reference are:
  268.  
  269.       a)    administer the affairs of the District Council and discharge all
  270.             the functions between meetings of the District Council and be
  271.             accountable to and subject to any directives of the District
  272.             Council.

  274.       b)    meet at the request of the President.
  275.  
  276.       c)    three members of the Administrative Board personally plus the
  277.             Chairperson shall constitute a quorum at each meeting of the
  278.             Board.

  286.                                    ARTICLE X
  287.  
  288.                                   COMMITTEES
  289.  
  290.  
  291. 1.    District Committees may be established by the District Council with
  292.       terms of reference for each committee.
  293.  
  294. 2.    Chairpersons may be appointed by the Administrative Board.
  295.  
  296. 3.    Members may be added to each committee by the Administrative Board 
  297.       or the committee chairperson.

  301.                                   ARTICLE XI
  302.  
  303.                              FINANCE AND PROPERTY
  304.  
  305.  
  306. 1.    The funds of the Council shall be deposited in a chartered bank,
  307.       credit union or trust company and any surplus funds may be invested
  308.       in the form of Dominion of Canada Savings Bonds, Chartered Bank, 
  309.       Trust Company or Credit Union Savings Certificates, as designated by
  310.       the Administrative Board.

  312. 2.    All cheques drawn on the District Council must be signed by two
  313.       persons who shall be designated by the District Council.
  314.  
  315. 3.    The fiscal year of the Council shall begin September 1st and end
  316.       August 31st of the following year. An audited financial statement must
  317.       be presented within 90 days of fiscal year end.
  318.  
  319. 4.    The auditor shall examine all books, vouchers, accounts and documents
  320.       having reference to the financial affairs of the District Council and
  321.       shall submit a statement of the income and expenditures and the
  322.       assets and labilities of the District Council to each Annual Meeting and
  323.       shall also make such reports, suggestions and recommendations to the
  324.       District Council as he may deem advisable.

  326. 5.    Property of District Council shall be held in the name of the Regional
  327.       Council for the benefit of the respective council and, an inventory of
  328.       all property shall be maintained and a copy entered into the minutes
  329.       of each Annual Meeting.

  333.                                   ARTICLE XII

  335.                                   AMENDMENTS

  338. 1.    These By-laws may be amended by a three-quarter vote of those
  339.       present at the Annual Meeting of the District Council of which not less
  340.       than thirty days notice specifying the intention to propose By-law
  341.       changes has been given.

  348.                                  ARTICLE XIII

  350.                                    APPROVAL

  354. 1.    Any By-law of the District Council or amendment or appeal thereof
  355.       shall require the approval of the Regional Council before coming into
  356.       effect.
