  2.               Software License Agreement (Trial Version)
  3.               ------------------------------------------

  5. READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE
  6. USING OR DISTRIBUTING SCITECH SOFTWARE'S DOCUMENTATION, SOFTWARE AND
  7. ADDITIONAL MATERIALS (THE "PRODUCT"). THE PRODUCT IS COPYRIGHTED AND
  8. LICENSED (NOT SOLD) TO YOU AND BY INSTALLING, USING OR DISTRIBUTING THE
  9. PRODUCT, YOU ARE ACCEPTING AND AGREEING TO THE TERMS OF THIS LICENSE
  10. AGREEMENT. IF YOU ARE NOT WILLING TO BE BOUND BY THE TERMS OF THIS LICENSE
  11. AGREEMENT, YOU SHOULD NOT INSTALL, USE OR DISTRIBUTE THIS PRODUCT. THIS
  12. LICENSE AGREEMENT REPRESENTS THE ENTIRE AGREEMENT CONCERNING THE PRODUCT
  13. BETWEEN YOU AND SCITECH SOFTWARE, AND IT SUPERSEDES ANY PRIOR PROPOSAL,
  14. REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES.

  16. 1. EVALUATION PERIOD.  In order to determine whether the Product meets
  17. your needs, you may use a Trial Copy of the Product for an evaluation
  18. period of up to 21 days.  Your evaluation period begins when you first
  19. install the Product. Once the evaluation period ends, you agree to either
  20. to purchase the Product or to stop using it and remove it from your
  21. computer system.  If you have ordered the Product from SciTech, you may
  22. continue to use your Trial Copy until your Registered Copy arrives.
  23.  
  24. 2. USE OF THE PRODUCT.  Once the evaluation period is over and you
  25. purchase the Product, you may use the product on one computer per license
  26. purchased. You must not (a) defeat, or try to defeat, messages in the
  27. Product which encourage users to register; (b) modify or prepare
  28. derivative works of the Product; (c) or reverse engineer, decompile or
  29. disassemble the Product; (d) use unauthorized patches or registration
  30. codes with the Product.

  32. 3. DISTRIBUTING TRIAL COPIES OF THE PRODUCT.  You may make copies of the
  33. full, unregistered Trial version of the Product to give to others, subject
  34. to the following limitations:
  35.  
  36.  a.) Upon request by SciTech Software, you must immediately cease
  37.      distribution of the Product.
  38.  
  39.  b.) Without prior, expressed written permission from SciTech Software,
  40.      you may NOT:
  41.    i.)    Bundle Trial copies of this Product with freeware, shareware or
  42.           commercial products.
  43.    ii.)   Sell Trial versions of the Product (shareware distribution
  44.           companies may charge normal shipping and handling fees).
  45.    iii.)  Distribute the DOS install version of the Product (it is only
  46.           available on the SciTech ftp site).
  47.  
  48.  c.) Under no circumstances can you:
  49.    i.)    Distribute registered or registerable versions of the Product.
  50.    ii.)   Defeat, or attempt to defeat, messages in the Product which
  51.           encourage users to register their software or actively
  52.           discourage user registration in any other way, such as with the
  53.           use of unauthorized patches.
  54.    iii.)  Distribute prior versions of the Product.
  55.    iv.)   Ship incomplete versions of the Product.
  56.  
  57. 4. COPYING REGISTERED COPIES OF THE PRODUCT.  When you receive a
  58. Registered Copy of the Product or a registration code you may make copies
  59. of the Product which are necessary for normal backup purposes only.  You
  60. agree not to make any other copies of the software, the manual(s), or any
  61. part of  them, or sell or give any copies or registration codes to others.
  62.  
  63. 5. LEGAL DISCLAIMER. THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY
  64. OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
  65. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  66. PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PRODUCT
  67. IS WITH YOU.  SHOULD THE PRODUCT PROVE DEFECTIVE, YOU ASSUME THE COST OF
  68. ALL NECESSARY SERVICING, REPAIR OR CORRECTION.
  69.  
  70. IN NO EVENT WILL SCITECH SOFTWARE, OR ANY OTHER PARTY WHO MAY HAVE
  71. DISTRIBUTED THE PRODUCT AS PERMITTED ABOVE, BE LIABLE TO YOU FOR DAMAGES,
  72. INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING
  73. OUT OF THE USE OR INABILITY TO USE THE PRODUCT (INCLUDING BUT NOT LIMITED
  74. TO LOSS OF DATA OR DATA BEING RENDERED INACCURATE OR LOSSES SUSTAINED BY
  75. YOU OR THIRD PARTIES OR A FAILURE OF THE PRODUCT TO OPERATE WITH ANY OTHER
  76. PROGRAMS), EVEN IF SUCH HOLDER OR OTHER PARTY HAS BEEN ADVISED OF THE
  77. POSSIBILITY OF SUCH DAMAGES.
  78.  
  79. 6. GOVERNING LAW. This License Agreement shall be construed and governed
  80. in accordance with the laws of the State of California, USA.
  81.  
  82. 7. COSTS OF LITIGATION. If any action is brought by either party to this
  83. License Agreement against the other party regarding the subject matter
  84. hereof, the prevailing party shall be entitled to recover, in addition to
  85. any other relief granted, reasonable attorney fees and expenses of
  86. litigation.
  87.  
  88. 8. SEVERABLILITY. Should any term of this License Agreement be declared
  89. void or unenforceable by any court of competent jurisdiction, such
  90. declaration shall have no effect on the remaining terms hereof.
  91.  
  92.
