  19. 1. GENERAL
  20.    =======
  21.    The Internet Society Advisory Council [ISOC-AC] represents the
  22. organizational members of the ISOC within the context of the overall vision
  23. of the Society - a means of fostering cooperation on matters affecting the
  24. general welfare and effectiveness of the global Internet and its users. 
  25. Organizational members include representatives from academic, research,
  26. service/equipment suppliers, content providers, government, international
  27. organizations, and public interest groups.

  29. 2.  PURPOSE
  30.     =======
  31.     Provide advice and recommendations to the ISOC President and Board of
  32. Trustees, on any matters of concern/interest to the Council at large or of
  33. its individual sector constituencies.  Advice and recommendations may
  34. include any policy-level matters of strategic direction, finance,
  35. technology and standards, infrastructure, administration, network usage or
  36. other matters felt to be generally relevant to the health and welfare of
  37. the Internet.

  39. 3.  MEMBERSHIP

  41.     Each organizational member may designate a Principal and an Alternate
  42. Representative to the Council with equal status and standing.  However, on
  43. formal votes of the Council, a single vote for each Organizational Member
  44. will be authorized.

  46.     The ISOC President [or his designee] will be an ex-Officio member of
  47. the Council.
  48.  
  49.     The ISOC Staff Assistant for Organizational Services will provide
  50. administrative support services to the Council.  He/she will maintain the
  51. official roster of the Council members, an electronic mail list, and
  52. appropriate archives. Council business will to the extent feasible, be
  53. conducted by electronic means.

  56. 4.  OFFICERS
  57.     ========
  58.     The Council members will elect three [four] Officers - of equal
  59. standing, for a term of three years, or until resignation or removal upon a
  60. formal vote of the Members.  The Council Officers will among them,
  61. designate a Chairperson. Officers of the Council will:
  62.  
  63.      a.  Act on behalf of the Council, in consonance with Council direction
  64. or precedent.
  65.  
  66.      b.  Conduct on behalf of the Council, any necessary continuing
  67. operational activities of the Council.
  68.  
  69.      c.  Serve as Chair/Facilitator of meetings of the Council.
  70.  
  71.      d.  Represent the Council when necessary to other ISOC or external
  72. bodies, in coordination with the ISOC Officers and Trustees.
  73.  
  74.      e.  Attend the meetings of the ISOC Board of Trustees, and participate
  75. in the electronic discussion list of the Trustees.
  76.  
  77.      f.  Advocate Council positions and recommendations to the Trustees.
  78.  
  79.      g.  Report to the Members on disposition of Trustee or other actions
  80. of interest to, or which impact on, the Council.

  82.      h.  Respond to requests for advice or action by the Trustees
  83. in consultation with the Council members.

  85. 5.  MEETINGS
  86.     ========
  87.     Face-to-face meetings of the Council will generally be held
  88. in conjunction with the annual INET conferences, and during the
  89. meetings of the IETF.
  90.  
  91.     Periodic meetings of the Officers will be held as necessary, or as
  92. agreed among the Council Officers.
  93.  
  94.     Electronic discussion lists will be maintained for the Council Members
  95. and for the Council Officers.  Subscribers to these lists will be
  96. restricted to Council Officers, Members, and related ISOC Staff, however
  97. they will be open to posting by anyone concerned.

  99.     Documentation and proceedings of the Council will [at a minimum] be
  100. posted to the Council and Trustees lists.  Records of the Council will also
  101. be made available electronically on the ISOC document server.

  103.     Decisions or positions of the Council will be taken by consensus
  104. whenever practical, or by formal vote of the Council when necessary or
  105. expedient.

  107. 6.  ADOPTION AND MODIFICATION OF THE CHARTER

  110.      The Council Charter, and changes thereto, will be agreed by the
  111. Council and approved by the Board of Trustees.

  119. This Charter, Rev 3 [Council Doc 96-012] reflects agreement of the Council
  120. at their meeting of 24 June, 1996 and is submitted for consideration
  121. and approval of the ISOC Board of Trustees at their meeting of 13,14
  122. December 1996.
