  1. SOFTWARE LICENSE AGREEMENT

  3. PLEASE REVIEW THE FOLLOWING TERMS AND CONDITIONS
  4. CAREFULLY BEFORE STARTING THE PROGRAM. 
  5. BY STARTING THE PROGRAM, YOU INDICATE YOUR
  6. ACCEPTANCE OF SUCH TERMS AND CONDITIONS.  IN THE EVENT
  7. THAT YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS,
  8. YOU SHOULD NOT START THE PROGRAM.

  10. Pursuant to this Agreement, you are licensed to:(a) use Internet Coach:
  11. Internet Coach 3.0 Lite (the "Software") on a single computer that is not a
  12. network server (b) make one copy of the Software for archival purposes.

  15. YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE
  16. SOFTWARE OR ANY COPY, IN WHOLE OR IN PART, EXCEPT AS
  17. PROVIDED IN THIS AGREEMENT.  IF YOU TRANSFER POSSESSION
  18. OF ANY COPY, MODIFICATION, OR MERGED PORTION OF THE
  19. SOFTWARE TO ANOTHER PARTY, THIS LICENSE IS
  20. AUTOMATICALLY TERMINATED.

  22. TERM

  24. This Software is licensed, not sold to you.  APTE retains all ownership
  25. rights in the Software. The license is effective until terminated.  You may
  26. terminate it at any time by destroying the Software together with all
  27. copies.  It will also terminate upon conditions set forth elsewhere in this
  28. Agreement or if you fail to comply with any term or condition of this
  29. Agreement.  You agree upon such termination to destroy the Software
  30. together with any copies.

  33. DISCLAIMER OF WARRANTIES
  34.  
  35. NO  WARRANTIES, EITHER EXPRESS OR IMPLIED, ARE MADE WITH
  36. RESPECT TO THIS SOFTWARE, INCLUDING BUT NOT LIMITED TO
  37. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
  38. FOR A PARTICULAR PURPOSE, AND APTE EXPRESSLY DISCLAIMS
  39. ALL WARRANTIES NOT STATED HEREIN.  YOU ASSUME THE
  40. ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE
  41. SOFTWARE.  SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU-
  42. AND NOT APTE - ASSUME THE ENTIRE COST OF NECESSARY
  43. SERVICING, REPAIR, OR CORRECTION.  SOME STATES DO NOT
  44. ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE
  45. EXCLUSION MAY NOT APPLY TO YOU.  THIS WARRANTY GIVES
  46. YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER
  47. RIGHTS WHICH VARY FROM STATE TO STATE.

  49. APTE does not warrant that the functions contained in the Software will
  50. meet your requirements or that the operation of the Software is
  51. compatible with all hardware and software and will be uninterrupted and
  52. error-free.  You assume responsibility for the selection of the hardware
  53. and software to achieve your intended results; and for the installation, use
  54. and results obtained from this Software.

  56. IN NO EVENT WILL APTE BE LIABLE TO YOU OR ANY OTHER
  57. PERSON FOR ANY DAMAGES, INCLUDING ANY INCIDENTAL OR
  58. CONSEQUENTIAL DAMAGES, EXPENSES, LOST PROFITS, LOST
  59. SAVINGS, OR OTHER DAMAGES ARISING OUT OF USE OF OR
  60. INABILITY TO USE THIS SOFTWARE.

  62. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF
  63. INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR CONSUMER
  64. PRODUCTS, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY
  65. NOT APPLY TO YOU.

  68. GENERAL

  70. You may not sublicense, assign, or transfer this license or the Software. 
  71. Any attempt to otherwise sublicense, assign, or transfer any of the rights,
  72. duties, or obligations hereunder is null and void and will automatically
  73. terminate this license..

  75. If you have any questions concerning this Agreement, including warranty
  76. service, you should contact APTE, Inc., 1840 Oak Avenue, Evanston,
  77. Illinois 60201-3686.

  79. This Agreement will be governed by the laws of the State of Illinois.

  81. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT,
  82. UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND
  83. CONDITIONS;  YOU FURTHER AGREE THAT IT IS THE COMPLETE
  84. AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US
  85. WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT,
  86. ORAL OR WRITTEN AND ANY OTHER COMMUNICATIONS BETWEEN
  87. US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
