AGREEMENT FOR
EXPERIMENTAL USE OF UMLS PRODUCTS
Made this _____ day of ____________, 1995 by and between the
National Library of Medicine, Department of Health and Human
Services (hereinafter referred to as "NLM") and
_______________________(hereinafter referred to as "RECIPIENT").
WHEREAS, the NLM was established by statute in order to assist
the advancement of medical and related sciences, and to aid the
dissemination and exchange of scientific and other information
important to the progress of medicine and to the public health,
(section 465 of the Public Health Service Act, as amended (42
U.S.C. section 286) and to carry out this purpose has been
authorized to develop the Unified Medical Language System (UMLS)
to facilitate the retrieval and integration of machine-readable
biomedical information from disparate sources;
WHEREAS, the NLM's UMLS project has produced new machine-readable
knowledge sources that are now ready to be used in a variety of
settings to determine their current utility and obtain feedback
on useful enhancements;
WHEREAS, RECIPIENT is willing to experiment at its sole risk and
at no expense to NLM with these UMLS products, which will result
in information useful to NLM, may provide immediate improvements
in biomedical information transfer to segments of the biomedical
community, and is consistent with NLM's statutory functions,
NOW THEREFORE, it is mutually agreed as follows:
l. The NLM hereby grants a nonexclusive right to RECIPIENT to
experiment with the UMLS products and incorporate them in any
computer applications or systems designed to improve access to
biomedical information of any type. It is understood that this
arrangement is strictly an experiment and it will not exceed one
year in duration unless extended by mutual written agreement of
the parties.
2. RECIPIENT may distribute computer applications containing the
UMLS information to other institutions and individuals free of
charge or at such reasonable prices as RECIPIENT determines. No
charges, usage fees or royalties will be paid to NLM.
3. RECIPIENT shall be prohibited from distributing the UMLS
products or subsets of these products except as an integral part
of computer applications developed by RECIPIENT.
4. RECIPIENT agrees to demonstrate to NLM prior to distributing
any application(s) in which it is using the UMLS products and to
provide specific information to NLM regarding how UMLS data are
used in its application(s), the users and usage of any
application containing the UMLS data, any difficulties
encountered in using the UMLS products, and changes or
enhancements to the UMLS products that would make them more
useful to RECIPIENT and its user groups.
5. Some of the Material in the UMLS Metathesaurus is from
copyrighted sources. RECIPIENT is required to display in full
the following wording in order that its users be made aware of
these copyright constraints:
"Some material in the UMLS Metathesaurus is from copyrighted
sources of the respective copyright claimants. Users of the UMLS
Metathesaurus are solely responsible for compliance with any
copyright restrictions and are referred to the copyright notices
appearing in the original sources, all of which are hereby
incorporated by reference." A list of the Metathesaurus Source
vocabularies for which copyright is claimed appears in Attachment
1 to this agreement.
6. As to the re-use of the UMLS Metathesaurus, the RECIPIENT
and/or its users shall be solely responsible for compliance with
any copyright restrictions; NLM assumes no responsibility or
liability associated with the RECIPIENT (or any of the
RECIPIENT's users) use and/or reproduction of copyrighted
material.
Anyone contemplating reproduction of all or any portion of any of
the UMLS Metathesaurus should consult legal counsel.
7. RECIPIENT must inform its users that the UMLS information is
provided on an experimental basis and may be modified
substantially by NLM in subsequent versions.
8. NLM makes no claim that the UMLS products encompass all data
present in its various source vocabularies and classifications.
9. The presence in UMLS products of data from vocabularies and
classifications developed by organizations other than NLM does
not imply any endorsement of the UMLS products by these
organizations.
10. NLM represents that the data provided hereunder were
formatted with a reasonable standard of care, but makes no
warranties express or implied, including no warranty of
merchantability or fitness for particular purpose, regarding the
accuracy or completeness of the data or that the machine-readable
copy is error free. Therefore, RECIPIENT agrees to hold NLM,
the Government, and any organizations contributing data to UMLS
products free from any liability resulting from errors in data or
on the machine-readable copy. NLM reserves the right to change
the type and format of its machine-readable data.
11. RECIPIENT understands that there may be substantial changes
in the content or format of the subsequent versions of UMLS
products and that there may be a charge for subsequent versions
of UMLS products.
12. NLM may offer this same opportunity to other commercial and
noncommercial organizations expressing an interest in exercising
the same or similar arrangements.
13. RECIPIENT shall acknowledge NLM as its source of the UMLS
data in a suitable and customary manner, but may not in any way
indicate that NLM or any of the organizations whose vocabulary
data are included in the UMLS has endorsed RECIPIENT or its
products.
14. This Agreement shall be effective for one year from the date
of execution by both parties, unless earlier terminated by one of
the parties upon 30 days written notice to the other party. The
Agreement may be extended by mutual written agreement of the
parties.
15. In the event of termination of this Agreement:
(a) RECIPIENT must enter into a license agreement with NLM
for continued use of updated UMLS data OR promptly destroy and
erase all data in machine-readable form obtained under this
Agreement as well as any such data now contained in any
derivative files;
(b) Neither the Government nor its employees shall be liable
or responsible to RECIPIENT in any manner whatsoever for damages
of any nature whatsoever arising from the termination.
IN WITNESS WHEREOF, the parties have executed this Agreement,
effective upon the date first written above:
