  104. use, copy, transmit, distribute, or install the trial
  105. version computer software and documentation accompanying
  106. this license Agreement.

  108. TeraByte, Inc., dba TeraByte Unlimited ("TeraByte") and/or
  109. its suppliers own the Evaluation Software and its
  110. documentation, which are protected under applicable
  111. copyright, trade secrets, and other laws.  Your rights and
  112. license to use the programs and the documentation are
  113. limited to the terms and subject to the conditions set forth
  114. below.
  115.  
  116. 1. LICENSE:
  117.  
  118. (a) TRIAL USE IN YOUR OWN COMPUTER
  119.  
  120.      (i) YOU MAY: use the Evaluation Software for evaluation
  121. purposes in your own computer, for a period not to exceed
  122. thirty (30) days after your first installation or use of the
  123. Evaluation Software.  You may not re-install or additionally
  124. install the Evaluation Software for additional evaluation
  125. periods.
  126.  
  127.      (ii)  Not "Free Software".  This Evaluation Software is
  128. not "free software", but a software copy with limited
  129. license rights, as set forth in this Agreement.
  130.  
  131.      (iii)  Temporary Evaluation Use Only.  You may use this
  132. Evaluation Software without charge for a limited time only,
  133. and solely to decide whether to purchase a paid license for
  134. the software from TeraByte.  If you wish to use the
  135. Evaluation Software after the thirty (30) day evaluation
  136. period, then you must purchase a Full Use license for the
  137. software from TeraByte. You can visit TeraByte's web site at
  138. www.terabyteunlimited.com, for further information.
  139.  
  140.      (iv)  NO CONTINUED USE WITHOUT REGISTRATION.
  141. Unregistered use of the Evaluation Software after the thirty
  142. (30) day trial period is an infringement of TeraByte's legal
  143. and equitable rights, including but not limited to copyright
  144. and trade secret rights, under U.S. and international laws.
  145.  
  146. (b)  LIMITED DISTRIBUTION LICENSE
  147.  
  148.      (i)  IF YOU ARE AN INDIVIDUAL, YOU MAY: distribute
  149. copies of the Evaluation Software to your friends or
  150. associates, provided that you charge no fees nor request any
  151. donations for this service, and that you convey only a
  152. complete and unaltered copy of the original Evaluation
  153. Software files, in the exact form that they were downloaded
  154. from www.terabyteunlimited.com.
  155.  
  156.      (ii)  ALL OTHER DISTRIBUTION is allowed only under the
  157. terms set forth by TeraByte, if any at the
  158. www.terabyteunlimited.com web site.  TeraByte may, at its
  159. sole discretion, append a data record (such as VENDINFO or
  160. PAD) to the distribution files for the Evaluation Software,
  161. in which event such data record shall be automatically
  162. incorporated by reference. Any distribution satisfying all
  163. of the distribution requirements expressed at the web site
  164. or in that data record, if any, is hereby authorized; all
  165. other distribution requires TeraByte's advance written
  166. approval.
  167.  
  168.      (iii) Each individual, and each vendor, wishing to
  169. distribute the Evaluation Software package must
  170. independently satisfy all terms of the limited distribution
  171. license.
  172.  
  173.      (iv)  You may make as many copies of this Evaluation
  174. Software as you need, for purposes of the limited
  175. distribution permitted in this Agreement.
  176.  
  177.      (v)  TERABYTE RESERVES THE RIGHT TO RETRACT OR CHANGE
  178. ANY OR ALL OF THE ABOVE DISTRIBUTION RIGHTS AT ANY TIME, FOR
  179. ANY OR NO REASON.
  180.  
  181. (c)  YOU MAY NOT:
  182.  
  183.      (i)  permit others to use the Evaluation Software
  184. unless they are properly licensed by TeraByte, either under
  185. this Agreement or another agreement from TeraByte;
  186.  
  187.      (ii) modify, translate, reverse engineer, decompile,
  188. disassemble, or create derivative works based on, the
  189. Evaluation Software;
  190.  
  191.      (iii)  copy the Evaluation Software except as expressly
  192. permitted above;
  193.  
  194.      (iv)  distribute the Evaluation Software, bundle it
  195. with other products, rent, lease, sell, grant a security
  196. interest in, or otherwise transfer rights to, or possession
  197. of, the Evaluation Software or any copy thereof, except as
  198. may be expressly provided in this Agreement;
  199.  
  200.      (v)  remove or alter any proprietary notices, labels
  201. or legends on any copy of the Evaluation Software; or
  202.  
  203.      (vi) ship or transmit (directly or indirectly) any
  204. copies of the Evaluation Software or their media, or any
  205. direct product thereof, to any country or destination
  206. prohibited by the United States Government.
  207.  
  208. (d)  RESERVATION OF RIGHTS.  All rights and licenses not
  209. expressly granted by TeraByte in this Agreement are entirely
  210. and exclusively reserved to TeraByte.
  211.  
  212. 2. TERM AND TERMINATION: This Agreement shall remain
  213. effective until this Agreement is terminated, provided that
  214. in no event shall your evaluation rights hereunder extend
  215. beyond the thirty (30) day period set forth in Section 1
  216. above.  You may terminate it at any time by destroying the
  217. distribution media together with all of your copies of the
  218. Evaluation Software in any form.  This Agreement will also
  219. automatically terminate, without notice, if you fail to
  220. comply fully with any term or condition of this Agreement,
  221. or if your normal business operations are disrupted or
  222. discontinued for more than thirty days by reason of
  223. insolvency, bankruptcy, receivership, or business
  224. termination.  Upon termination of this Agreement, you must
  225. destroy all copies of the Evaluation Software in any form.
  226.  
  227. 3.  OWNERSHIP AND CONFIDENTIAL INFORMATION:  TeraByte or its
  228. licensors own the Evaluation Software under copyright, trade
  229. secret and all other laws that may apply.  All product
  230. names, designs, and logos associated with the Evaluation
  231. Software are trademarks of TeraByte.  The source code of the
  232. Evaluation Software and all information regarding the
  233. design, structure or internal operation of the Evaluation
  234. Software are valuable trade secrets of TeraByte or third
  235. parties with which TeraByte has licensing arrangements
  236. ("Confidential Information"), provided however, that
  237. "Confidential Information" shall not include information
  238. which otherwise would be Confidential Information to the
  239. extent that such information was publicly known or otherwise
  240. known to you previously to the time of disclosure, which
  241. subsequently became known through no act or omission by you,
  242. or which otherwise became known to you other than through
  243. disclosure by TeraByte.  You shall not sell, transfer,
  244. publish, disclose, display or otherwise permit access to any
  245. Confidential Information by any third party, nor may you use
  246. any of the Confidential Information, except strictly as part
  247. of the Evaluation Software in the form originally
  248. distributed by TeraByte.
  249.  
  250. 4. LIMITED WARRANTY: THE EVALUATION SOFTWARE IS PROVIDED
  251. ENTIRELY "AS-IS".  TERABYTE MAKES NO WARRANTIES, EXPRESSED
  252. OR IMPLIED, WITH RESPECT TO THE EVALUATION SOFTWARE, ITS
  253. MERCHANTABILITY, OR ITS FITNESS FOR ANY PARTICULAR PURPOSE.
  254. TERABYTE DOES NOT WARRANT THAT THE EVALUATION SOFTWARE WILL
  255. MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE
  256. EVALUATION SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.
  257. YOU ASSUME FULL RESPONSIBILITY FOR SELECTING AND USING THE
  258. EVALUATION SOFTWARE, AND THAT IF YOU USE THE EVALUATION
  259. SOFTWARE IMPROPERLY OR AGAINST INSTRUCTIONS, YOU CAN CAUSE
  260. DAMAGE TO YOUR FILES, SOFTWARE, DATA OR BUSINESS. THE ENTIRE
  261. RISK AS TO THE QUALITY AND PERFORMANCE OF THE EVALUATION
  262. SOFTWARE IS BORNE BY YOU. THIS DISCLAIMER OF WARRANTY
  263. CONSTITUTES AN ESSENTIAL PART OF THE AGREEMENT. Some
  264. jurisdictions do not allow exclusions of an implied
  265. warranty, so this disclaimer may not apply to you and you
  266. may have other legal rights that vary by jurisdiction.
  267.  
  268. 5.  LIMITATION OF LIABILITY.  ANY LIABILITY OF TERABYTE WILL
  269. BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF
  270. PURCHASE PRICE.  IN ADDITION, IN NO EVENT WILL TERABYTE, NOR
  271. ANY OTHER PERSON OR ENTITY INVOLVED IN THE CREATION,
  272. PRODUCTION, OR DELIVERY OF THE EVALUATION SOFTWARE, BE
  273. LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE
  274. DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION LOSS OF
  275. INCOME, USE OR INFORMATION, RELATING EITHER TO THE USE OF
  276. THE EVALUATION SOFTWARE, OR YOUR RELATIONSHIP WITH TERABYTE,
  277. EVEN IF TERABYTE HAS BEEN ADVISED IN ADVANCE OF THE
  278. POSSIBILITY OF SUCH DAMAGES OR CLAIMS.  Any suit or other
  279. legal action relating in any way to this Agreement or to the
  280. Evaluation Software must be filed or commenced no later than
  281. one (1) year after it accrues.  You may also have other
  282. rights which vary from state to state.
  283.  
  284. 6. HIGH RISK ACTIVITIES.  The Evaluation Software is not
  285. fault-tolerant and is not designed, manufactured or intended
  286. for use on equipment or software running in hazardous
  287. environments requiring fail-safe performance, including but
  288. not limited to the operation of nuclear facilities, aircraft
  289. navigation or communication systems, air traffic control,
  290. direct life support machines, or weapons systems, in which
  291. the failure of the Evaluation Software could contribute to
  292. death, personal injury, or severe physical or environmental
  293. damage ("High Risk Activities").  TERABYTE AND ITS SUPPLIERS
  294. SPECIFICALLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTY OF
  295. FITNESS OF THE EVALUATION SOFTWARE FOR HIGH RISK ACTIVITIES.
  296. TERABYTE DOES NOT AUTHORIZE USE OF  THE EVALUATION SOFTWARE
  297. FOR ANY HIGH RISK ACTIVITY.  YOU AGREE TO DEFEND AND
  298. INDEMNIFY TERABYTE, AND HOLD TERABYTE HARMLESS, FROM AND
  299. AGAINST ANY AND ALL CLAIMS, ACTIONS, LOSSES, COSTS JUDGMENTS
  300. AND DAMAGES OF ANY KIND IN CONNECTION WITH USE IN RELATION
  301. TO ANY HIGH RISK ACTIVITY OF ANY COPY OF THE EVALUATION
  302. SOFTWARE RELATING TO THIS LICENSE.
  303.  
  304. 7.  RESTRICTED RIGHTS - COMMERCIAL COMPUTER SOFTWARE.  The
  305. parties acknowledge and agree that: (a) any and all products
  306. covered by this Agreement are, and shall be, deemed
  307. "commercial computer software" for all purposes in relation
  308. to U.S. government acquisition laws, rules and regulations,
  309. and (b) all use, duplication and disclosure by, for, or on
  310. behalf of the U.S. Government is subject to all conditions,
  311. limitations and restrictions applicable to "commercial
  312. computer software" as set forth in FAR section 12.212 and in
  313. DFAR sections 227.7202-1, 227.7202-3, and 227.7202-4.
  314.  
  315. 8.  GENERAL.
  316.  
  317. (a)  ENTIRE AGREEMENT.  This Agreement constitutes the
  318. entire agreement between you and TeraByte in regard to the
  319. subject matter herein, and supersedes all previous and
  320. contemporaneous agreements, proposals and communications,
  321. written or oral between you and TeraByte. No amendment of
  322. this Agreement shall be effective unless it is in writing
  323. and signed by duly authorized representatives of both
  324. parties.
  325.  
  326. (b)  NON-WAIVER.  Waiver by TeraByte of any violation of any
  327. provision of this License shall not be deemed to waive any
  328. further or future violation of the same or any other
  329. provision.
  330.  
  331. (c)  LAW AND JURISDICTION.  This License and any dispute
  332. relating to the Evaluation Software or to this License shall
  333. be governed by the laws of the United States and the laws of
  334. the State of Nevada, without regard to U.S. or Nevada choice
  335. of law rules.  You agree and consent that jurisdiction and
  336. proper venue for all claims, actions and proceedings of any
  337. kind relating to TeraByte or the matters in this License
  338. shall be exclusively in courts located in Las Vegas, Nevada.
  339. If a court with the necessary subject matter jurisdiction
  340. over a given matter cannot be found in Las Vegas, then
  341. jurisdiction for that matter shall be exclusively in a court
  342. with the proper jurisdiction as close to Las Vegas as
  343. possible, and within Nevada if possible.
  344.  
  345. (d)  SEVERABILITY.  If any part or provision of this License
  346. is held to be unenforceable for any purpose, including but
  347. not limited to public policy grounds, then you agree that
  348. the remainder of the License shall be fully enforceable as
  349. if the unenforceable part or provision never existed.
  350.  
  351. (e)  NON-ASSIGNMENT. You may not assign this License without
  352. the prior written consent of TeraByte, except as part of a
  353. sale of all or substantially all of the assets of your
  354. business.
  355.  
  356. (f)  NO THIRD PARTY BENEFICIARIES.  There are no third party
  357. beneficiaries of any promises, obligations or
  358. representations made by TeraByte herein.
  359.  
  360. (g)  HEIRS AND ASSIGNS.  This Agreement shall be binding on
  361. and shall inure to the benefit of the heirs, executors,
  362. administrators, successors and assigns of the parties
  363. hereto, but nothing in this paragraph shall be construed as
  364. a consent by TeraByte to any assignment of this agreement
  365. except as provided hereinabove.
  366.  
  367. (h)  SURVIVAL.  The provisions of paragraphs 1(a)(iv),
  368. 1(c)(ii) and 3 of this Agreement shall survive any
  369. termination or expiration of this Agreement.
