  6. NOTICE: THIS BORLAND SOFTWARE PRODUCT (TOGETHER WITH ITS ACCOMPANYING
  7. DOCUMENTATION, THE "PRODUCT") IS THE PROPERTY OF BORLAND SOFTWARE
  8. CORPORATION ("BORLAND").  THE PRODUCT IS MADE AVAILABLE TO YOU, THE
  9. ORIGINAL PURCHASER, SUBJECT TO THE FOLLOWING LICENSE AGREEMENT
  10. ("LICENSE").  PLEASE READ THIS LICENSE CAREFULLY BEFORE INSTALLING OR
  11. USING THE PRODUCT.  A COPY OF THIS LICENSE IS AVAILABLE FOR YOUR FUTURE
  12. REFERENCE IN THE "LICENSE.TXT" FILE PROVIDED WITH THE PRODUCT.

  21. THIS PRODUCT ALSO CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS.

  23. Borland is only willing to grant you this License if you obtained the
  24. Product from Borland or a Borland authorized reseller. If you obtained
  25. the Product from any other source you may not install or use the
  26. Product.
  27.  
  28. 1.       OWNERSHIP.  The Product is proprietary to Borland.  The Product
  29. is licensed, not sold, to you notwithstanding any reference herein to
  30. "purchases."  You acknowledge and agree that:  (a) the Product is
  31. protected under U.S. copyright and other laws; (b) Borland and its
  32. licensors retain all copyrights and other intellectual property rights
  33. in the Product; (c) there are no implied licenses under this License,
  34. and any rights not expressly granted to you hereunder are reserved by
  35. Borland; (d) you acquire no ownership or other interest (other than your
  36. license rights) in or to the Product; and (e) Borland owns all copies of
  37. the Product, however made.  You agree that you will not, at any time,
  38. contest anywhere in the world Borland's ownership of the Product, nor
  39. will you challenge the validity of Borland's rights in the Product.  You
  40. have no rights hereunder to use any trademark or service mark belonging
  41. to Borland.
  42.  
  43. 2.       GRANT OF LICENSE AND SCOPE OF USE.
  44.  
  45. 2.1      Grant of License.  Subject to the terms and conditions of this
  46. License, Borland grants to you, if you are an individual, or, if you are
  47. an entity, one (1) designated person in your organization ("Named User")
  48. a personal, nonexclusive, nontransferable and limited license to use the
  49. Product solely to create, compile (including byte code compile), test
  50. and deploy, in source or object code form, your own application programs
  51. and other works ("Works").  You may install the Product on a reasonable
  52. number of machines provided that the Named User is the only individual
  53. permitted to use the Product.  Subject to the other terms and conditions
  54. of this License, you may distribute your Works to others for production
  55. use.  You may also make a reasonable number of copies of the Product to
  56. backup devices such as hard disks, optical media, or tape and one (1)
  57. physical CD media backup copy of the Product solely to replace the
  58. original copy provided to you if the original copy is damaged or
  59. destroyed. All rights not specifically granted to you herein are
  60. retained by Borland.
  61.  
  62. 2.2      Multiple Licensed Copies.  You may purchase from Borland or its
  63. authorized reseller additional licenses to permit multiple Named Users
  64. to use the Product (each, a "Named User License").  Such rights will be
  65. effective only when granted in writing by Borland or its authorized
  66. reseller and are conditioned upon your payment of the applicable fees.
  67. If you purchase additional Named User Licenses for the Product then you
  68. are granted for each Named User License the personal, nonexclusive,
  69. nontransferable and limited license to designate one individual in your
  70. organization as the Named User and permit such Named User to install and
  71. use the Product solely as permitted under Section 2.1.  In such case,
  72. the Product may be used exclusively by the specifically designated Named
  73. Users, subject to all the terms and conditions of this License. You
  74. agree that you will not designate more Named Users than the number of
  75. Named User Licenses that Borland or its authorized reseller has
  76. expressly granted to you and you will not allow the Product to be used
  77. by any individuals other than the Named Users designated by you from
  78. time to time.  You agree to maintain accurate records of the Named User
  79. designated by you to use the Product under each Named User License you
  80. hold.
  81.  
  82. 3.       GENERAL TERMS THAT APPLY TO COMPILED PROGRAMS AND
  83. REDISTRIBUTABLES.
  84.  
  85. 3.1      Redistributables.  The Product may include certain files,
  86. libraries and/or source code specifically designated as
  87. "redistributables" by Borland in the accompanying printed or on-line
  88. documentation and that are necessary to use Works created using the
  89. Product ("Redistributables").  From time to time, Borland may designate
  90. other files as Redistributables.  You should refer to the documentation,
  91. including any "readme" or "deploy" files provided with the Product, for
  92. additional information regarding Redistributables. Subject to the terms
  93. and conditions of this License, you may freely redistribute source code
  94. or compiled code that is entirely your own and does not contain any
  95. Redistributables.
  96.  
  97. 3.2      Licensing of Redistributables.  Subject to the terms and
  98. conditions of this License including the restrictions of Section 3.3,
  99. Borland grants you the personal, non-exclusive, non-transferable and
  100. limited license to: (a) make exact copies of the Redistributables and
  101. distribute those copies solely as components of your Works and solely as
  102. required for permitting end users of the Works ("End Users") to install
  103. and execute the Works; (b) install and execute Redistributables, without
  104. modification, on computers that you own or possess solely for your own
  105. internal use; and (c) sublicense to your End Users the personal, non-
  106. exclusive, non-transferable right to install and execute
  107. Redistributables, without modification, solely as components of Works
  108. and solely for such End Users' own internal use, subject to End Users'
  109. compliance with the restrictions in Section 5 as to Redistributables.
  110. The rights granted to you under this Section 3.2 may not be exercised by
  111. others, including co-developers, regardless of how you might compile,
  112. link, or package your Works.  These rights apply only to
  113. Redistributables and to no other file, library, source code or other
  114. component or derivative work of the Product.  They may be exercised only
  115. with respect to Works created by you using a duly licensed, properly
  116. registered copy of the Product.
  117.  
  118. 3.3      Certain Restrictions.  Regardless of any modifications that you
  119. make and regardless of how you might compile, link, or package your
  120. Works:  (a) you may not permit your End Users to modify or further
  121. distribute Redistributables or use Redistributables in any program that
  122. they create; (b) you may not use Borland's or any of its suppliers'
  123. names, logos, or trademarks to market your Works, except to state
  124. descriptively that your Work was written using the Product; (c) all
  125. copies of the Works you create must bear a valid copyright notice,
  126. either your own or the Borland copyright notice that appears on the
  127. Product, and you may not remove or alter any Borland copyright,
  128. trademark or other proprietary rights notice contained in any portion of
  129. the Redistributables; and (d) you may only distribute Redistributables
  130. with Works that add primary and substantial functionality to the
  131. Redistributables and are not merely a set or subset of any of the
  132. Redistributables, and that are created in accordance with the terms of
  133. this License.
  134.  
  135. 3.4      Relationship with End Users.  Except as set forth in Section 4,
  136. there are no third party beneficiaries to this License.  Consequently,
  137. Borland provides no warranty at all to any person, other than the
  138. limited warranty provided to you the original purchaser of the Product,
  139. as set forth herein, and you will be solely responsible to your End
  140. Users (or anyone else who uses or acquires Works) for support, service,
  141. upgrades, or technical or other assistance (including with respect to
  142. any Redistributables included therein), and such persons will have no
  143. right to contact Borland for any services or assistance.  You will
  144. indemnify, defend and hold Borland, its licensors, its suppliers and
  145. each of their respective employees, officers, directors and affiliates,
  146. harmless from and against any claims or liabilities arising out of or
  147. related to the use, procurement, reproduction or distribution of your
  148. Works by third parties.
  149.  
  150. 3.5      Third Party Software.  The Product, including Redistributables,
  151. may include source code, redistributable files, and/or other files
  152. provided by a third party vendor ("Third Party Product").  Since use of
  153. Third Party Product might be subject to license restrictions imposed by
  154. the third party vendor, you should refer to the on-line documentation
  155. (if any) provided with Third Party Product for any license restrictions
  156. imposed by the third party vendor.  In any event, any license
  157. restrictions imposed by a third party vendor are in addition to, not in
  158. lieu of, the terms and conditions of this License.
  159.  
  160. 3.6      Other Rights.  Contact Borland for the applicable royalties due
  161. and other licensing terms for all other uses or distribution of the
  162. Redistributables.
  163.  
  164. 4.       SPECIAL TERMS.
  165. The following terms and conditions ("Special Terms") are specific to
  166. certain editions, versions and components of the Product and are in
  167. addition to the provisions of Sections 2 and 3.  If any provision of the
  168. Special Terms applicable to the Product conflicts with any other
  169. provision of this License, then the provision of the Special Terms will
  170. supercede and control.
  171.  
  172. 4.1      SPECIAL TERMS THAT APPLY TO KYLIX ENTERPRISE EDITION, KYLIX
  173.          PROFESSIONAL EDITION AND KYLIX OPEN EDITION - GPL DISTRIBUTION
  174.          OPTIONS
  175. Pursuant to your right under Section 2.1 to distribute Works, you may
  176. distribute Works under the terms of the GNU General Public License
  177. subject to the restrictions set forth in this section and the other
  178. terms and conditions of this Agreement. Your right to distribute Works
  179. under this License is subject to your compliance with the following
  180. restrictions: (i) distribution of the Protected Packages (as defined
  181. below) under the GPL is strictly prohibited, and (ii) distribution of
  182. the Dual-Licensed Packages (as defined below), whether internal or
  183. public, must be subject to the terms of the GNU General Public License
  184. which can be found at www.borland.com/kylix/gpl.html.  The provisions of
  185. Sections 3.2, 3.3(a), 3.3(d) and 9 shall not apply to any
  186. Redistributables which are GPL-Licensed Packages or Dual-Licensed
  187. Packages distributed under the terms of the GPL.  "Protected Packages",
  188. "Dual-Licensed Packages" and "GPL-Licensed Packages" are those
  189. components of the Product that are identified as Protected Packages,
  190. Dual-Licensed Packages and GPL-Licensed Packages, respectively, in the
  191. deploy.txt file found on the Product CD or at
  192. www.borland.com/kylix/deploy.html.
  193.  
  194. If you have Kylix Open Edition and you would like to distribute your
  195. Works other than under the GNU General Public License, then you must
  196. purchase the appropriate commercial license from Borland.
  197. Alternatively, you may submit your CLX components or CLX source code
  198. modifications to Borland for potential inclusion in Borland's CLX and
  199. subsequent release under Borland's licensing program. Any distribution
  200. of your Works under the GPL must be accompanied by the source code to
  201. the GPL-licensed CLX (refer to the deploy.txt file found on the Product
  202. CD, or see www.borland.com/kylix) or a notice and instructions on how to
  203. acquire said source code to the GPL-licensed CLX.
  204.  
  205. 4.2      SPECIAL TERMS THAT APPLY TO KYLIX ENTERPRISE EDITION AND KYLIX
  206.          PROFESSIONAL EDITION ONLY
  207. ADDITIONAL LICENSE TERMS FOR INTERBASE
  208. The portion of the Product identified as InterBase is not a
  209. Redistributable and is licensed for development purposes only.  This
  210. License does not permit you to use the InterBase portion of this Product
  211. for any commercial, business, governmental institutional or other
  212. purpose of any kind, other than development and testing of Works.  You
  213. must purchase a separate InterBase deployment license from Borland
  214. before deploying or distributing any Work that uses InterBase.
  215.  
  216. 4.3      SPECIAL TERMS THAT APPLY TO KYLIX ENTERPRISE EDITION ONLY
  217. ADDITIONAL LICENSE TERMS FOR DEPLOYING MULTI-TIER WORKS
  218.  
  219. This version of the Product may include redistributable files identified
  220. as "ClientDataset Redistributables" for creating multi-tier application
  221. Works.  This License does not permit you to use the ClientDataset
  222. Redistributables to support data sharing among two or more computers.
  223. You must purchase a separate DataSnap deployment license from Borland
  224. before using ClientDataset Redistributables to support data sharing
  225. among two or more computers.  Please refer to the on-line documentation,
  226. including DEPLOY.TXT, for information about how to purchase this
  227. separate license.  "Data sharing" refers to any use of the ClientDataset
  228. Redistributables for supporting the transmission by any means of data
  229. from one computer to another for use by ClientDataset Redistributables
  230. installed on another computer.  The separate DataSnap deployment license
  231. is not required for deploying a Work that does not use ClientDataset
  232. Redistributables for supporting such data sharing among computers.
  233.  
  234. ADDITIONAL LICENSE TERMS FOR VISIBROKER
  235.  
  236. The portion of the Product identified as VISIBROKER is not a
  237. Redistributable and is licensed for development purposes only. This
  238. License does not permit you to use the VISIBROKER portion of this
  239. Product for any commercial, business, governmental, institutional or
  240. other purpose of any kind, other than development and testing Works.
  241. You must purchase a separate VISIBROKER deployment license from Borland
  242. before deploying or distributing any Work that uses VISIBROKER.
  243.  
  244. 4.4      SPECIAL TERMS THAT APPLY TO KYLIX OPEN EDITION ONLY
  245.  
  246. Subject to the terms and conditions of this License, you may exercise
  247. your rights under this license to use the Product and to create Works to
  248. be distributed solely under the terms of the GNU General Public License
  249. which can be found at www.borland.com/kylix/gpl.html and subject to
  250. Section 4.1 above and the other terms and conditions of this License.
  251. Subject to the other terms and conditions of this Agreement and subject
  252. to the terms of the GNU General Public License, you may distribute your
  253. Works to others.

  255. 4.5      ADDITIONAL LICENSE TERMS APPLICABLE TO SOFTWARE LICENSED FOR
  256. EDUCATIONAL USE
  257.  
  258. Subject to the terms and conditions of this License, you may exercise
  259. your rights under this license to use the Product and to create Works
  260. solely for your own personal use in providing or receiving instruction
  261. within the limited scope of guided computer programming and/or software
  262. training courses in which you are a direct and personal participant,
  263. either as student or instructor ("Courses"). You may only reproduce,
  264. distribute and use Works, in source or object code form, to other
  265. participants of the Courses and then only for educational or training
  266. purposes. You may not use the Products or Works created with the
  267. products for any commercial, business, governmental or institutional
  268. purpose of any kind, except to the extent you are an instructor teaching
  269. a Course. All rights not specifically granted to you herein are retained
  270. by Borland.
  271.  
  272. 4.6      ADDITIONAL LICENSE TERMS APPLICABLE TO EVALUATION SOFTWARE
  273.  
  274. Subject to the terms and conditions of this License, you may exercise
  275. your rights under this license to use the Product and to create Works
  276. for the sole purpose of evaluating or demonstrating the Product.  Your
  277. license is for a term of sixty (60) days from the date you obtain the
  278. serial number and authorization key for the Product or otherwise begin
  279. using the Product ("Evaluation Period").
  280.  
  281. You may not use the Product for any commercial, business, governmental
  282. or institutional purpose of any kind. At the end of the Evaluation
  283. Period, further use of the Product by you is prohibited without the
  284. purchase of a commercial license.  If you do not purchase a license for
  285. the Product at the end of the Evaluation Period, you hereby agree to
  286. permanently remove or delete the Product from all computer systems on
  287. which it was installed and destroy any software and documentation
  288. received, and not to reinstall a new copy of the Product. If you desire
  289. to continue to use the Product following the Evaluation Period, you
  290. should contact Borland or a Borland authorized reseller to order
  291. commercial licenses to use the Product.
  292.  
  293. THE PRODUCT CONTAINS A TIME-OUT FEATURE THAT DISABLES ITS OPERATION
  294. AFTER THE EXPIRATION OF THE EVALUATION PERIOD.  WORKS THAT YOU CREATE
  295. DURING THE EVALUATION PERIOD MAY REQUIRE THE PRODUCT IN ORDER TO RUN.
  296. UPON EXPIRATION OF THE EVALUATION PERIOD, THOSE WORKS MAY NO LONGER RUN.
  297. YOU SHOULD THEREFORE TAKE PRECAUTIONS TO AVOID ANY LOSS OF DATA THAT
  298. MIGHT RESULT.
  299.  
  300. 4.7         ADDITIONAL LICENSE TERMS APPLICABLE TO THIRD PARTY SOFTWARE
  301.  
  302. Certain components of the Product use or incorporate third-party
  303. software programs and/or libraries ("Third-Party Software") which are
  304. loaded (in both object and source code form) on the Product media.  You
  305. agree that Borland's third-party licensors and suppliers are intended
  306. third party beneficiaries of all terms and conditions of this License
  307. intended to protect intellectual property rights in the Product
  308. (including the Third-Party Software) and limit certain uses thereof.
  309.  
  310. 4.8         ADDITIONAL LICENSE TERMS APPLICABLE TO UPGRADES
  311.  
  312. If you have purchased an upgrade version of the Product, it constitutes
  313. a single product with the copy of the Product that you upgraded.  This
  314. means that, although you may have two sets of Product media, you still
  315. have only one license.  Therefore, you may not transfer the original
  316. copy of the Product to any other party.
  317.  
  318. 5.          LIMITATIONS.  You may not:  (a) modify, adapt, alter,
  319. translate, or create derivative works of the Product or merge the
  320. Product with other software other than as described in the Product's
  321. accompanying documentation or as approved of in writing by Borland; (b)
  322. lease, rent or loan the Product to any third party; (c) sublicense,
  323. distribute or otherwise transfer the Product or any component thereof to
  324. any third party except as expressly authorized in this Agreement; (d)
  325. reverse engineer, decompile, disassemble, or otherwise attempt to derive
  326. the source code of the Product; (e) remove, alter, or obscure any
  327. confidentiality or proprietary notices (including copyright and
  328. trademark notices) of Borland or its suppliers on the Product; (f) allow
  329. third parties to access or use the Product such as in a time-sharing
  330. arrangement or operate the Product as part of a service bureau or,
  331. except as expressly authorized under Sections 2, 3 or 4, otherwise for
  332. the use or benefit of third parties; (g) reproduce or use the Product
  333. except as expressly authorized under Sections 2, 3 or 4; or (h) disclose
  334. or publish performance benchmark results for the Product.  The rights
  335. granted under this License apply only to this Product.  You must procure
  336. a separate license to use other Borland software.  Furthermore, you may
  337. not permit your End Users to conduct the restricted activities limited
  338. by items (a) through (e), (g) and (h) above insofar as they apply to
  339. Redistributables, and such End User's sublicense rights to the
  340. Redistributables are conditioned upon compliance with such limitations.
  341. The limitations in this Section 5 apply equally to your use of the
  342. Product, in whole or in part, including any component or
  343. Redistributable.
  344.  
  345. 6.          LIMITED WARRANTY AND DISCLAIMER.  Borland warrants to you,
  346. the original purchaser and to no other party, that any physical media
  347. included with the Product, as and when provided to you, will be free of
  348. physical defects in materials and workmanship for a period of ninety
  349. (90) days after the date that you initially acquire the Product.  Your
  350. exclusive remedy and Borland's sole liability for breach of this
  351. warranty is that Borland will replace any defective media returned to
  352. Borland within the ninety (90) day warranty period.  This warranty does
  353. not apply to damages resulting from misuse, abuse or neglect.  Any
  354. replacement media will be warranted as above for the remainder of the
  355. original warranty period or twenty (20) days from the date we ship it to
  356. you, whichever is longer.  EXCEPT FOR THIS EXPRESS LIMITED WARRANTY, THE
  357. PRODUCT IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND.  BORLAND
  358. HEREBY EXCLUDES AND DISCLAIMS ALL IMPLIED OR STATUTORY WARRANTIES,
  359. INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
  360. PURPOSE, QUALITY, NON-INFRINGEMENT, TITLE, RESULTS, EFFORTS OR QUIET
  361. ENJOYMENT.  THERE IS NO WARRANTY THAT THE PRODUCT WILL BE ERROR-FREE OR
  362. WILL FUNCTION WITHOUT INTERRUPTION.  YOU ASSUME THE ENTIRE RISK FOR THE
  363. RESULTS OBTAINED USING THE PRODUCT.  TO THE EXTENT THAT BORLAND MAY NOT
  364. DISCLAIM ANY WARRANTY AS A MATTER OF APPLICABLE LAW, THE SCOPE AND
  365. DURATION OF SUCH WARRANTY WILL BE THE MINIMUM PERMITTED UNDER SUCH LAW.
  366.  
  367. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE
  368. ABOVE EXCLUSION MAY NOT APPLY TO YOU.  THIS LIMITED WARRANTY GIVES YOU
  369. SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS, WHICH
  370. VARY FROM STATE TO STATE.
  371.  
  372. 7.          SERVICES; UPDATES; PRODUCT CHANGES.  Borland is not required
  373. under this License to provide any installation, training or other
  374. services to you.  Such services, if available, must be purchased
  375. separately.  If, pursuant to a separate support agreement or otherwise,
  376. Borland provides you with a new release, error correction, update,
  377. upgrade or other modification to the Product, such modification will be
  378. deemed part of the Product, and subject to the terms of this License,
  379. unless the modification is expressly provided subject to a separate
  380. license agreement. Borland reserves the right at any time not to release
  381. or to discontinue release of any Product and to alter prices, features,
  382. specifications, capabilities, functions, licensing terms, release dates,
  383. general availability or other characteristics of any future releases of
  384. the Product.
  385.  
  386. 8.          REGISTRATION.  You must register the Product with Borland as
  387. a condition to your rights to use the Product.  You will be prompted to
  388. register the Product at the time of your installation or first use of
  389. the Product, at which time you will be notified (or directed to online
  390. resources explaining) how registration information provided by you may
  391. be used and you will be afforded the opportunity to opt out of certain
  392. uses of such information.
  393.  
  394. 9.          CONFIDENTIALITY.  You acknowledge that the Product in source
  395. code form remains a confidential trade secret of Borland.  You agree to
  396. hold this information in confidence, not disclose it to any person, and
  397. not use it for any purpose other than the use and operation of the
  398. Product as permitted under this License.
  399.  
  400. 10.         LIMITATION OF LIABILITY.  IN NO EVENT WILL BORLAND BE LIABLE
  401. TO ANY PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY,
  402. SPECIAL OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF PROFIT, REVENUE,
  403. BUSINESS OPPORTUNITY OR DATA, ARISING FROM OR RELATING TO THIS LICENSE
  404. OR THE PRODUCT, WHETHER IN CONTRACT, IN TORT OR OTHERWISE, EVEN IF
  405. BORLAND KNEW, SHOULD HAVE KNOWN OR HAS BEEN ADVISED OF THE POSSIBILITY
  406. OF SUCH DAMAGES.  BORLAND'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR
  407. RELATED TO THIS LICENSE OR THE PRODUCT, WHETHER IN CONTRACT, IN TORT OR
  408. OTHERWISE, WILL NOT EXCEED THE FEES ACTUALLY PAID BY YOU UNDER THIS
  409. LICENSE.  THIS SECTION 10 WILL APPLY EVEN IF AN EXCLUSIVE REMEDY
  410. HEREUNDER HAS FAILED OF ITS ESSENTIAL PURPOSE.

  412. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
  413. CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT

  416. 11.         THIRD PARTY CLAIMS.  Borland will defend and settle any suit
  417. brought against you by a third party (not your affiliate) based on a
  418. claim that the Product infringes upon any U.S. copyright and Borland
  419. will pay those costs and damages finally awarded against you in such
  420. suit that are specifically attributable to such claims or those amounts
  421. payable by you under a settlement of such suit. The foregoing
  422. obligations are conditioned on you:  (a) notifying Borland promptly in
  423. writing of such action; (b) giving Borland sole control of the defense
  424. thereof and any related settlement negotiations; and (c) cooperating
  425. and, at Borland's request and expense, assisting in such defense. If the
  426. Product becomes, or in Borland's opinion is likely to become, the
  427. subject of an infringement claim that Borland is required to defend,
  428. then Borland may (at its option and expense) either:  (a) procure for
  429. you the right to continue using the Product; (b) replace or modify the
  430. Product so that it becomes non-infringing; or (c) terminate this License
  431. and your rights hereunder to use the Product and refund a pro rata
  432. portion of any license fee you paid under this License, based on a three
  433. (3) year product life. Notwithstanding the foregoing, Borland will have
  434. no obligation under this Section 11 or otherwise with respect to any
  435. infringement claim based upon:  (a) any use of the Product not in
  436. accordance with this License or the products accompanying documentation:
  437. (b) any use of the Product in combination with other products,
  438. equipment, software, or data not provided by Borland; (c) any use of any
  439. version of the Product other than the most current version made
  440. available to you; or (d) any modification of the Product by any person
  441. other than Borland or its authorized agents ("Excluded Claims"). You
  442. will indemnify Borland against all liability, damages and costs
  443. (including reasonable attorneys' fees) resulting from or related to an
  444. Excluded Claim. This section 11 states Borland's entire liability and
  445. your sole and exclusive remedy for third-party claims relating to the
  446. Product.

  448. 12.      TERM AND TERMINATION.
  449.  
  450. 12.1     Term.  The term of this License will begin as of the date that
  451. you receive the Product and will remain in effect perpetually unless
  452. terminated under this Section 12.
  453.  
  454. 12.2     Termination for Convenience.  You may terminate this License
  455. for any reason, or for no reason, by giving Borland five (5) days'
  456. written notice.
  457.  
  458. 12.3     Termination for Cause.  Borland may terminate this License if
  459. you breach your obligations hereunder.  Borland will effect such
  460. termination by giving you notice of termination, specifying therein the
  461. alleged breach.  If your breach is curable, you will have a grace period
  462. of thirty (30) days after such notice is served to cure the breach
  463. described therein.  If the breach is cured within the thirty (30) day
  464. grace period, then this License will remain in effect; otherwise, this
  465. License will automatically terminate upon the conclusion of the thirty
  466. (30) day grace period.
  467.  
  468. 12.4     Effect of Termination.  Upon the termination of this License
  469. for any reason the following terms shall apply:  (a) all rights granted
  470. under this License will immediately terminate and you must stop all use
  471. of the Product and any Redistributables; (b) you must return to Borland
  472. or destroy all copies of the Product provided to or made by you, and
  473. will, within ten (10) days after the effective date of termination,
  474. provide Borland with written certification that all such copies have
  475. been returned or destroyed;; and (c) all provisions of this License with
  476. the exception of the licenses granted in Sections 2, 3 and 4, will
  477. survive termination of this License for any reason.

  479. 13.      GENERAL PROVISIONS.
  480.  
  481. 13.1     Canadian Transactions.  If you are subject to Canadian law, you
  482. agree to the following:

  489. 13.2     Hazardous Uses.  The Product is not intended for use, and you
  490. may not use or allow others to use the Product, in connection with any
  491. application requiring fail-safe performance such as the operation of
  492. nuclear power facilities, air traffic control or navigation systems,
  493. weapons control systems, life support systems, or any other system whose
  494. failure could lead to injury, death, environmental damage or mass
  495. destruction.  You agree that Borland will have no liability of any
  496. nature, and you are solely responsible, for any expense, loss, injury or
  497. damage incurred as a result of such use of the Product.
  498.  
  499. 13.3     Governing Law.  This License will be governed by and construed
  500. in accordance with the laws of the United States and the State of
  501. California, without giving effect to any conflicts or choice of laws
  502. principles that would require the application of the laws of a different
  503. jurisdiction.  The parties expressly exclude the application of the 1980
  504. United Nations Convention on the International Sale of Goods (if
  505. applicable).

  507. 13.4        Entire License; Severability.     This License constitutes
  508. the entire, final and exclusive agreement between you and Borland
  509. regarding the specific license transaction described herein.  If any
  510. provision of this License is held to be illegal, invalid or
  511. unenforceable for any reason, then such provision will be enforced to
  512. the maximum extent permissible and the remainder of the provisions of
  513. this License will remain in full force and effect.

  515. 13.5        Assignment.  You may not transfer the Software media, assign
  516. this License or assign any of your rights or delegate any of your
  517. obligations under this License, by operation of law or otherwise
  518. (including by merger, sale of assets or consolidation), without
  519. Borland's prior written consent.  Any attempted assignment in violation
  520. of this Section 13.5 will be void.

  522. 13.6        Export Control.  You may not directly or indirectly transfer
  523. the Product, including its documentation, to any country if such
  524. transfer would be prohibited by applicable law, including the U.S.
  525. Export Administration Act and the regulations issued thereunder. You
  526. agree to the foregoing and you are representing and warranting that you
  527. are not located in, under the control of, or a national or resident of
  528. any such country. You will be solely responsible for identifying and
  529. complying with all laws of any jurisdiction outside of the United States
  530. regarding the import, export or use of Products and technical data
  531. supplied by Borland.  You will obtain at your own expense all licenses,
  532. permits or approvals required by any government to use the Product.
  533.  
  534. 13.7        U.S. Government Rights.  The Product is a "commercial item"
  535. as that term is defined at 48 C.F.R. 2.101, consisting of "commercial
  536. computer software" and "commercial computer software documentation" as
  537. such terms are used in 48 C.F.R. 12.212.  Consistent with 48 C.F.R.
  538. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. Government
  539. end users acquire the Product with only those rights set forth in this
  540. License.
  541.  
  542. 13.8        Waiver and Modifications.  All waivers must be in writing.
  543. Any waiver or failure to enforce a provision of this License on one
  544. occasion shall not be deemed a waiver of any other provision or such
  545. provision on any other occasion.  This License may only be amended by a
  546. written document signed by both parties.
