  1.                       CINCOM SYSTEMS, INC.
  2.                    SOFTWARE LICENSE AGREEMENT
  3.                     FOR NON-COMMERCIAL USERS
  4.  
  5.  
  6. IMPORTANT NOTICE:  READ THE TERMS AND CONDITIONS OF THIS LICENSE
  7. AGREEMENT CAREFULLY BEFORE PROCEEDING TO USE THE ENCLOSED COMPUTER
  8. SOFTWARE AND THE RELATED USER DOCUMENTATION (THE "PRODUCT"). THE
  9. PRODUCT IS COPYRIGHTED AND ITS USE IS LICENSED (NOT SOLD).  BY
  10. USING THE PRODUCT, YOU ARE ACCEPTING AND AGREEING TO THE TERMS OF
  11. THIS LICENSE AGREEMENT.  IF YOU ARE NOT WILLING TO BE BOUND BY THE
  12. TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT, YOU SHOULD NOT USE
  13. THE PRODUCT.  THIS LICENSE AGREEMENT REPRESENTS THE ENTIRE
  14. AGREEMENT CONCERNING THE PRODUCT BETWEEN YOU AND CINCOM SYSTEMS,
  15. INC. (REFERRED TO HEREIN AS "LICENSOR"), AND THIS AGREEMENT
  16. SUPERSEDES ANY PRIOR PROPOSALS, REPRESENTATIONS, OR UNDERSTANDING
  17. BETWEEN THE PARTIES.
  18.  
  19.         1. License Grant.  Licensor hereby grants to you, and you
  20. do hereby accept, a nonexclusive license to use the Product only
  21. as is authorized in this License Agreement. You shall not reverse
  22. assemble or otherwise translate the Product.
  23.  
  24.         U.S. Government Restricted Rights:  Licensor provides the
  25. Product with RESTRICTED RIGHTS.  Use, duplication, or disclosure
  26. by the U.S. Government or any agency or instrumentality thereof is
  27. subject to restrictions set forth in subparagraphs (c) (1) and (2)
  28. of the Commercial Computer Software - Restricted Rights clause at
  29. 48 C.F.R. 52.227-19, or any successor provision, as applicable.
  30. The Contractor/Manufacturer is Cincom Systems, Inc., 55 Merchant
  31. Street, Cincinnati, Ohio  45246.

  33.         2. Licensor's Rights.  You acknowledge and agree that the
  34. Product is a proprietary product of Licensor protected under U.S.
  35. copyright law and international treaty provisions.  You further
  36. acknowledge and agree that all right, title, and interest in and
  37. to the Product, including associated intellectual property rights,
  38. are and shall remain with Licensor. This License Agreement does
  39. not convey to you an interest in or to the Product, but only a
  40. limited right of use revocable in accordance with the terms of
  41. this License Agreement.
  42.  
  43.         3. Licensee's Rights.
  44.            a. Licensee may distribute copies of the Software in
  45.               unmodified form to persons who have agreed to the
  46.               terms of this license agreement.
  47.            b. Licensee may distribute, without charge of any kind,
  48.               applications developed using the Software to persons
  49.               who have agreed to use such applications for non-
  50.               commercial purposes, pursuant to a license agreement
  51.               containing terms and provisions at least as
  52.               restrictive and protective of Licensor's rights and
  53.               interests as this Agreement.
  54.  
  55.         4. Rental Fees.  This license is granted to you on a non-
  56. commercial basis.  Therefore, no Rental Charges are involved,
  57. unless you breach the terms and conditions of Section 1 herein.
  58. Upon any such breach and the request of Licensor, you shall pay
  59. Licensor the applicable rental charges for the Product for your
  60. nonconforming use.
  61.  
  62.         5. Term.  This License Agreement is effective upon
  63. delivery of the Product to you and will remain in effect until
  64. terminated.  You may terminate this License Agreement at any time
  65. by giving 30 days prior written notice to Licensor.  You shall not
  66. be entitled to a refund or credit for any amounts which may become
  67. due prior to the date of termination.  Licensor may terminate this
  68. License Agreement upon your breach of any term hereof.  Upon
  69. termination by Licensor, you agree to discontinue usage and return
  70. or destroy all copies and portions of the Product.
  71.  
  72.         6. Limited Warranty. THE PRODUCT IS LICENSED "AS IS," AND
  73. LICENSOR DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS
  74. OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES
  75. OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

  77.         7. Limitation of Liability.  Licensor's cumulative
  78. liability to you or any other party for any loss or damages
  79. resulting from any claims, demands, or actions arising out of or
  80. relating to this Agreement will not exceed the total amount paid
  81. by you to Licensor in the twelve months immediately preceding such
  82. claim, in license charges for the use of any Product that causes
  83. damages.  In no event shall Licensor be liable for any indirect,
  84. incidental, consequential, special, or exemplary damages or lost
  85. profits, even if Licensor has been advised of the possibility of
  86. such damages.  THE ABOVE LIMITATION OR EXCLUSION MAY NOT BE
  87. ALLOWED BY ALL JURISDICTIONS.
  88.  
  89.         8. Trademark.  The trademark listed on the Product is a
  90. trademark of Licensor.  No right, license, or interest to such
  91. trademark is granted hereunder, and you agree that no such right,
  92. license, or interest shall be asserted by you with respect to such
  93. trademark.
  94.  
  95.         9. Governing Law.  This License Agreement shall be
  96. construed and governed in accordance with the laws of the State of
  97. Ohio.
  98.  
  99.         10. Costs of Litigation.  If any action is brought by
  100. either party to this License Agreement against the other party
  101. regarding the subject matter hereof, the prevailing party shall be
  102. entitled to recover, in addition to any other relief granted,
  103. reasonable attorney fees and expenses of litigation.
  104.  
  105.         11. Severability.  Should any term of this License
  106. Agreement be declared void or unenforceable by any court of
  107. competent jurisdiction, such declaration shall have no effect on
  108. the remaining terms hereof.
  109.  
  110.         12. No Waiver.  The failure of either party to enforce any
  111. rights granted hereunder or to take action against the other party
  112. in the event of any breach hereunder shall not be deemed a waiver
  113. by that party as to subsequent enforcement of such or any other
  114. such rights or any subsequent actions in the event of future
  115. breaches.

  117. If you have any questions about this License Agreement, or if you
  118. have any questions or comments about the Product, please contact
  119. your local Cincom sales office.

  122.                        TERMS AND CONDITIONS
  123.               SPECIFIC TO EDUCATIONAL INSTITUTIONS
  124.                        AND RESEARCH CENTERS
  125.  
  126. THE TERMS AND CONDITIONS STATED BELOW SHALL BE CONSIDERED
  127. INCORPORATED AND MADE PART OF THE PRIOR TERMS AND CONDITIONS.
  128. THOSE STATED HEREAFTER MODIFY THE TERMS AND CONDITIONS SET FORTH
  129. ABOVE IN PART AND ONLY APPLY TO PRODUCTS LICENSED BY EDUCATIONAL
  130. INSTITUTIONS AND RESEARCH CENTERS.  IF THERE IS ANY INCONSISTENCY
  131. BETWEEN THE TERMS AND CONDITONS SET FORTH ABOVE AND THOSE SET
  132. FORTH BELOW, THE TERMS AND CONDITIONS BELOW SHALL CONTROL.
  133.  
  134.         13. Academic License.  In order to be covered under these
  135. extended terms and conditions, Customer must first register on
  136. Cincom's Website.
  137.  
  138.         14. Support Contact.  Customer may designate up to three
  139. named users as Support Contacts when registering.
  140.  
  141.         15. Licensee's Rights (extended).  Registered Customer, its
  142. students, or research teams are free to use the software for their
  143. research and teaching.
  144.  
  145.         16. License Fees (extended).  Customer, its students or
  146. research teams shall, in no way, use the Product for any internal
  147. or external commercial business, or for any internal or external
  148. commercial operational activities.  Customer is fully responsible
  149. for any prohibited use of Product by it, its students or research
  150. teams and accepts this nondisclosure clause for it, its students
  151. and/or research teams.
  152.  
  153.         17. Support.  Any of Customer's registered Support Contacts
  154. has full access to Cincom's on-line and telephone support, as
  155. needed, for assistance with problem resolution relating to the
  156. proper operation of the Product.
  157.  
  158.         18. Additional Support.  Any additional support and/or
  159. special services are separate, and subject to the terms and
  160. conditions of a separate agreement with Cincom.
  161.  
  162.         19. Licensor's Rights (extended). Cincom may use Registered
  163. Customer's name in any of its marketing or promotional materials.

  166.                       TERMS AND CONDITIONS
  167.                 SPECIFIC TO COMMERCIAL EVALUATION 
  168.                       USAGE OF THE PRODUCT
  169.  
  170.         20. Licensor's Rights (extended).
  171.             a. Licensee may use this software for commercial
  172.                evaluation purposes for a period not to exceed
  173.                ninety (90) days.  Any additional evaluation must
  174.                be mutually agreed upon by Cincom and Licensee
  175.             b. Licensee may receive support from Cincom during the
  176.                period of evaluation provided that Licensee has first
  177.                registered with Cincom.  
  178.             c. In order to register with Cincom for evaluation
  179.                purposes, Licensee must sign the bottom of this license
  180.                and deliver it to Cincom.  
  181.
