  1. LICENSE AGREEMENT
  2.  
  3. The software which accompanies this license ( the "Software") is the
  4. property of TechSmith Corporation (herein "TSC"). While TSC continues 
  5. to own the Software, you will have certain rights to use the 
  6. Software after your acceptance of this license.
  7.  
  8.  
  9. This license applies to all users of this Software and is divided
  10. into three sections.
  11.  
  12. 1)  GENERAL TERMS AND CONDITIONS apply to all users and uses of this
  13.     Software.
  14.  
  15. 2)  TERMS AND CONDITIONS FOR REGISTERED COPIES OF THE SOFTWARE apply
  16.     to REGISTERED copies of this Software.
  17.  
  18. 3)  TERMS AND CONDITIONS FOR EVALUATION COPIES OF THE SOFTWARE apply
  19.     only to users of UNREGISTERED copies of this Software.

  22. 1) GENERAL TERMS AND CONDITIONS
  23.  
  24. TITLE  
  25.  
  26. Title, ownership rights, and intellectual property rights in and to
  27. the Software and the associated documentation shall remain with TSC
  28. and/or its suppliers. This agreement does not include the right to
  29. sublicense the Software and is personal to you and therefore may not
  30. be assigned (by operation of law or otherwise) or transferred
  31. without the prior written consent of TSC.  You acknowledge that the
  32. Software in source code form remains a confidential trade secret of
  33. TSC and/or its suppliers; therefore, you agree not to attempt to
  34. decipher, decompile, disassemble or reverse engineer the Software or
  35. allow others to do so, except to the extent applicable laws
  36. specifically prohibit such restriction.  You further agree not to
  37. modify or create derivative works of the Software.
  38.  
  39. DISCLAIMER OF WARRANTY
  40.  
  41. The Software is provided on an "AS IS" basis, without warranty of any
  42. kind, including without limitation the warranties of merchantability,
  43. fitness for a particular purpose and non-infringement.  The entire
  44. risk as to the quality and performance of the Software is borne by
  45. you. Should the Software prove defective, you and not TSC assume
  46. the entire cost of any service and repair.   TSC does not warrant
  47. that the Software will meet your requirements or that operation of
  48. the Software will be uninterrupted or that the Software will be
  49. error-free.

  51. This disclaimer of warranty constitutes an essential part of the
  52. agreement. Some states do not allow exclusions of an implied
  53. warranty, so this disclaimer may not apply to you and you may have
  54. other legal rights that vary from state to state or by jurisdiction.

  56.  
  57. LIMITATION OF LIABILITY 
  58.  
  59. Under no circumstances and under no legal theory, tort, contract, or
  60. otherwise, shall TSC or its suppliers or resellers be liable to you
  61. or any other person for any indirect, special, incidental, or
  62. consequential damages of any character including, without
  63. limitation, damages for loss of goodwill, work stoppage, computer
  64. failure or malfunction, or any and all other commercial damages or 
  65. losses.  This limitation of liability shall not apply to liability
  66. for death or personal injury to the extent applicable law prohibits
  67. such limitation.  Furthermore, some states do not allow the exclusion
  68. or limitation of incidental or consequential damages, so this
  69. limitation and exclusion may not apply to you.

  71. EXPORT CONTROLS 
  72.  
  73. You may not download or otherwise export or reexport the Software or
  74. any underlying information or technology except in full compliance
  75. with all United States and other applicable laws and regulations.
  76. In particular, but without limitation, none of the Software or
  77. underlying information or technology may be downloaded or otherwise 
  78. exported or reexported (i) into or to a national or resident of any
  79. other country to which the U.S. has embargoed goods; or (ii) to
  80. anyone on the U.S. Treasury Department's list of Specially
  81. Designated Nationals or the U.S. Commerce Department's Table of Deny
  82. Orders.  By downloading or using the Software, you are agreeing to
  83. the foregoing terms, and you are representing and warranting that
  84. you are not located in, under the control of, or a national or
  85. resident of any such country or on any such list.
  86.  
  87. MISCELLANEOUS
  88.   
  89. This Agreement represents the complete and exclusive statement of the
  90. agreements concerning this license between the parties and supersedes
  91. all prior agreements and representations between them.  It may be
  92. amended only by written addendum executed by both parties.  If any
  93. provision of this agreement is held to be unenforceable for any 
  94. reason, such provision shall be reformed only to the extent necessary
  95. to make it enforceable, and such decision shall notaffect the
  96. enforceability (i) of such provision under othercircumstances or;
  97. (ii) of the remaining provisions hereof under all circumstances.
  98. Headings shall not be considered in interpreting this agreement.  
  99. This agreement shall be governed by and construed under Michigan law
  100. as such law applies to agreements between Michigan residents entered
  101. into and to beperformed entirely within Michigan, except as governed
  102. by Federal law.  This agreement will not be governed by the United
  103. NationsConvention of Contracts for the International Sale of Goods,
  104. the application of which is hereby expressly excluded.

  107. 2)  TERMS AND CONDITIONS FOR REGISTERED COPIES OF THE SOFTWARE
  108.  
  109. REGISTERING 
  110.  
  111. By registering this Software, additional rights to this Software are
  112. granted and defined in this section. You may use one copy of the
  113. Software on a single computer.   If you have registered for a
  114. multi-pack you may use the Software on multiple computers not to
  115. exceed the number of licenses paid for.  The connection time limit is
  116. removed for registered copies of the Software.
  117.  
  118. DISTRIBUTION
  119.  
  120. The right to distribute or redistribute this Software is expressly
  121. denied.  You may not copy, sublicense, rent, or lease any portion of
  122. the Software to another entity.
  123.  
  124. UPDATES 
  125.  
  126. This Software may be updated by TSC on a periodic basis to fix
  127. previously reported problems.  Registered users of this Software may
  128. download the updated Software and use it in place of the previous
  129. version.  The previously issued product registration key will work
  130. with updated Software.
  131.  
  132. UPGRADES  
  133.  
  134. From time to time, TSC may offer for sale complete and significant
  135. upgrades of this Software.  If an upgraded license is purchased as a
  136. replacement for a previous version, all copies and use of the prior
  137. version must be destroyed, except for copies retained for archival
  138. purposes. The previously issued product registration key may no
  139. longer work with ugraded Software and a new key may be required.
  140. Enhancements and updates, if available, may be obtained through TSC
  141. at current pricing, terms, and conditions.

  143. The acceptance of any purchase order placed by you is expressly made
  144. conditional on your assent to the terms set forth herein, and TSC
  145. agrees to furnish the software and documentation only upon these
  146. terms and not those contained in your purchase order.
  147.  
  148. 3) TERMS AND CONDITIONS FOR EVALUATION COPIES OF THE SOFTWARE
  149.  
  150. Unregistered copies of this Software may be used only for the purpose
  151. of evaluating this Software for suitability to fulfill the
  152. customer's need.  Subject to the provisions contained herein TSC
  153. hereby grants you a non-exclusive right to use this Software free of
  154. charge if your use of the Software is for the purpose of evaluating
  155. whether to purchase an ongoing license to the Software.  You may
  156. evaluate the Software for not more than 30 days.  At the end of 30
  157. days you must purchase a license in order to continue using the
  158. Software. 
  159.  
  160. DISTRIBUTION.  
  161.  
  162. You may freely distribute the unregistered Software in its entirety.
  163. None of the files may be excluded.  The Software is protected by the
  164. copyright laws of the United States and international copyright
  165. treaties.
