  23. Subject: Markey Applauds Initiative to Put SEC Corporate Filings on Internet

  25. WASHINGTON -- Representative Edward J. Markey (D-MA), Chairman of
  26. the House Telecommunications and Finance Subcommittee, today
  27. applauded the National Science Foundation's decision to fund a
  28. pilot project aimed at making corporate disclosure documents
  29. available through the Internet computer network.  The project
  30. will take corporate filings submitted to the SEC's Electronic
  31. Data Gathering and Retrieval (EDGAR) system and make them
  32. available electronically, where they can be accessed by the
  33. public.
  34.  
  35. "This project will launch EDGAR right into cyberspace," said Rep.
  36. Markey, who explained that, "Soon, the public will be able to
  37. obtain low-cost electronic access to a mother lode of
  38. information, including registration statements, and annual and
  39. periodic reports from virtually every major U.S. corporation."
  40.  
  41. Rep. Markey said, "This pilot project may help to demonstrate new
  42. and more efficient ways of making large government databases
  43. available to the public over the information superhighway."
  44.  
  45. "It can potentially benefit investors seeking access to current
  46. information about companies, economists and other researchers
  47. interested in corporate trends and developments, journalists
  48. covering the business beat, and other individuals or public
  49. interest groups interested in understanding what is going on in
  50. corporate America."
  51.  
  52. Since the early 1980's, the SEC has been developing the EDGAR
  53. program to automate the filing, acceptance, dissemination, and
  54. analysis of the more than 10 million pages of disclosure
  55. information annually submitted by public companies.
  56.  
  57. In February, the SEC approved formal implementation of the EDGAR 
  58. program, under which the first mandatory electronic filings began
  59. earlier this week for about 500 large corporations and investment
  60. companies.  Another 1,200 companies were required to use the
  61. system starting in July, and over 3,0000 companies will be
  62. required to file their disclosures using EDGAR by the end of this
  63. year.  Eventually, all 15,000 SEC-registered companies will be
  64. required to use the system.

  66. As the EDGAR program has moved towards operational status, many
  67. potential users of the filings -- such as investors, finance
  68. professionals, journalists, researchers, and public interest
  69. groups -- have expressed concerns about the potential high cost
  70. of public access to EDGAR information under the SEC's current
  71. dissemination strategy.  This strategy relies on a private
  72. information vendor, who sells EDGAR at a regulated wholesale
  73. price to other retial information vendors, who in turn resell the
  74. data to the public.  Over the last several months, the
  75. Subcommittee on Telecommunications and Finance, which has
  76. jurisdiction over the SEC and is responsible for national
  77. telecommunications policy, has been examining the adequacy of
  78. this dissemination strategy.
  79.  
  80. In response to the Subcommittee's inquiries, in April, the SEC
  81. announced two steps aimed at offering the public greater access
  82. to corporate filings submitted through its Electronic Data
  83. Gathering Analysis and Retrieval (EDGAR) system, including
  84. providing CD-ROMs to Federal Depository Libraries and making
  85. diskettes available through the SEC's public reading rooms.  At
  86. the same time, the SEC expressed technical and cost concerns
  87. regarding suggestions that it directly fund electronic access to
  88. EDGAR data.
  89.  
  90. In July, the House of Representatives approved the SEC's
  91. Authorization Bill (H.R. 2239), which earlier was reported by the
  92. Subcommittee and the full Energy and Commerce Committee.  The
  93. Committee report accompanying the bill expressed support for
  94. initiatives aimed at making EDGAR data available over the
  95. Internet, stating that:
  96.  
  97.      The Committee agrees that there exists a need for a
  98.      broad-based government policy on information
  99.      dissemination, and it also believes that it would be
  100.      unacceptable if time- and cost-efficient access to
  101.      Commission filings in electronic form were denied to
  102.      significant groups of market participants and other
  103.      interested parties because of a failure of the existing
  104.      dissemination approach to meet their needs.
  105.  
  106. The Committee noted that the prospects for a significant retail
  107. market for EDGAR data developing "are at present uncertain" and
  108. that therefore, "a pilot project aimed at providing EDGAR data to
  109. the university research community and other interested persons
  110. over the Internet ... may prove to be a useful supplement to the
  111. current dissemination strategy, which will continue to rely on
  112. private vendors for distribution of EDGAR data."

  114. Rep. Markey concluded, "I want to commend the National Science
  115. Foundation for their leadership in taking the initiative to
  116. provide the funding for this project.  Both the New York
  117. University Stern School of Business and the Internet Multicasting
  118. Service are performing an invaluable public service in agreeing
  119. to investigate ways of making EDGAR data available over the
  120. Internet, and I wish them success as they move forward with this
  121. important project."

  126. should be available for public access "sometime early in 1994."  To get a

  135. The Commerce Department's Economic Bulletin Board (EBB) will be accessible
  136. through the Internet without charge between July 26, 1993 until September 30,
  137. 1993.  During this introductory period, the EBB will be available via telnet.
  138. To access the EBB, telnet to EBB.STAT-USA.GOV and login as TRIAL; no password
  139. is required.

  141. The EBB is a one-stop source for current information from the Department of
  142. Commerce, Department of Labor, Treasury Department, the Federal Reserve Board,
  143. and many others federal agencies.  Over 2,000 files covering topics such as
  144. gross domestic product, employment, foreign trade information, financial and
  145. monetary indicators, and regional statistics, are available.

  186. The widespread use of computers and 
  187. communication systems has brought considerable 
  188. benefits to our business and personal lives and will 
  189. continue to change and shape the way in which we 
  190. live. However, with those benefits come unprecedented 
  191. threats to our personal privacy and potential for abuse.

  193. A variety of different models for protection of 
  194. individual privacy in the electronic age have been 
  195. suggested, ranging from state regulation to individual 
  196. action through the use of strong cryptography. 
  197. However, these solutions bring with them their own 
  198. class of problems, including excessive state 
  199. involvement in private matters and the frustration of 
  200. law enforcement and national security objectives.

  202. The First European Conference on Computers, 
  203. Freedom and Privacy will both provide an introduction 
  204. to these issues and the technological developments 
  205. that drive them, and examine different ways in which 
  206. individual rights can be guaranteed. These questions
  207. are central to the preservation of a free society in the 
  208. Information Age.
