  21.           What is a site license?  A site license is an inexpensive way for
  22.           more than one person to legally use one copy of a program on more
  23.           than one computer at a time.  Site licenses are designed for
  24.           companies, offices or workgroups where more than one person in
  25.           the organization needs to use a product, but does not need
  26.           additional manuals or disks.  Site licensing enables companies,
  27.           departments, government agencies, etc., to equip their personnel
  28.           with the tools they need at a minimal cost.

  30.           Here's the gist of how it works:  The company purchasing a site
  31.           license (the licensee) provides a single point of contact for
  32.           shipping, technical support, upgrades, etc., and we (the
  33.           licensor) provide a "golden master" of the diskettes, and
  34.           any other appropriate parts of the package.
  35.  
  36.           There are different interpretations of the term "site license."  
  37.           The legal definitions and explanations can be found in the
  38.           "End User Site License Agreement" on the following pages; however,
  39.           in lay-man's terms, for the purpose of this documentation, a site 
  40.           license is a volume discount on multiple copies of the software 
  41.           package.

  43.           Rhode Island Soft Systems, Inc. will provide a volume discount 
  44.           of a full 25% for customers wishing to license between ten (10) 
  45.           and forty-nine (49) copies ("sites") of WinPak#1 Version 1.1,
  46.           and a full 33% discount for customers wishing to license fifty (50)
  47.           or more copies.  At 1/3 off, this is a tremendous savings!  
  48.           If your company needs 100+ copies, please contact us for a special 
  49.           pricing -- we are very flexible and will work to reach a solution 
  50.           that works for you, with even greater savings!

  52.           Throughout this documentation, the term "WinPak#1" refers
  53.           to the WinPak#1 Version 1.1 software package.  WinPak#1

  68.           document is the complete license agreement.  Simply print it, fill
  69.           it out, sign under LICENSEE, enclose a check, money order (made
  70.           out in U.S. dollars), Purchase Order, or credit card information
  71.           for the correct amount, and mail or FAX it to:

  124.                             END USER SITE LICENSE AGREEMENT

  128.           Rhode Island Soft Systems, Inc. (Licensor) grants to ______________

  130.           _______________________________________________________(Licensee),
  131.           and Licensee accepts, a license to use the licensed program in
  132.           accordance with the terms and conditions contained in this
  133.           agreement.

  136.           1.0 DEFINITIONS
  137.  
  138.                1.1 "Licensed program" means the object code version of the
  139.           program listed in Exhibit 1 and related program user
  140.           documentation.  No rights to the source code versions of the
  141.           licensed program are granted by this license.

  143.                1.2 "Object code" means any instruction or set of
  144.           instructions in machine executable form.
  145.  
  146.                1.3 "User documentation" means any standard manuals or other
  147.           related materials used for user instruction or reference in use of
  148.           the licensed program.
  149.  
  150.                1.4 "Use" means copying of any portion of the licensed
  151.           program from a storage unit or media into the designated equipment
  152.           and execution of the licensed program on the equipment.

  155.           2.0 LICENSE GRANT
  156.  
  157.                2.1 Licensee is granted a nontransferable, nonexclusive right
  158.           to use the number of copies of the licensed program indicated on
  159.           Exhibit 1 for Licensee's internal use.  Licensor (Rhode Island Soft
  160.           Systems, Inc.) will deliver one copy of the licensed program to
  161.           Licensee.  Licensee may make additional copies of the licensed
  162.           program, up to the number of copies licensed herein, provided that
  163.           each copy of the program contains Rhode Island Soft System, Inc.'s 
  164.           copyright notice and any other proprietary legends, including legends
  165.           under the Federal Acquisition Regulations (FAR), if any, contained on
  166.           the delivered copy.

  168.                2.2 Each copy of the licensed program provided under this
  169.           license may be used on only one computer at any one time.  If used
  170.           on a network system, each terminal user is automatically
  171.           considered to be using a distinct copy of the licensed program
  172.           whether or not he is actually using it.

  183.                2.3 Licensee shall not use, copy, rent, lease, sell, modify,
  184.           decompile, disassemble, otherwise reverse engineer, or transfer
  185.           the licensed program except as provided in this agreement.  Any
  186.           such unauthorized use shall result in immediate and automatic
  187.           termination of this license.

  189.           3.0 TERMS
  190.  
  191.                3.1 This license is effective until terminated.  Licensee may
  192.           terminate it at any time by destroying the licensed program and
  193.           all copies of it and notifying Rhode Island Soft Systems, Inc. in 
  194.           writing.  This license will also terminate as otherwise provided in 
  195.           this agreement.  On termination, Licensee shall return all materials
  196.           not destroyed to Rhode Island Soft Systems, Inc. together with a 
  197.           written verification that the remaining materials have been 
  198.           destroyed.

  200.           4.0 PAYMENT
  201.  
  202.                4.1 The fee for this license is set forth in Exhibit 1,
  203.           payable as set forth.

  206.           5.0 CONFIDENTIALITY AND PROPRIETARY RIGHTS

  208.                5.1 The licensed program is licensed, not sold.  Nothing in
