  8. WHEREAS, the undersigned are desirous of forming a non-for-profit
  9. organization for the purpose of:

  15. NOW, Therefore:

  18. The undersigned, herewith form a not for profit organization to
  19. be governed under this constitution and the bylaws adopted and
  20. any revisions thereof in the future.

  23. This organization shall be open for membership to all persons who
  24. subscribe to the goals of the organization, and who further meet
  25. the following requirements:

  31. The affairs of the organization shall be governed by a board of
  32. directors which shall have at least @132 members, and no more
  33. than @133 members. All directors shall be at the time of their
  34. nomination members in good standing of the organization. The
  35. initial board of directors shall be appointed by the founders of
  36. this organization, through a majority vote. Elections shall be
  37. held each @134 months thereafter. Each member in good standing
  38. shall be entitled to one vote.

  41. The directors shall have the authority to:

  44. set uniform dues and assessments of the members;
  45.  
  46.  
  47. for such cause as they may deem appropriate, discipline,
  48. including if in the opinion of the board of directors the
  49. member's conduct has been detrimental to the organization,
  50. suspend or expel such members; the actions of the majority of the
  51. board of directors shall be final on such issues;
  52.

  54. form such committees as they may feel needful from time to time
  55. as may be required to discharge the business of the organization;
  56. and further, to delegate such authority to any committee as the
  57. directors may find needed to conduct the business of the
  58. organization;

  61. to adopt rules, regulations and policies which may be necessary
  62. or useful to govern the organization's day to day functioning.

  65. The members of the organization shall be provided, at least
  66. annually, with a statement of the financial transactions of the
  67. organization, for the preceding year. The statement shall be
  68. certified to by a majority of directors as true and correct,
  69. and any director dissenting from such vote shall be entitled to
  70. present their objections to the members.

  73. The board of directors shall establish by-laws for the further
  74. government of the organization, which shall be presented to the
  75. membership for vote. The same shall require a majority vote for
  76. initial approval and a 2/3 (two-thirds) vote for any changes
  77. thereafter.
