  1.                   INTEL SOFTWARE LICENSE AGREEMENT

  3. IMPORTANT:  By loading this software, you agree to the terms of 
  4. this agreement.  Do not load this software until you have carefully 
  5. read and agreed to the following terms and conditions.  If you do not 
  6. agree to the terms of this agreement, do not install or use this 
  7. software.
  8.  
  9. LICENSE:  Intel grants you the right to copy the software and materials 
  10. ("Materials") onto a single computer for your internal use.  You will not use, 
  11. copy, modify, sell or transfer any part of the Materials except as provided 
  12. in this Agreement.  Other rights may be granted to you in writing or 
  13. incorporated elsewhere in the Materials.
  14.  
  15. RESTRICTIONS:  Except as specifically permitted in writing, you may not:
  16. 1. Copy the Materials except as provided in this Agreement or elsewhere 
  17.    by Intel.
  18. 2. Sublicense or permit simultaneous use of the Materials by more than 
  19.    one user.
  20. 3. Reverse engineer, decompile, or disassemble the software.
  21.  
  22. OWNERSHIP AND COPYRIGHT OF MATERIALS:  Title to the Materials 
  23. and all copies thereof remain with Intel or its suppliers.  The Materials are  
  24. copyrighted and are protected by United States copyright laws and 
  25. international treaty provisions.  You will not remove the copyright notice 
  26. from the Materials.  You agree to prevent any unauthorized copying of the 
  27. Materials.  Except as expressly provided herein, Intel does not grant any 
  28. express or implied right to you under Intel patents, copyrights, trademarks, 
  29. or trade secret information.

  31. LIMITATION OF LIABILITY:  THE MATERIALS ARE PROVIDED "AS 
  32. IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND 
  33. INCLUDING WARRANTIES OF MERCHANTABILITY, 
  34. NONINFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY, 
  35. OR FITNESS FOR ANY PARTICULAR PURPOSE.  IN NO EVENT 
  36. SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES 
  37. WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR 
  38. LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF 
  39. INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO 
  40. USE THE MATERIALS, EVEN IF INTEL HAS BEEN ADVISED OF THE 
  41. POSSIBILITY OF SUCH DAMAGES.  BECAUSE SOME 
  42. JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF 
  43. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE 
  44. ABOVE LIMITATION MAY NOT APPLY TO YOU.

  46. TRANSFER:  You may transfer the Materials if the recipient agrees to the 
  47. terms of this Agreement and you retain no copies of the Materials and 
  48. accompanying documentation.  Transfer of the license ends your right to 
  49. use the Materials.

  51. U.S. GOVERNMENT RESTRICTED RIGHTS:  The Materials and 
  52. documentation are provided with "RESTRICTED RIGHTS."  Use, 
  53. duplication, or disclosure by the Government is subject to restrictions as 
  54. set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its 
  55. successor.  Use of the Materials by the Government constitutes 
  56. acknowledgment of Intel's proprietary rights in them.

  58. APPLICABLE LAWS:  Any claim arising under or relating to this 
  59. Agreement shall be governed by the internal substantive laws of the State 
  60. of Delaware or federal courts located in Delaware, without regard to 
  61. principles of conflict of laws.  You may not export the Materials in violation 
  62. of U.S.A. export laws and regulations.
