  7. End User License Agreement

  9. NOTICE TO USER: You should carefully read the following terms and conditions 
  10. before using this software.  Use of this software indicates you agree to be bound 
  11. by the terms of this Agreement. The California Beach Girls Screen Saver package 
  12. contains software ("Software") - and includes all files supplied in the package 
  13. including any images, "applets", photographs, animations, video, audio, music and 
  14. text incorporated into the Software. The term "Software" shall also include any 
  15. upgrades, modified versions, updates, additions and copies of the Software 
  16. licensed to you by Image Factory Software. This Agreement applies to both the 
  17. unregistered version of California Beach Girls Screen Saver ("Unregistered 
  18. Version") - a trial version for which no payment has yet been made - and the 
  19. registered version for which payment has been made ("Registered Version"). Image 
  20. Factory Software grants to you a nonexclusive license to use the Software 
  21. provided that you agree to the following:

  24. 1. Use of the Software.

  26. Unregistered Version. You may -
  27. Install the Software on as many locations as you wish and trial the Software for 
  28. evaluation purposes without charge. The Software will run in full operation 
  29. mode for 10 days from installation - allowing you to make a full evaluation of 
  30. the software. After this trial period the California Beach Girls Screen Saver will 
  31. run in read only mode - allowing you to view any data you have entered but not to 
  32. enter any new data. Similarly, the screen saver will no longer run in full 
  33. operation mode - showing only one image at a time before returning to the original 
  34. screen - rather than cycling through the image collection. To operate as the full 
  35. version of the software a registration fee is required. The site from which you 
  36. downloaded the Software has full details about the registration fee - and how to 
  37. pay the fee.

  39. Please include the full "licence" number when making the payment - and a 
  40. contact point (Internet or Compuserve address). Your "licence" number is 
  41. unique and can be easily found at the top of the "Registration Details" box or 
  42. the "About" box in the California Beach Girls Screen Saver "Settings" panel - and 
  43. starts with "X..." eg  "X2915-9255/47-30/000"). Your "licence" number requires a 
  44. similarly unique "registration" number which will be sent to you (to the 
  45. foregoing contact point). When you receive the "registration" number simply 
  46. press the button marked "Register" at the top right of the "Registration Details" 
  47. box in the California Beach Girls Screen Saver "Settings" panel - and follow the 
  48. instructions. Once registered the California Beach Girls Screen Saver and Screen 
  49. Saver will run indefinitely - in full operation mode.

  51. Registered Version. You may-
  52.   Install the Software in a single location on a hard disk or other storage 
  53. device.
  54.   Make one backup copy of the Software, provided your backup copy is not 
  55. installed or used on any computer.

  58. 2. Copyright - Unregistered and Registered Versions. 
  59.  
  60. The Software is the intellectual property of Image Factory Software and its 
  61. suppliers and is protected by copyright law, international treaty provisions, and 
  62. applicable laws of the country in which it is being used. The structure, 
  63. organization and code of the Software are the valuable trade secrets and 
  64. confidential information of Image Factory Software and its suppliers. Therefore 
  65. you must treat the Software just as you would any other copyrighted material 
  66. such as a book. In other words you may not copy the Software except as set 
  67. forth in the "Use of the Software" section. Any copies that you are permitted to 
  68. make pursuant to this Agreement must contain the same copyright and other 
  69. proprietary notices which appear on or in the Software. You agree not to 
  70. modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise 
  71. attempt to discover the source code of the Software. Trademarks shall be used 
  72. in accordance with accepted trademark practice, including identification of 
  73. trademark owner's name. Trademarks can only be used to identify printed 
  74. output produced by the Software. The use of any trademark as herein 
  75. authorized does not give you any rights of ownership in that trademark. Except 
  76. as stated above, this Agreement does not grant you any rights to intellectual 
  77. property rights in the Software. To the extent that local laws grants you the 
  78. right to decompile the Software in order to obtain information necessary to 
  79. render the Software interoperable with other software, you shall first request 
  80. Image Factory Software to provide you with the necessary information. Image 
  81. Factory Software has the right to impose reasonable conditions such as a 
  82. reasonable fee for doing so.

  85. 3. Transfer. - Unregistered and Registered Versions.

  87. You may not rent, lease, sublicense, or lend the Software. You may, however, 
  88. transfer all your rights to use the Software to another person or legal entity 
  89. provided that you transfer this Agreement and transfer (or destroy), the 
  90. Software, including all copies, updates and prior versions, to such person or 
  91. entity and provided that you retain no copies, including copies stored on your 
  92. computer.

  95. 4. Disclaimer of Warranty - Unregistered and Registered Versions.

  97. THIS SOFTWARE IS SOLD "AS IS". IMAGE FACTORY SOFTWARE AND 
  98. ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE 
  99. PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE 
  100. SOFTWARE. IMAGE FACTORY SOFTWARE AND ITS SUPPLIERS 
  101. MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO 
  102. NONINFRINGEMENT OF THIRD-PARTY RIGHTS, MERCHANTABILITY, 
  103. OR FITNESS FOR ANY PARTICULAR PURPOSE.

  106. 5. Limitation of Liability - Unregistered and Registered Versions.

  108. ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO 
  109. PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE. IN NO 
  110. EVENT WILL IMAGE FACTORY SOFTWARE OR ITS SUPPLIERS BE 
  111. LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR 
  112. SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST 
  113. SAVINGS, EVEN IF AN IMAGE FACTORY SOFTWARE 
  114. REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF 
  115. SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

  118. 6. Governing Law and General Provisions. - Unregistered and Registered 
  119. Versions.

  121. This Agreement will be governed by the laws in force in West Australia 
  122. excluding the application of its conflicts of law rules. This Agreement will not 
  123. be governed by the United Nations Convention on Contracts for the 
  124. International Sale of Goods, the application of which is expressly excluded. If 
  125. any part of this Agreement is found void and unenforceable , it will not affect 
  126. the validity  of the balance of the Agreement, which shall remain valid and 
  127. enforceable according to its terms. This Agreement shall automatically 
  128. terminate upon failure by you to comply with its terms. This Agreement may 
  129. only be modified in writing signed by an authorized officer of Image Factory 
  130. Software.
