  8. for the TGS Visual 3Space(TM) Browser Control

  12. CONTACT TGS FOR REDISTRIBUTION LICENSE IF YOU WISH TO REDISTRIBUTE
  13. THE VISUAL 3SPACE BROWSER CONTROL.

  16. AGREEMENT. Agreement to the terms outlined herein is
  17. stipulated by you if you : Install/use the software ("Software")
  18. associated with this license agreement; Click on the "ACCEPT"
  19. button associated with the installation process delivered
  20. with the TGS product.
  21.  
  22. GRANT. Template Graphics Software ("TGS") herby grants you a
  23. non-exclusive license to use its accompanying software product
  24. ("Software") soley on a single computer.  You may not distribute
  25. the Software without an additional agreement from TGS.
  26.  
  27. If you do not agree with the terms outlined above, and you
  28. continue to use the Software, then you are in violation
  29. of the TGS Software License Agreement and a license fee
  30. is due to TGS and no license is granted.
  31.  
  32. If you are using the Software free of charge, you will not
  33. be entitled to support or telephone assistance and
  34. no warranty is provided.
  35.  
  36. If you fit within the above description, you may: use the
  37. Software on any single computer; or copy the Software for archival
  38. purposes, provided any copy must contain all of the original
  39. Software's proprietary notices.
  40.  
  41. CARE. You may not: permit other individuals to use the Software
  42. except under the terms listed herein; modify, translate,
  43. reverse engineer, decompile, disassemble (except to the
  44. extent applicable laws specifically prohibit such
  45. restriction), or create derivative works based on the
  46. Software; copy the Software (except for back-up purposes);
  47. rent, lease, transfer or otherwise transfer rights to the
  48. Software; or remove any proprietary  notices or labels on the
  49. Software.

  51. SOFTWARE. This license does not grant you any right to any
  52. enhancement or update.
  53.  
  54. TITLE. Title, ownership rights, and intellectual property
  55. rights in and to the Software shall remain in TGS.
  56. The Software is protected by the copyright
  57. laws of the United States and international copyright
  58. treaties.  Title, ownership rights, and intellectual property
  59. rights in and to the content accessed through the Software is
  60. the property of the applicable content owner and may be
  61. protected by applicable copyright or other law. This License
  62. gives you no rights to such content.
  63.  
  64. DISCLAIMER OF WARRANTY. Thhe Software is provided on an "AS IS"
  65. basis, without warranty of any kind, including without 
  66. limitation the warranties of merchantability, fitness for a
  67. particular purpose and non-infringement. The entire risk
  68. as to the quality and performance of the Software is borne
  69. by you. Should the Software prove defective, you and not TGS
  70. assume the entire cost of any service and repair. In
  71. addition, the security mechanism implemented by the Software
  72. has inherent limitations, and you must determine that the
  73. Software sufficiently meets your requirements.  This
  74. disclaimer of warranty constitutes an essential part of the
  75. agreement. SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  76. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY
  77. HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY
  78. JURISDICTION.

  80. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO
  81. LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL TGS OR
  82. ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER
  83. PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR
  84. CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT
  85. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE,
  86. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  87. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL TGS BE
  88. LIABLE FOR ANY DAMAGES IN EXCESS OF TGS'S LIST PRICE FOR
  89. A LICENSE TO THE SOFTWARE, EVEN IF TGS SHALL HAVE BEEN
  90. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM
  91. BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT
  92. APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT
  93. APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME
  94. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL
  95. OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  96. MAY NOT APPLY TO YOU.

  98. TERMINATION.  This license will terminate automatically if
  99. you fail to comply with the limitations described above.  On
  100. termination, you must destroy all copies of the Software.
  101.  
  102. EXPORT CONTROLS.  None of the Software or underlying
  103. information or technology may be downloaded or otherwise
  104. exported or reexported (i) into (or to a national or resident
  105. of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  106. or any other country to which the U.S. has embargoed goods;
  107. or (ii) to anyone on the U.S. Treasury Department's list of
  108. Specially Designated Nationals or the U.S.  Commerce
  109. Department's Table of Deny Orders. By downloading  or using
  110. the Software, you are agreeing to the foregoing and you are
  111. representing and warranting that you are not located in,
  112. under the control of, or a national or resident of any such
  113. country or on any such list.

  115. MISCELLANEOUS. This Agreement represents the complete
  116. agreement concerning this license between the parties and
  117. supersedes all prior agreements and representations between
  118. them. It may be amended only by a writing executed by both
  119. parties. If any provision of this Agreement is held to be
  120. unenforceable for any reason, such provision shall be
  121. reformed only to the extent necessary to make it
  122. enforceable.  This Agreement shall be governed by and
  123. construed under California law as such law applies to
  124. agreements between California residents entered into and to
  125. be performed within California, except as governed by Federal
  126. law. The application the United Nations Convention of
  127. Contracts for the International Sale of Goods is expressly
  128. excluded.
  129.  
  130. The Template Graphics Software software is intended
  131. for use on a single computer.  Use of this software
  132. on an additional computer's requires a separate
  133. license for each computer. 
  134.  
  135. U.S. Government Restricted Rights.  Use, duplication or
  136. disclosure by the Government is subject to restrictions set
  137. forth in subparagraphs (a) through (d) of the Commercial
  138. Computer-Restricted Rights clause at FAR 52.227-19 when
  139. applicable, or in subparagraph (c)(1)(ii) of the Rights in
  140. Technical Data and Computer Software clause at DFARS
  141. 252.227-7013, and in similar clauses in the NASA FAR
  142. Supplement.  Contractor/manufacturer is Template Graphics
