  1.                   IBM Program License Agreement
  2.  
  3. The Program is licensed not sold.  International Business Machines
  4. Corporation, or the applicable IBM country organization, (IBM)
  5. grants you a license for the Program only in the country where you
  6. acquired the Program.  You obtain no rights other than those
  7. granted you under this license.
  8.  
  9. The term "Program" means the original and all whole or partial
  10. copies of it, including modified copies or portions merged into
  11. other programs.  IBM retains title to the Program.  IBM owns, or
  12. has licensed from the owner, copyrights in the Program.
  13.  
  14. You are responsible for the selection of the Program and for the
  15. installation of, use of, and results obtained from, the Program.
  16.  
  17. License
  18.  
  19. Under the license, you may:
  20.  
  21. 1)  use the Program on only one machine at any one time;
  22. 2)  copy the Program for backup or in order to modify it;
  23. 3)  modify the Program and/or merge it into another program; and
  24. 4)  transfer possession of the Program to another party.
  25.  
  26. If you transfer the Program, you must transfer a copy of this
  27. license, all other documentation and at least one complete,
  28. unaltered copy of the Program to the other party.  You must, at
  29. the same time, either transfer all you other copies of the Program
  30. to the other party or destroy them.  Your license is then
  31. terminated.  The other party agrees to these terms and conditions
  32. by its first use of the Program.
  33.  
  34. You must reproduce the copyright notice(s) on each copy, or
  35. partial copy, of the Program.
  36.  
  37. You may not:
  38. 1)  use, copy, modify, merge, or transfer copies of the Program
  39.     except as provided in this license;
  40. 2)  reverse assemble or reverse compile the Program; or
  41. 3)  sublicense, rent, lease, or assign the Program.
  42.  
  43. Limited Warranty
  44.  
  45. Some Programs have limited warranties.  The warranty details and
  46. limitations are described in their Statement of Limited Warranty.
  47. Some Programs are not warranted and IBM will specify that they are
  48. provided "AS IS".
  49.  
  50. All Programs have a three-month limited warranty on their media.
  51. THESE WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES (OR
  52. CONDITIONS), EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
  53. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  54. PARTICULAR PURPOSE.
  55.  
  56. Some jurisdictions do not allow the exclusion of implied
  57. warranties, so the above exclusion may not apply to you.
  58.  
  59. Limitation of Remedies
  60.  
  61. IBM's entire liability under this license is the following.
  62.  
  63. IBM will provide any warranty described in IBM's Statement of
  64. Limited Warranty.  IBM will a) replace defective media, or b) make
  65. a warranted Program operate or replace the Program with a
  66. functionally equivalent Program, as warranted.  Otherwise, you may
  67. terminate your license, return all you copies of the Program, and
  68. IBM will refund the amount you paid for the license.
  69.  
  70. For any claim (including fundamental breach), in any form, related
  71. in any way to this license, IBM's liability will be for actual
  72. damages only and will be limited to the greater of:
  73. 1)  the equivalent of U.S. $25,000 in your local currency; or
  74. 2)  IBM's then generally available license fee for the Program.
  75. This limitation will not apply to claims for bodily injury or
  76. damages to real or tangible personal property for which IBM is
  77. legally liable.
  78.  
  79. IBM will not be liable for any lost profits, lost savings, or any
  80. incidental damages or other economic consequential damages, even
  81. if IBM, or its authorized supplier, has been advised of the
  82. possibility of such damages.  IBM will not be liable for any
  83. damages claimed by you based on any third party claim.
  84.  
  85. This limitation of remedies also applies to any developer of a
  86. Program supplied to IBM.  IBM's and the developer's limitations of
  87. remedies are not cumulative.  Such developer is an intended
  88. beneficiary of this Section.
  89.  
  90. Some jurisdictions do not allow limitations or exclusions, so they
  91. may not apply to you.
  92.  
  93. General
  94.  
  95. You may terminate your license at any time.  IBM may terminate
  96. your license if you fail to comply with the terms and conditions
  97. of this license.  In either event, you must destroy all you copies
  98. of the Program.
  99.  
  100. You are responsible for payment of any taxes, including personal
  101. property taxes, resulting from this license.
  102.  
  103. Neither party may bring an action, regardless of form, more than
  104. two years after the cause of the action arose.
  105.  
  106. If you acquired the Program in the United States, this license is
  107. governed by the laws of the State of New York.  If you
  108. acquired the Program in Canada, this license is governed by the
  109. laws of the Province of Ontario.  Otherwise, this license is
  110. governed by the laws of the country in which you acquired the
  111. Program.
