  1. Legal Notices
  2. READ CAREFULLY BEFORE USING
  3. You should carefully read all the terms and conditions of this agreement prior 
  4. to using this software.  If you do not agree to the terms of this agreement, 
  5. do not open the disk package and do not install the software.  Promptly return the 
  6. unopened disk package and other items that are part of this product to the place 
  7. you obtained them for a full refund.
  8.  
  9. PRODUCT: "InfoRecall" software and related items.
  10. License 
  11. You have the non-exclusive license to use the software product identifies above on a 
  12. single computer.  You may use the software on a network provided you have 
  13. purchased a number of software packages equal to the maximum number of copies 
  14. in use by you at any one time.
  15.  
  16. RESTRICTIONS
  17. You may not sub license, assign, transfer, loan, rent or lease the software of your 
  18. rights under this license except as expressly provided in this Agreement.  
  19. Any attempt otherwise to sub license, assign, transfer, loan, rent or lease the 
  20. software or your rights under this license is void and will result in termination of 
  21. this Agreement.  You may not distribute copies of the software or user manual or 
  22. other documentation to others. You may not alter, merge, modify or adapt the 
  23. software in any way including desassembling or decompiling, or attempt to do any of 
  24. the foregoing, without the prior written consent of  Curtram Investments Limited. 
  25. You may not use, copy, modify, or transfer the software or any copy, modification or 
  26. merged portion  thereof in whole or in part, except as expressly provided for herein.

  28. BACK-UP
  29. You may make back-up copies of the software but not of the user documentation.  
  30. Each backup copy must include the copyright notice included in this Agreement. 
  31. The installation of the software on your hard drive is permitted subject to these 
  32. conditions.
  33.   
  34. COPYRIGHT
  35. Curtram Investments Limited owns all intellectual property rights in the 
  36. software and the user documentation.  Theserights are protected by Canadian 
  37. and United States copyright laws, other applicable copyright laws, and 
  38. international treaty provisions.  Curtram Investments Limited retains all rights in 
  39. the software and user documentation not expressly granted under this Agreement.
  40.  
  41. TERM
  42. This license is effective until terminated in accordance with this Agreement. You 
  43. may terminate it at any time by destroying the software and user documentation 
  44. together with all copies, modifications and merged portions in any 
  45. form. Your license will also terminate upon conditions set forth elsewhere in 
  46. this Agreement or if you fail to comply with any term or condition of this 
  47. Agreement.  You agree that upon such termination you will destroy the software 
  48. and the user documentation together with all copies, modifications and merged 
  49. portions in any form.
  50.  
  51. LIMITED WARRANTY
  52. Curtram Investments Limited warrants the supplied diskettes to be free from 
  53. defects in materials and workmanship under normal use for a period of ninety 
  54. (90) days from the date of delivery to you as evidenced by a copy of your receipt. 
  55. The software and user documentation is provided "as is" without warranty of any 
  56. kind, either express or implied, statutory or otherwise, including but not limited to 
  57. any implied warranties of merchantability and fitness for a particular purpose.  
  58. The entire risk as to the quality and performance of the software is with you.  S
  59. hould the software prove defective, you (and not Curtram Investments Limited or its 
  60. authorized dealer) assume the entire cost and responsibility for all necessary 
  61. servicing, repair or correction.  For greater certainty, Curtram Investments Limited 
  62. does not warrant that the functions contained in the software will meet your requirements 
  63. or that the operation of the software will be uninterrupted or error free.  The warranty 
  64. and remedies set forth herein are exclusive and in lieu of all others, oral or 
  65. written, express or implied.   No authorized dealer, distributor, agent or 
  66. employee of Curtram Investments Limited is authorized to make any modification, 
  67. or addition to this warranty.  Some states do not allow the exclusion of implied 
  68. warranties, so the above exclusion may not apply to you.  This warranty gives you 
  69. specific legal rights and you may also have other rights which vary from state to state.
  70.  
  71. LIMITATIONS OF REMEDIES
  72. Because software is inherently complex and may not be completely free of errors, 
  73. you are advised to verity your work and to make back-up copies. The liability of  
  74. Curtram Investments Limited and your exclusive remedy shall be (a) the 
  75. replacement of any diskettes not meeting the limited warranty provided above, so 
  76. long as the diskettes are returned toCurtram Investments Limited or its 
  77. authorized dealer  with a copy of your receipt within ninety(90) days of 
  78. purchase;  or(b) if we are or the dealer is unable to deliver a replacement 
  79. diskette(s) which is free of defects in materials or workmanship, you may 
  80. terminate this Agreement by returning the software and all user documentation 
  81. to us or the dealer.

  83. IN NO EVENT WILL CURTRAM INVESTMENTS LIMITED BE LIABLE TO YOU FOR ANY 
  84. DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR 
  85. CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE 
  86. SOFTWARE EVEN IF CURTRAM INVESTMENTS LIMITED OR ITS AUTHORIZED DEALER HAS BEEN 
  87. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  89. Some states do not allow the limitation or exclusion of liability for incidental or 
  90. consequential damages so the above limitation or exclusion may not apply to you.

  92. GOVERNING LAW
  93. This Agreement will be governed by the laws of the Province of Ontario.  Should 
  94. you have any questions concerning the Agreement, you may contact Curtram 
  95. Investments Limited at 200 Yorkland Blvd., Toronto, Ontario  M2J 5C1

  97. ACKNOWLEDGEMENT
  98. By opening the software package, you acknowledge that you have eead this 
  99. agreement, understand it and agree to be bound by its terms and conditions.  
  100. you further agree that this is the complete and exclusive agreement 
  101. between us which supersedes any proposal or prior agreement, oral or 
  102. written, and any other communications between us relating to the subject 
  103. matter of this agreement.
