  1. I.  LIMITED USE SOFTWARE LICENSE AGREEMENT
  2.  
  3.     This Limited Use Software License Agreement (heretofore referred to as
  4.     the "Agreement") is a legal agreement between you, the end-user, and
  5.     MoonRock Software, Incorporated. (heretofore referred to as "MoonRock").
  6.     By continuing the installation of this game program, by loading or
  7.     running the game, or by placing or copying the game program onto your
  8.     computer hard drive, you are agreeing to be bound by the terms of this
  9.     Agreement.  
  10.  
  11.     MOONROCK SOFTWARE LICENSE
  12.  
  13.      1. Grant of License.  MoonRock grants to you the right to use the
  14.         QBob(tm) game program (heretofore referred to as the "Software").
  15.  
  16.         For purposes of this section, "use" means loading the Software 
  17.         into RAM, as well as installation on a hard disk or other storage
  18.         devices.  You shall not:  rent, lease, sell, distribute for money
  19.         or other consideration, modify, translate, disassemble,  decompile,
  20.         reverse engineer, or create derivative works based upon the
  21.         Software.  You agree that the Software will not be shipped,
  22.         transferred or exported into any country in violation of the
  23.         U.S. Export Administration Act (or any other law governing such
  24.         matters) and that you will not utilize, in any other manner, the
  25.         Software in violation of any applicable law.
  26.  
  27.      2. Commercial Use is Prohibited:  Under no circumstances shall you,
  28.         the end user, be permitted, allowed  or authorized to commercially
  29.         exploit the Software.  
  30.         Neither you nor anyone at your direction shall do the following acts:
  31.  
  32.         a.  Rent the Software;
  33.  
  34.         b.  Sell the Software;
  35.  
  36.         c.  Lease the Software;
  37.  
  38.         d.  Offer the Software on a pay-per-play basis;
  39.  
  40.         e.  Distribute the Software for money or other consideration; or
  41.  
  42.         f.  In any manner and through any medium whatsoever commercially 
  43.             exploit the software or use the software for any commercial
  44.             purpose.
  45.  
  46.      3. Electronic Distribution is Permitted: MoonRock grants to you the
  47.         right to distribute, royalty free and by electronic means only,
  48.         the Software; provided, however the Software must be so distributed
  49.         only in compressed format.  Please see Section II. of this document,
  50.         Limited Distribution Software License Agreement.
  51.  
  52.      4. Copyright.  The Software is owned and exclusively distributed by
  53.         MoonRock and is protected by United States copyright laws and
  54.         international treaty provisions.  You must treat the Software like any
  55.         other copyrighted material, except that you may make copies of the
  56.         Software to give to other persons, but you may not distribute the 
  57.         registration password which unlocks the full version of the Software.
  58.         You may not charge or receive any
  59.         consideration from any other person for the receipt or use of the
  60.         Software without receiving the prior written consent of MoonRock.
  61.         You may not charge or receive any consideration from any other person
  62.         for the receipt or use of a registration password which unlocks the 
  63.         full version of the software. You may not transfer ownership of the 
  64.         full version of the software or the registration password to any other 
  65.         party under any conditions. 
  66.         You agree to use your best efforts to see that any user of the
  67.         Software licensed hereunder complies with this Agreement. 
  68.  
  69.      5. Limited Warranty.  MoonRock warrants that if properly installed and
  70.         operated on a computer for which it is designed, the Software will
  71.         perform substantially in accordance with its designed purpose for
  72.         a period of ninety (90) days from the date the Software is first
  73.         obtained by an end-user.   MoonRock's entire liability and your
  74.         exclusive remedy shall be, at MoonRock's option, either (a) return
  75.         of the retail price paid, if any, or (b) repair or replacement of the
  76.         Software that does not meet MoonRock's Limited Warranty.  To make a
  77.         warranty claim, send your written statement of defect to MoonRock,
  78.         accompanied by proof of purchase, your name, and your address, or
  79.         return the Software with the above information to MoonRock.  This
  80.         Limited Warranty is void if failure of the Software has resulted in
  81.         whole or in part from accident, abuse, misapplication or violation of
  82.         this Agreement.  Any replacement Software will be warranted for the
  83.         remainder of the original warranty period or thirty (30) days,
  84.         whichever is longer.  This warranty allocates risks of product
  85.         failure between Licensee and MoonRock.  MoonRock's product pricing
  86.         reflects this allocation of risk and the limitations of liability
  87.         contained in this warranty.
  88.  
  89.      6. NO OTHER WARRANTIES.  MOONROCK DISCLAIMS ALL OTHER
  90.         WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
  91.         LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS
  92.         FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SOFTWARE 
  93.         AND THE ACCOMPANYING WRITTEN MATERIALS, IF ANY.  THIS LIMITED 
  94.         WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE
  95.         OTHERS WHICH VARY FROM JURISDICTION TO JURISDICTION.  
  96.         MOONROCK DOES NOT WARRANT THAT THE OPERATION OF THE
  97.         SOFTWARE WILL BE UNINTERRUPTED  ERROR FREE OR MEET 
  98.         LICENSEE'S SPECIFIC REQUIREMENTS.  THE WARRANTY SET FORTH 
  99.         ABOVE IS IN LIEU OF ALL OTHER EXPRESS WARRANTIES WHETHER
  100.         ORAL OR WRITTEN.  THE AGENTS, EMPLOYEES, DISTRIBUTORS, AND 
  101.         DEALERS OF MOONROCK ARE NOT AUTHORIZED TO MAKE 
  102.         MODIFICATIONS TO THIS WARRANTY, OR ADDITIONAL WARRANTIES 
  103.         ON BEHALF OF MOONROCK.  ADDITIONAL STATEMENTS SUCH AS 
  104.         DEALER ADVERTISING OR PRESENTATIONS, WHETHER ORAL OR 
  105.         WRITTEN, DO NOT CONSTITUTE WARRANTIES BY MOONROCK AND 
  106.         SHOULD NOT BE RELIED UPON.
  107.  
  108.      7. Exclusive Remedies.  You agree that your exclusive remedy against
  109.         MoonRock, its affiliates, contractors, suppliers, and agents for
  110.         loss or damage caused by any defect or failure in the Software
  111.         regardless of the form of action, whether in contract, tort,
  112.         including negligence, strict liability or otherwise, shall be the
  113.         return of the retail purchase price paid, if any, or replacement of
  114.         the Software.   This Agreement shall be construed in accordance with
  115.         and governed by the laws of the State of Delaware.  Copyright and
  116.         other proprietary matters will be governed by United States laws and
  117.         international treaties.  IN ANY CASE, MOONROCK SHALL NOT BE LIABLE
  118.         FOR LOSS OF DATA, LOSS OF PROFITS, LOST SAVINGS, SPECIAL, 
  119.         INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR 
  120.         DAMAGES ARISING FROM BREACH OF WARRANTY, BREACH OF  
  121.         CONTRACT, NEGLIGENCE, OR OTHER LEGAL THEORY EVEN IF 
  122.         MOONROCK OR ITS AGENT HAS BEEN ADVISED OF THE POSSIBILITY 
  123.         OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  
  124.         UNDER NO CIRCUMSTANCES WILL WE PROVIDE ANY OTHER 
  125.         REMEDY FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, 
  126.         PUNITIVE, INCIDENTAL OR OTHER DAMAGES ARISING FROM THE 
  127.         USE OR DISTRIBUTION OF THIS SOFTWARE, INCLUDING SUCH FROM 
  128.         NEGLIGENCE, STRICT LIABILITY, OR BREACH OF WARRANTY OR 
  129.         CONTRACT, EVEN AFTER NOTICE OF THE POSSIBILITY OF SUCH
  130.         DAMAGES.
  131.         Some jurisdictions do not allow the exclusion or limitation of
  132.         incidental or consequential damages, so the above limitation or
  133.         exclusion may not apply to you.
  134.  
  135.      8. General Provisions.  Neither this Agreement nor any part or portion
  136.         hereof shall be assigned or sublicensed, except as described herein.
  137.         Should any provision of this Agreement be held to be void, invalid,
  138.         unenforceable or illegal by a court, the validity and enforceability
  139.         of the other provisions shall not be affected thereby.  If any
  140.         provision is determined to be unenforceable, you agree to a
  141.         modification of such provision to provide for enforcement of the 
  142.         provision's intent, to the extent permitted by applicable law.
  143.         Failure of a party to enforce any provision of this Agreement shall 
  144.         not constitute or be construed as a waiver of such provision or of 
  145.         the right to enforce such provision.  If you fail to comply with any 
  146.         terms of this Agreement, YOUR LICENSE IS AUTOMATICALLY 
  147.         TERMINATED.
  148.  
  149.         YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, 
  150.         YOU UNDERSTAND THIS AGREEMENT, AND UNDERSTAND THAT 
  151.         BY CONTINUING THE INSTALLATION  OF THE SOFTWARE, BY 
  152.         LOADING OR RUNNING THE SOFTWARE, OR BY PLACING OR 
  153.         COPYING THE SOFTWARE ONTO YOUR COMPUTER HARD DRIVE, 
  154.         YOU AGREE TO BE BOUND BY THIS AGREEMENT'S TERMS AND 
  155.         CONDITIONS.  YOU FURTHER  AGREE THAT, EXCEPT FOR 
  156.         WRITTEN SEPARATE AGREEMENTS BETWEEN MOONROCK
  157.         AND YOU, THIS AGREEMENT IS A COMPLETE AND EXCLUSIVE 
  158.         STATEMENT OF THE RIGHTS AND LIABILITIES OF THE PARTIES.  
  159.         THIS AGREEMENT SUPERSEDES ALL PRIOR ORAL AGREEMENTS, 
  160.         PROPOSALS OR UNDERSTANDINGS, AND ANY OTHER 
  161.         COMMUNICATIONS BETWEEN MOONROCK AND YOU RELATING TO THE 
  162.         SUBJECT MATTER OF THIS AGREEMENT.

  167. II.  LIMITED DISTRIBUTION SOFTWARE LICENSE AGREEMENT
  168.  
  169.     This license pertains to the software: QBob (tm)
  170.     (heretofore referred to as the "Game" or as the "Software").
  171.

  177.     BY COPYING, USING OR DISTRIBUTING THE GAME, YOU INDICATE 
  178.     YOUR  AGREEMENT TO THIS LICENSE
  179.  
  180.  
  181.     1.  DEFINITIONS: The "Trademarks" consist of the "MoonRock Software
  182.         Inc." words and logo, the name of the Game, game characters, and
  183.         all other marks used by MoonRock in connection with the Game.
  184.         Other trademarks used for description or comparison purposes are
  185.         the property of their respective owners. All definitions asserted
  186.         in Section I. of this document, Limited Use Software License
  187.         Agreement, also apply to this Section of the document.
  188.  
  189.     2.  OWNERSHIP: Except to the extent expressly licensed, MoonRock owns
  190.         and reserves the exclusive right to distribute the Game, and the 
  191.         right to use the Trademarks in connection with it.  Its content, 
  192.         layout and format are the property of MoonRock to the extent 
  193.         permitted by law.
  194.  
  195.     3.  GRANT: MoonRock grants a non-exclusive, non-transferable, 
  196.         royalty-free license to distribute the Game only as follows:
  197.  
  198.         a. INDIVIDUALS are encouraged to share and give copies of the Game
  199.            to friends, family, coworkers, and members of any not-for-profit
  200.            organization, but only without charge.
  201.  
  202.         b. ONLINE SERVICES (including BBSs, and WWW and FTP sites) that are
  203.            free (except for any subscription fees or incidental Internet
  204.            access charges), and BBSs with 250 or fewer nodes (regardless of
  205.            any charges to users) may make the Game available for downloading.
  206.  
  207.         c. These grants are subject to the conditions that no copyright
  208.            information or trademark will be added or removed, and all of the
  209.            Game's files as released by MoonRock will be included without 
  210.            modification.

  228.         d. *ALL* other distribution, including, but not limited to 
  229.            distribution by lease, rental, CD-ROM, catalog, and retail
  230.            rack REQUIRES WRITTEN PERMISSION (which MoonRock may
  231.            withhold in its discretion) AND PRE-PAYMENT OF A LICENSE FEE OR
  232.            OTHER MUTUALLY AGREED BENEFIT.  Interested persons are invited to
  233.            contact MoonRock (proposals welcome).

  235.         e. You may not distribute or transfer in any form a registration 
  236.            password which unlocks the full version of the software or an
  237.            unlocked copy of the software to any party under any conditions.

  239.  
  240.     4.  TERM: Unless terminated for cause, grants by MoonRock under this
  241.         license terminate 30 days after receipt of written notice, or such
  242.         longer period as the notice may provide.  Subsections [2] and [5]
  243.         survive termination.

  246.     5.  MISCELLANY
  247.  
  248.         a. Since we (MoonRock) would be irreparably damaged if 
  249.            Subsections [2], [3], [4], or [5][D] were not specifically
  250.            enforced, we will be entitled without bond, other security or
  251.            proof of damages, to appropriate equitable remedies with respect
  252.            to breaches of such sections, in addition to such other remedies 
  253.            as we may have.
  254.  
  255.         b. You will indemnify and hold us, our partners, affiliates,
  256.            contractors, employees and agents harmless from damage, loss and 
  257.            expense arising directly or indirectly from your acts and
  258.            omissions in copying, distributing or modifying the Game.
  259.  
  260.         c. With respect to every matter arising under this, you consent to 
  261.            the exclusive jurisdiction and venue of the state and federal 
  262.            courts sitting in Seattle, Washington, (or a jurisdiction and 
  263.            venue chosen by MoonRock) and to service by certified
  264.            mail, return receipt requested, or as otherwise permitted by law.

  266.         d. Except as explicitly permitted herein, you will not modify the 
  267.            Game.  Except to the extent, if any, applicable law may require 
  268.            otherwise, you will not decompile, disassemble, or reverse
  269.            engineer the Game, or use or disclose any confidential information
  270.            that it contains.
  271.  
  272. This version of the license supersedes any previous versions of said
  273. document relating to the Game.  (This Game specifically, and not other
  274. titles published by MoonRock.)
