  1. CyberMedia License Agreement
  2.  
  3. This is a legal agreement between you, the end user, and CyberMedia. 
  4. PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE 
  5. USING THE SOFTWARE ACCOMPANYING THIS LICENSE AGREEMENT 
  6. (the "SOFTWARE").  BY INSTALLING THE SOFTWARE AND/OR 
  7. USING IT ON YOUR COMPUTER, YOU ACKNOWLEDGE THAT YOU HAVE 
  8. READ THIS LICENSE AGREEMENT, UNDERSTAND IT, AND AGREE 
  9. TO BE BOUND BY ITS TERMS AND CONDITIONS.  IF YOU DO NOT 
  10. AGREE, DO NOT PROCEED WITH INSTALLATION OR OTHERWISE 
  11. CONTINUE TO USE THE SOFTWARE, AND PROMPTLY RETURN 
  12. THE SOFTWARE AND ALL ACCOMPANYING MATERIALS AND PACKAGING 
  13. PER THE CUSTOMER REMEDIES SECTION BELOW, FOR A FULL REFUND. 
  14.  
  15. PART I:  SOFTWARE LICENSE
  16. GRANT OF LICENSE: CyberMedia grants you a non-exclusive, non-
  17. Transferable right to use the SOFTWARE only on a single computer or
  18. workstation. You may store the SOFTWARE on a network server, provided
  19. it is used only to install or run the SOFTWARE on a single computer 
  20. or workstation over an internal network.  If multiple or simultaneous
  21. uses are to be made, you must first separately acquire and dedicate 
  22. a license for each computer or workstation on which the SOFTWARE is 
  23. installed or for which it is run or delivered from the network server. 
  24.  
  25. RESTRICTIONS:  You may not reverse engineer, decompile or disassemble
  26. the SOFTWARE.  The SOFTWARE and accompanying written materials may not
  27. be used on more than one computer system at any one time, except that
  28. you may (a) make one copy of the SOFTWARE solely for backup or archival 
  29. purposes, or (b) transfer the SOFTWARE to a single hard disk, provided
  30. that you keep the original solely for backup or archival purposes. You
  31. may not copy the written materials accompanying the SOFTWARE. This is a
  32. license for your use only, and the SOFTWARE is not licensed for use in
  33. providing computer or software maintenance services to others.  You may
  34. not sublicense, rent or lease the SOFTWARE.  The license granted in this 
  35. Agreement is conditioned upon your agreement to and continued compliance
  36. with all terms of this Agreement.  
  37.  
  38. COPYRIGHT: The SOFTWARE is owned by CyberMedia and/or its suppliers, and
  39. is protected by U.S. and international copyright laws and treaty
  40. provisions. You have a restricted license to the SOFTWARE; you do not own
  41. the SOFTWARE, and no title transfers to you regarding the SOFTWARE or any 
  42. portions thereof or material provided therewith, including any associated 
  43. copyrights, trademarks and other intellectual property rights.  Title and 
  44. ownership in such remains in CyberMedia and/or its suppliers.
  45.  
  46. LIMITED WARRANTY: For non-evaluation SOFTWARE, CyberMedia warrants that
  47. (a) the SOFTWARE will perform substantially in accordance  with the
  48. accompanying written materials for a period of sixty (60) days from the
  49. date of purchase, and (b) the media on which the SOFTWARE is furnished
  50. shall be free from defects in materials and workmanship for a period of
  51. sixty (60) days from the date of purchase. Some local laws do not allow 
  52. limitations on the duration of an implied warranty, so the above
  53. limitation may not apply to you.  Evaluation SOFTWARE is provided AS-IS,
  54. with NO WARRANTY OF ANY KIND.
  55.  
  56. CUSTOMER REMEDIES: If the SOFTWARE does not conform to the above limited
  57. warranty, CyberMedia's entire liability and your exclusive remedy shall
  58. be at CyberMedia's option either (a) providing a correction for the
  59. defect; (b) helping you correct or avoid the defect; or (c) accepting
  60. return of such SOFTWARE and all related material and refunding the price
  61. paid therefor. You must first obtain from CyberMedia an authorization to
  62. return any SOFTWARE during the warranty period, and you will be supplied
  63. with a return authorization number and an address for returning the
  64. SOFTWARE together with a copy of your receipt.
  65.  
  66. NO OTHER WARRANTIES: CYBERMEDIA DOES NOT WARRANT THAT 
  67. THE SOFTWARE OR ACCOMPANYING DOCUMENTATION IS ERROR FREE.  
  68. CYBERMEDIA DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS 
  69. OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES 
  70. OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH
  71. RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS.
  72. THIS LIMITED LEGAL WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, 
  73. AND LOCAL LAWS MAY GIVE YOU ADDITIONAL RIGHTS.

  75. NO LIABILITY FOR DAMAGES: IN NO EVENT SHALL CYBERMEDIA BE 
  76. LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION,
  77. DAMAGES FOR LOSS, INCLUDING LOSS OF BUSINESS PROFITS, BUSINESS 
  78. INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY
  79. LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS 
  80. SOFTWARE, EVEN IF CYBERMEDIA HAS BEEN ADVISED OF THE POSSIBILITY
  81. OF SUCH DAMAGES.  SOME LOCAL LAWS MAY NOT ALLOW THE EXCLUSION
  82. OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR  INCIDENTAL DAMAGES, 
  83. AND SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  85. US GOVERNMENT RESTRICTED RIGHTS: The SOFTWARE, documentation and
  86. related materials are provided with RESTRICTED RIGHTS. Use, duplication,
  87. or disclosure by the Government is subject to restrictions as set forth in
  88. subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer
  89. Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of 
  90. the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19,
  91. as applicable.  Manufacturer/Contractor is CyberMedia, 3000 Ocean Park Blvd.
  92. Suite 2001, Santa Monica, CA 90405. This agreement is governed by the laws
  93. of the State of California, USA.

  95. PART II:  SERVICE SUBSCRIPTION 
  96.  
  97. SERVICES:  Certain CyberMedia SOFTWARE products include at no additional
  98. charge a one year subscription to one or more electronic information and/or
  99. updates services offered from time to time by CyberMedia, such as the
  100. CyberMedia First Aid Service and the CyberMedia Oil Change Service
  101. (individually a "Service", together the "Services").  A Service may provide
  102. for access by you of CyberMedia's First Aid, Oil Change, or other Knowledge
  103. Bases ("Content").  Any Services associated with the SOFTWARE you have
  104. received are as described in the accompanying SOFTWARE documentation.
  105.  
  106. SUBSCRIPTION TERM:  The term of your subscription, if any, for accessing
  107. a Service begins on the date of first installation of the related SOFTWARE
  108. on a computer, and will continue for the shorter of one year or the period
  109. specified in the accompanying Documentation.  Unless renewed by you before
  110. the end of the subscription period through CyberMedia or an authorized 
  111. CyberMedia vendor, your subscription terminates, and you may no longer
  112. access the Service.
  113.  
  114. COPYRIGHT:  All title and copyrights in and to the Content, including but
  115. not limited to any software, correction methodologies, scripts, databases,
  116. images, animations, music or text included therein are owned by CyberMedia
  117. and/or its suppliers and are protected by U.S. copyright and other
  118. intellectual property rights laws and international treaties. You do not
  119. own the Content, and no title transfers to you regarding the Content or
  120. any portions thereof or material provided therewith, including any
  121. associated copyrights, trademarks and other intellectual property rights.
  122. Title and ownership in such remains in CyberMedia and/or its suppliers.
  123. You agree to use the Content only though the SOFTWARE, and solely for its 
  124. intended purpose. You agree not to reproduce, retransmit, distribute, 
  125. disseminate, sell, publish, broadcast or circulate the Content in any form
  126. to anyone, including but not limited to others in the same company or 
  127. organization or to newsgroups, mail lists or electronic bulletin boards,
  128. without the express prior written consent of CyberMedia.  You may not
  129. reverse engineer, decompile, or disassemble the Content.
  130.  
  131. USER OBLIGATIONS:  You are responsible for obtaining and maintaining at
  132. your own expense any and all telephone, network or other communications
  133. links, computer software, hardware and other equipment or facilities, and 
  134. Internet services needed for access to a Service, which are in addition
  135. to the SOFTWARE.
  136.  
  137. NO WARRANTY:  All Services and Content are provided AS IS WITHOUT WARRANTY
  138. OF ANY KIND.  You expressly acknowledge and agree that use of a Service and
  139. the Content is at your own risk and that such is provided without any
  140. warranties whatsoever.  Due to the inherent dynamic nature of the software
  141. industry from which the Content is selected and organized, there may be
  142. inaccuracies, omissions or delays in the delivery of Content.  TO THE
  143. MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 
  144. CYBERMEDIA  FURTHER DISCLAIMS ANY IMPLIED WARRANTIES, 
  145. INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES
  146. OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE.
  147. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF 
  148. A SERVICE AND THE CONTENT SHALL REMAIN WITH YOU.  
  149. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO
  150. EVENT SHALL CYBERMEDIA BE LIABLE FOR ANY DAMAGES WHATSOEVER 
  151. (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS
  152. PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
  153. OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY
  154. TO USE THIS PRODUCT, EVEN IF CYBERMEDIA HAS BEEN ADVISED OF THE
  155. POSSIBILITY OF SUCH DAMAGES.  BECAUSE SOME STATES OR JURISDICTIONS
  156. DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR 
  157. CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION 
  158. MAY NOT APPLY TO YOU.
  159.  
  160. SERVICE INTERRUPTIONS:  The Service may be interrupted during the term of
  161. your subscription for reasons of planned or unplanned maintenance of its
  162. servers. In all cases, CyberMedia's obligations will be limited to making
  163. reasonable efforts to bring the servers back into operation and re-establish
  164. Service. In no case shall CyberMedia be responsible for incidental or
  165. consequential damages resulting from Service interruptions.  You may also
  166. experience service interruptions, including service degradations, due to
  167. failures of your own Internet service provider or the failures of other
  168. service providers providing connectivity between your computer and the 
  169. CyberMedia servers.  CyberMedia disclaims all responsibility for service 
  170. interruptions resulting from the failures of Internet service providers.
  171.  
  172. USE AND ACCESS:  The Content shall be accessed and used by you only through
  173. the SOFTWARE.  CyberMedia reserves the right to make any updates to the
  174. SOFTWARE and/or the Content available to you through alternative modes of
  175. access not requiring the use of the SOFTWARE or the Service.
  176.  
  177. CHANGES TO AGREEMENT  CyberMedia may at any time and at its sole discretion,
  178. change or discontinue any aspect or feature of the Service or Content. 
  179. CyberMedia shall have the right at any time to change the terms of this
  180. Service Subscription or require new terms.  Such changes shall be effective
  181. immediately upon distribution by any means which give you actual knowledge
  182. of them, and any use by you of the SOFTWARE, Service or Content after such 
  183. notice shall be deemed acceptance of them by you.
