  1. SSEYO Licence Agreement for Koan Pro Demo
  2.  
  3. IMPORTANT NOTICE: CAREFULLY READ THIS LICENCE BEFORE USING THE 
  4. SOFTWARE. BY USING THE SOFTWARE YOU ARE AGREEING TO ALL THE TERMS AND 
  5. CONDITIONS OF THIS LICENCE AGREEMENT.  IF YOU DO NOT ACCEPT THESE 
  6. TERMS WE ARE UNWILLING TO LICENSE THE SOFTWARE TO YOU AND YOU SHOULD 
  7. NOT USE THE SOFTWARE.

  9. SOFTWARE LICENCE AGREEMENT
  10. A. SSEYO Limited ("SSEYO") continues to own this copy of the Software
  11. and all other copies that you are authorized by this Agreement to make.
  12. THIS SOFTWARE CONTAINS CODE THAT RESULTS IN THE SOFTWARE TIMING OUT 
  13. AFTER 5 MINUTES. This licence gives you the non-exclusive, 
  14. non-sublicensable, non-transferable right to use the Software on the 
  15. following terms:

  17. B.    YOU MAY
  18. 1. Use the Software, subject to the provisions below.  The Software 
  19. is "in use" on a computer when it is loaded into the temporary memory 
  20. or installed in the permanent memory of that computer.  
  21. 2. Make one (1) backup copy of the Software, provided that you 
  22. reproduce all copyright and other proprietary notices on the copy and 
  23. the copy is kept in your possession with the original.
  24. 3 Distribute the Software on a public bulletin board, ftp site, world 
  25. wide web site, or distribute it by other means *provided* we give you 
  26. written authorization, which we may withhold for any reason.
  27.  
  28. C.    YOU MAY NOT
  29. 1. Rent, lend, lease, sell, transfer or grant any rights in the 
  30. Software.
  31. 2. Remove any copyright or other proprietary notices on the Software.
  32. 3. Modify, alter, translate or create derivative works based on the 
  33. Software (except as the law may permit you to do so, 
  34. notwithstanding such restrictions).
  35. 4. Reverse engineer, decompile, disassemble or otherwise attempt to 
  36. derive the source code, except as the law may permit you to do so, 
  37. notwithstanding such restrictions, and you acknowledge that the 
  38. Software in source code form remains a confidential trade secret of 
  39. SSEYO and/or its suppliers.
  40. 5. Use this Software in a mode of operation where the Software is 
  41. unattended by an operator for any purpose whatsoever, other than for 
  42. personal use.
  43. 6. Use this Software for any form of public broadcast or public 
  44. performance.
  45. 7. Notwithstanding that the Software does not facilitate the making 
  46. of MIDI file recordings, you may not make MIDI file recordings of a 
  47. SSEYO Koan piece where the original piece author has NOT authorized 
  48. MIDI file recordings of their piece, or claim rights to MIDI file 
  49. recordings or other recordings of a SSEYO Koan piece where the author 
  50. has not relinquished such rights.

  52. D    CONTENT
  53. All content accessed by or through the Software is the property of the
  54. applicable content owner and may be protected by applicable copyright
  55. law.  This Licence gives you no rights to such content.
  56.  
  57. E.    LIMITED WARRANTY
  58. SSEYO MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THIS SOFTWARE 
  59. OR ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY THE SOFTWARE, 
  60. FOR ANY PURPOSE.  THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT EXPRESS OR 
  61. IMPLIED WARRANTIES, INCLUDING WARRANTIES OF SATISFACTORY QUALITY AND 
  62. FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

  64. THIS SOFTWARE IS PROVIDED GRATUITOUSLY AND, ACCORDINGLY, SSEYO SHALL 
  65. NOT BE LIABLE UNDER ANY THEORY OR ANY DAMAGES SUFFERED BY YOU OR ANY 
  66. USER OF THE SOFTWARE.  SSEYO WILL NOT SUPPORT THIS SOFTWARE AND WILL 
  67. NOT ISSUE UPDATES TO THIS SOFTWARE.

  69. DEPENDING ON LOCAL LAW, CERTAIN LIMITATIONS CONTAINED IN THIS 
  70. WARRANTY MAY NOT APPLY TO YOU OR YOU MAY HAVE OTHER RIGHTS, SO BE 
  71. SURE TO CHECK.  THIS WARRANTY IS GIVEN IN LIEU OF ALL WARRANTIES, 
  72. CONDITIONS, TERMS, UNDERTAKINGS AND OBLIGATIONS IMPLIED BY STATUTE, 
  73. COMMON LAW, CUSTOM, TRADE USAGE, COURSE OF DEALING OR OTHERWISE, ALL 
  74. OF WHICH ARE HEREBY EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW.

  76. F.    LIMITATION OF LIABILITY
  77.  
  78. NEITHER WE NOR OUR SOFTWARE SUPPLIERS, DEALERS, DISTRIBUTORS, AGENTS 
  79. OR EMPLOYEES, WILL BE LIABLE FOR (a) ANY INDIRECT, CONSEQUENTIAL, 
  80. SPECIAL OR INCIDENTAL DAMAGES OR ANY SORT, SUCH AS DAMAGES FOR LOST 
  81. PROFITS, BUSINESS INTERRUPTION OR LOSS OF DATA ARISING OUT OF THE USE 
  82. OF THE SOFTWARE, WHETHER OR NOT WE HAVE BEEN NOTIFIED OF THE 
  83. POSSIBILITY OF SUCH DAMAGES, OR (b) FOR ANY CLAIM BY ANY OTHER PARTY. 
  84. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH 
  85. OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH 
  86. LIMITATION. FURTHERMORE, SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OR 
  87. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION 
  88. AND EXCLUSION MAY NOT APPLY TO YOU.

  90. G.    GENERAL TERMS
  91.  
  92. All rights not expressly granted to you hereunder are reserved by us. 
  93. This licence is effective until terminated. Failure to comply with 
  94. any provisions of this licence, will result in automatic termination 
  95. of this licence and may result in legal action. SSEYO may terminate 
  96. this Licence at any time by delivering notice to you and you may 
  97. terminate this Licence at any time by destroying or erasing your copy 
  98. of the Software. Upon termination, you agree to destroy all copies of 
  99. the Software in your possession.  In the event of termination, the 
  100. following sections of this Licence will survive: C7,D,E and F.  This 
  101. Licence is personal to you and you agree not to assign your rights 
  102. herein.
  103.  
  104. Title, ownership rights, and intellectual property rights in and to
  105. the Software shall remain in SSEYO and/or its suppliers.  You agree
  106. to abide by international copyright law.
  107.  
  108. The Software is provided with restricted rights.  Any use, 
  109. duplication or disclosure by the U.S. Government or any agency 
  110. thereof is subject to restriction as set forth in subdivision 
  111. (c)(1)(ii) of The Rights in Technical Data and Computer Software 
  112. clause at 48 CFR 252-227-7013 and in subdivision (b)(3)(ii) of The 
  113. Rights in Technical Data and Computer Software clause at FAR 52.227-
  114. 7013.  Similarly, any use, duplication or disclosure by any other 
  115. government is subject to similar restrictions under local law.
  116. - In the event of any conflict between any provision of this 
  117. Agreement and any applicable law, the provision or provisions of this 
  118. Agreement affected shall be modified to remove such conflict and 
  119. permit compliance with such law, and as so modified this Agreement 
  120. shall continue in full force and effect.  
  121. - This Agreement shall be governed by the English law and shall be 
  122. subject to the exclusive jurisdiction of the English courts without 
  123. reference to conflicts of laws principles.  
  124.  
  125. This Agreement constitutes the entire agreement between the parties 
  126. with respect to the Software and supersedes any communications, 
  127. advertising or representations concerning the Software and may not be 
  128. modified other than by an instrument in writing signed by both 
  129. parties.
  130.  
  131. NOTHING IN THIS AGREEMENT SHALL AFFECT THE STATUTORY RIGHTS OF A PERSON
  132. DEALING WITH SSEYO AS A CONSUMER AS DEFINED IN THE UNFAIR CONTRACT
  133. TERMS ACT 1977.
  134.  
  135. SSEYO, Koan and the SSEYO logo are registered trademarks of SSEYO 
  136. Limited in the UK and trademarks of SSEYO Limited in other countries.  
  137.
