  3. COMPUSERVE ONLINE INFORMATION SERVICE AGREEMENT TERMS
  4.  
  5.  1.   The CompuServe Information Service (the "Service") consists 
  6.       of computing and information services and software, 
  7.       information and other content provided by CompuServe 
  8.       Incorporated ("CompuServe"), as well as access to services, 
  9.       software, information and other content provided by third 
  10.       parties (collectively, "Third Party Content").  These terms 
  11.       and any Operating Rules published over the Service constitute
  12.       the entire and only agreement (collectively, the "Service 
  13.       Agreement") between CompuServe and member (one who has an 
  14.       account with CompuServe for the Service), including member's
  15.       designated users with respect to the Service and supersede
  16.       all other communications and agreements with regard to the 
  17.       subject matter hereof.

  19.  2.   Upon notice published over the Service, CompuServe may modify
  20.       this Service Agreement, (including the Operating Rules) or 
  21.       prices, and may discontinue or revise any or all other 
  22.       aspects of the Service in its sole  discretion and without 
  23.       prior notice.

  25.  3.   Unless otherwise agreed, member's right to use the Service or
  26.       to designate users is not transferable and is subject to any
  27.       limits established by CompuServe, or by member's credit card
  28.       company if billing is through a credit card.

  30.  4.   Member agrees to indemnify CompuServe against liability for
  31.       any and all use of member's account.
  32.  
  33.  5.   Member is responsible for and must provide all telephone and
  34.       other equipment and services necessary to access the Service.
  35.  
  36.  6.   Member shall pay, in accordance with the provisions of the
  37.       Billing Option selected by member, any registration or 
  38.       monthly fees, connect time charges, minimum charges and other
  39.       charges incurred by member or its designated users at the 
  40.       rates in effect for the billing period in which those 
  41.       charges are incurred, including but not limited to charges 
  42.       for any purchases made through the Service and any surcharges
  43.       incurred while using any supplemental networks or services 
  44.       other than the Service. Member shall pay all applicable taxes
  45.       related to use of the Service by member or its designated 
  46.       users. Information on connect time charges and surcharges  
  47.       (if any) that are incurred by a member will be made available
  48.       to the member online. Although certain areas of the Service
  49.       may be designated as free of charge, member acknowledges that
  50.       CompuServe incurs substantial costs in maintaining these
  51.       areas. Accordingly, if in CompuServe's judgment the member's
  52.       account reflects an excessive number of hours in such areas,
  53.       CompuServe reserves the right to charge for such excess (at
  54.       normal connect time rates).
  55.  
  56.       Member shall be responsible for all use of the Service 
  57.       accessed through member's or its designated users' 
  58.       password(s). For example, member may allow individuals in 
  59.       its household to use the Service through member's account. 
  60.       Member acknowledges that member is aware that areas 
  61.       accessible on or through the Service may contain material 
  62.       that is unsuitable for minors(persons under 18 years of 
  63.       age).  Member agrees to supervise usage of the Service by 
  64.       minors whom member permits to use the Service.
  65.  
  66.  7.   MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT 
  67.       MEMBER'S  SOLE RISK.  NEITHER COMPUSERVE NOR ANY OF ITS 
  68.       INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, OR AGENTS 
  69.       WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE;
  70.       NOR DOES COMPUSERVE OR ANY OF ITS INFORMATION PROVIDERS, 
  71.       LICENSORS, EMPLOYEES OR AGENTS MAKE ANY WARRANTY AS TO THE 
  72.       RESULTS TO BE OBTAINED FROM USE OF THE SERVICE. THE SERVICE 
  73.       IS DISTRIBUTED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY 
  74.       KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
  75.       WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY 
  76.       OR FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE, OTHER THAN 
  77.       THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF 
  78.       EXCLUSION, RESTRICTION, OR MODIFICATION UNDER THE LAWS 
  79.       APPLICABLE TO THIS SERVICE AGREEMENT. NEITHER COMPUSERVE NOR 
  80.       ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE
  81.       SERVICE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, 
  82.       SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE 
  83.       SERVICE OR INABILITY TO USE THE SERVICE OR OUT OF ANY BREACH 
  84.       OF ANY WARRANTY. MEMBER EXPRESSLY ACKNOWLEDGES THAT THE 
  85.       PROVISION OF THIS PARAGRAPH SHALL ALSO APPLY TO ALL THIRD 
  86.       PARTY CONTENT AND ANY  OTHER CONTENT AVAILABLE THROUGH THE  
  87.       SERVICE.  MEMBER AGREES THAT IT WILL NOT IN ANY WAY HOLD 
  88.       COMPUSERVE RESPONSIBLE FOR ANY SELECTION OR RETENTION OF, OR 
  89.       THE ACTS OR OMISSIONS OF, THIRD PARTIES IN CONNECTION WITH THE
  90.       SERVICE (INCLUDING THOSE WITH WHOM COMPUSERVE CONTRACTS TO
  91.       OPERATE VARIOUS AREAS ON THE SERVICE).

  93.  8.   Except as expressly permitted in the Operating Rules, neither
  94.       member nor its designated users may reproduce, redistribute,
  95.       retransmit, publish or otherwise transfer, or commercially
  96.       exploit, any information, software or other content which
  97.       they receive through the Service.

  99.  9.   The provisions of paragraphs 4, 7 and 8 are for the benefit
  100.       of CompuServe and its respective contractors, information
  101.       providers, licensors, employees, and agents; and each shall
  102.       have the right to assert and enforce such provisions directly
  103.       on its own behalf.

  105.  10.  Subject to the terms of this Service Agreement, CompuServe 
  106.       grants to member a personal, non-exclusive, nonassignable and 
  107.       nontransferable license to use and display the CompuServe 
  108.       Information Manager software ("Software") on any machine(s)
  109.       of which member is the primary user. Unauthorized copying of
  110.       the Software, including software that has been modified,
  111.       merged or included with the Software, or the written
  112.       materials associated therewith is expressly forbidden. Member
  113.       may not sublicense, assign or transfer this license or the
  114.       Software except as permitted by CompuServe.  Any attempt to
  115.       sublicense, assign or transfer any of the rights, duties or
  116.       obligations under this license is void.

  118.  11.  This Service Agreement is made in Ohio, and shall be governed
  119.       by and construed in accordance with the laws of the United
  120.       States of America and of the State of Ohio.  Any cause of
  121.       action of member or its designated users with respect to the
  122.       Service must be instituted within one year after the claim or 
  123.       cause of action has arisen or be barred.

  125.  12.  If Member's account is a qualified business account and 
  126.       approved by CompuServe for corporate billing, charges for the 
  127.       services provided under this Service Agreement will be 
  128.       accumulated and identified by User ID number and will
  129.       normally be invoiced following the end of the month in which
  130.       the service is provided. Terms of payment on all charges are
  131.       net, ten (10) days in the currency in which billed. If any
  132.       payment due hereunder is not made by the member within thirty
  133.       (30) days after the invoice date, late charges of one and
  134.       one-half percent (1 1/2%) per month shall be due and payable
  135.       with respect to such payment, and CompuServe may, in
  136.       addition, at its sole discretion and without notice to the
  137.       member, (a) suspend its performance under this Service
  138.       Agreement and the member's and its designated users' access to
  139.       and use of the Service, or (b) terminate this Service
  140.       Agreement and member's and its designated users' access to and
  141.       the use of the Service. For accounts not approved by
  142.       CompuServe for corporate billing, member must provide payment
  143.       by credit card or direct debit.

  145.  13.  Notwithstanding any acknowledgement of a member purchase 
  146.       order by CompuServe, any provision or condition in any
  147.       purchase order, voucher, or other memorandum of the member
  148.       which is in any way inconsistent with, or adds to, the
  149.       provisions of this Service Agreement is null and void.
  150.       Neither the course of conduct between parties nor trade
  151.       practice shall act to modify the provisions of this
  152.       Service Agreement.  CompuServe may authorize or allow its
  153.       contractors and other third parties to provide to CompuServe
  154.       and/or to member services necessary or related to making the
  155.       Service available and to perform obligations and exercise
  156.       rights of CompuServe under this Service Agreement, and may
  157.       collect payment on their behalf, if applicable.  If any
  158.       provision of this Service Agreement is determined to be
  159.       invalid, all other provisions shall remain in full force
  160.       and effect.  The provisions of paragraphs 4, 7, 9, and 13 and
  161.       all obligations of and restrictions on member and its
  162.       designated users shall survive any termination of this
  163.       Agreement.

  165.  14.  Member acknowledges that, when using the Internet, member is
  166.       using a completely different physical network than
  167.       CompuServe's communications network and different content
  168.       than that normally available on the Service. The
  169.       reliability, availability and performance of resources
  170.       accessed through the Internet are beyond CompuServe's control
  171.       and are not in any way warranted or supported by CompuServe
  172.       or its third party contractors. Member acknowledges that
  173.       safeguards relative to copyright, ownership, decency,
  174.       reliability and integrity of content may be entirely lacking
  175.       with respect to the Internet and content accessible through
  176.       it. Member assumes all risk and liability of its use of the
  177.       Internet, including member's continuous compliance with the
  178.       Service Agreement.
