  1. GROLIER INTERACTIVE INC. LICENSE AGREEMENT, LIMITED WARRANTY, 
  2. AND DISCLAIMER
  3.  
  4. PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THIS SOFTWARE. 
  5. By using this software, you are agreeing to be bound by all terms of this license. If you 
  6. do not agree to the terms of this license, promptly return the unused software and its 
  7. complete package to the place where you obtained it.

  9. LICENSE. In consideration of payment of the License fee, which is a portion of the 
  10. price you paid, the software and data accompanying this License (the "Software") and 
  11. related documentation are licensed (not sold) to you by Grolier Interactive Inc. and its 
  12. co-licensors (hereafter collectively referred to as GI). GI does not transfer title to the 
  13. Software to you; this License shall not be considered a "sale" of the Software. You own 
  14. the compact disc on which the Software is recorded, but GI and its co-licensors retain 
  15. full and complete title to the Software on that disc and the accompanying 
  16. documentation. This non-exclusive License gives you the right to use and display this 
  17. copy of the Software. Since this Software is shipped on a read-only medium (a compact 
  18. disc), there is no need for backup or archival copies of the Software to be made; if you 
  19. should receive updates to this Software on floppy disk(s), you are entitled to make two 
  20. archival backup copies of that disk(s). You are not permitted to copy the Software off 
  21. the compact disc, beyond the installation of the software as done by the Software itself, 
  22. to any storage medium. This License allows you to use the Software on a single 
  23. computer at a single location at any one time. All rights not expressly granted herein are 
  24. reserved to Grolier.
  25. RESTRICTIONS. The Software provides you with the ability to save and print 
  26. specifically selected information contained within the Software. You may exploit these 
  27. features, where such capability is provided for within the Software, for your personal, 
  28. non-commercial use only, preserving all copyright notices that are embedded by the 
  29. Software within those printed elements. The Software contains copyrighted material, 
  30. trade secrets, and other proprietary material and in order to protect them you may not 
  31. decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-
  32. perceivable form. Except as provided for in this license, you may not copy, modify, 
  33. network, rent, lease, or otherwise distribute the Software; nor can you make the 
  34. Software available by "bulletin boards," online services, remote dial-in, or network or 
  35. telecommunications links of any kind; nor can you create derivative works based upon 
  36. the Software in whole or in part. You may not electronically transmit or remotely 
  37. operate the Software by any means, nor may you use the Software over any type of 
  38. network. Within the terms of this license agreement, Licensee may transfer all of the 
  39. license rights to the Software to another party providing that the original compact disc 
  40. containing the Software, the related documentation, all copyright notices, and a copy of 
  41. this License are transferred to that party, and providing that party reads and agrees to 
  42. accept the terms and conditions of this License.
  43. SOFTWARE UPDATES. Updated versions of the Software may be created by GI from 
  44. time to time. Licensee acknowledges that GI is not responsible nor liable for support, 
  45. maintenance or the provision of any new releases, enhancements or updates to the 
  46. Software. GI may at its sole discretion make updates available to registered Licensees 
  47. who have paid the update fee.
  48. TERMINATION. This License is effective until terminated by either party. You may 
  49. terminate this License at any time by returning to GI or destroying the Software and all 
  50. related documentation and all copies and installations thereof, whether made under the 
  51. terms of this License or otherwise. This License will terminate immediately without 
  52. notice from GI if you fail to comply with any provision of this License. Upon 
  53. termination, you must destroy or return to GI the Software and related documentation 
  54. and all copies thereof, whether made under the terms of this license or otherwise.
  55. LIMITED WARRANTY AND DISCLAIMER. GI WARRANTS THE DISCS ON 
  56. WHICH THE SOFTWARE IS RECORDED TO BE FREE FROM DEFECTS IN 
  57. MATERIALS AND WORKMANSHIP UNDER NORMAL USE FOR A PERIOD OF 
  58. NINETY (90) DAYS FROM THE DATE OF PURCHASE AS EVIDENCED BY A 
  59. COPY OF THE SALES RECEIPT OR PACKING SLIP. GI'S ENTIRE LIABILITY 
  60. AND YOUR EXCLUSIVE REMEDY WILL BE REPLACEMENT OF THE 
  61. DEFECTIVE DISC WHICH IS RETURNED TO GI WITH COPY OF PROOF OF 
  62. PURCHASE OR DELIVERY. GI WILL HAVE NO RESPONSIBILITY TO 
  63. REPLACE A DISC DAMAGED BY ACCIDENT, ABUSE OR MISAPPLICATION. 
  64. ANY IMPLIED WARRANTIES ON THE DISC, INCLUDING THE IMPLIED 
  65. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  66. PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE 
  67. DATE OF PURCHASE OR DELIVERY. THIS WARRANTY GIVES YOU 
  68. SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS 
  69. WHICH VARY FROM JURISDICTION TO JURISDICTION. YOU EXPRESSLY 
  70. ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR 
  71. SOLE RISK. THE SOFTWARE AND RELATED DOCUMENTATION ARE 
  72. PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EITHER 
  73. EXPRESS OR IMPLIED. GI AND ITS CO-LICENSORS EXPRESSLY DISCLAIM 
  74. ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED 
  75. TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR 
  76. A PARTICULAR PURPOSE. GI DOES NOT WARRANT THAT THE FUNCTIONS 
  77. CONTAINED IN THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-
  78. FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. 
  79. FURTHERMORE, GI DOES NOT WARRANT OR MAKE ANY 
  80. REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE 
  81. OF THE SOFTWARE AND RELATED DOCUMENTATION IN TERMS OF THEIR 
  82. CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE, INCLUDING 
  83. BUT NOT LIMITED TO ANY THIRD PARTY SITE CONTENT ACCESSED 
  84. THROUGH HYPERTEXT LINKS IN THE SOFTWARE. GROLIER EXPRESSLY 
  85. DISCLAIMS ANY ENDORSEMENT OF, OR LIABILITY ARISING OUT OF OR 
  86. RELATING TO ANY THIRD PARTY SITES. THE LIMITATIONS OF LIABILITIES 
  87. DESCRIBED IN THIS SECTION ALSO APPLY TO THE THIRD-PARTY 
  88. SUPPLIERS OF MATERIALS USED IN THE SOFTWARE. THE LIMITATIONS OF 
  89. LIABILITIES OF GI AND THESE THIRD PARTIES ARE NOT CUMULATIVE; 
  90. SUCH THIRD PARTIES ARE THE INTENDED BENEFICIARIES OF THIS 
  91. SECTION. NO ORAL OR WRITTEN INFORMATION OR ADVICE BY GI OR A GI 
  92. AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY 
  93. WAY INCREASE THE SCOPE OF THIS LIMITED WARRANTY. YOU (AND NOT 
  94. GI) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR 
  95. OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION 
  96. OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY 
  97. TO YOU.
  98. LIMITATION OF LIABILITY. Under no circumstances, including negligence, shall GI 
  99. be liable for any special or consequential damages that result from the use of, or the 
  100. inability to use, the software or related documentation, even if GI or a GI authorized 
  101. representative has been advised of the possibility of such damages. Some jurisdictions 
  102. do not allow the limitation or exclusion of liability for incidental or consequential 
  103. damages, so the above limitation or exclusion may not apply to you. In no event shall 
  104. GI's total liability to you for all damages, losses, and causes of action [whether in 
  105. contract, tort (including negligence) or otherwise] exceed the amount paid by you for 
  106. the Software.
  107. GOVERNMENT USE. If you are acquiring the Software on behalf of any unit or 
  108. agency of the United States Government, the following provisions apply. The 
  109. Government agrees: i) if the software is supplied to the Department of Defense (DoD), 
  110. the software is classified as "Commercial Computer Software" and the Government is 
  111. acquiring only "restricted rights" to the Software and its documentation as that term is 
  112. defined in Clause 252.227-7013(c)(l) of the DEFARS; and ii) if the software is supplied 
  113. to any unit or agency of the United States Government other than DoD, the 
  114. Government's rights in the Software and its documentation will be defined in Clause 
  115. 52.227-19(c)(2) of the FAR or, in Clause 18-52.227-86(d) of the NASA Supplement to 
  116. the FAR.
  117. EXPORTING. You agree and certify that neither the Software nor any other technical 
  118. data received from GI, nor the direct product thereof, will be exported outside the 
  119. United States except as authorized and as permitted by the laws and regulations of the 
  120. United States.
  121. GOVERNING LAW and SEVERABILITY. The License shall be governed by and 
  122. construed in accordance with the laws of the United States and the State of Connecticut. 
  123. If for any reason, a court of competent jurisdiction finds any provision of this License, 
  124. or portion thereof, to be unenforceable, that provision of the License shall be enforced 
  125. to the maximum extent permissible so as to effect the intent of both parties, and the 
  126. remainder of this License shall continue in full force and effect. This is the entire 
  127. agreement between the parties relating to the subject matter herein and shall not be 
  128. modified except in writing, signed by both parties.
