  1. LEGAL AGREEMENT
  2.  
  3. 1.  Ownership And License.  This is a license agreement between you
  4. and GT Interactive Software (the "Company"). It is NOT an agreement
  5. for sale.  The software contained in this package (the "Software")
  6. supplied for evaluation purposes only and is the property of the Company
  7. and/or its Licensors. Your rights to use the Software are specified
  8. in this Agreement, and the Company and/or its Licensors retain
  9. all rights not expressly granted to you in this Agreement.

  11. 2.  Permitted Uses.  You are granted the following rights to the Software:
  12.     (a)  Right to Install and Use.  You may install and use the Software
  13.          on a single computer for evaluation purposes only.
  14.     (b)  Right to Copy.  You may make and maintain one copy of the
  15.          Software for backup and archival purposes, provided that the
  16.          original and each copy of the Software are kept in your
  17.          possession.
  18.     
  19. 3.  Prohibited Uses.  The following uses of the Software are prohibited.
  20. You may NOT:
  21.     (a)  Make or distribute copies of the Software or documentation, or
  22.          any portion thereof, except as expressly provided for in this
  23.          Agreement.
  24.     (b)  Use any backup or archival copy of the Software (or allow
  25.          someone else to use such copy) for any purpose other than to
  26.          replace the original copy in the event it is destroyed or
  27.          becomes defective;
  28.     (c)  Alter, decompile, or disassemble the Software, create derivative
  29.          works based upon the Software, or make any attempt to bypass,
  30.          unlock or disable any protective or initialization system on the
  31.          Software;
  32.     (d)  Rent, lease, sub-license, time-share, or transfer the Software
  33.          or documentation, or your rights under this Agreement;
  34.     (e)  Upload or transmit the Software, or any portion thereof, to any
  35.          electronic bulletin board, network, or other type of multi-use
  36.          computer system regardless of purpose;
  37.     (f)  Remove or obscure any copyright or trademark notice(s) on the
  38.          Software or documentation;
  39.     (g)  Include the Software or any portion of the Software or
  40.          documentation in any software compilation or other commercial
  41.          product intended for manufacture, distribution, or sale; or
  42.     (h)  Include the Software in any product containing immoral,
  43.          scandalous, controversial, derogatory, obscene, or offensive
  44.          works.

  46. 4.  Termination.  This license is effective upon the first use,
  47. installation, loading or copying of the Software.  You may terminate this
  48. Agreement at any time by destruction and disposal of the Software and all
  49. related documentation.  This license will terminate automatically without
  50. notice from the Company if you fail to comply with any provisions of this
  51. license.  Upon termination, you shall destroy all copies of the Software
  52. and any accompanying documentation.  All provisions of this Agreement as
  53. to warranties, limitation of liability, remedies or damages shall survive
  54. termination.

  56. 5.  Copyright Notice.  The Company and/or our Licensors hold valid
  57. copyright in the Software.  Nothing in this Agreement constitutes a
  58. waiver of any rights under U.S. Copyright law or any other federal or
  59. state law.

  61. 6.  Miscellaneous.  This Agreement shall be governed by the laws of the
  62. United States of America and the State of Minnesota. If any provision,
  63. or any portion, of this Agreement is found to be unlawful, void, or for
  64. any reason unenforceable, it shall be severed from, and shall in no way
  65. affect the validity or enforceability of the remaining provisions of
  66. the Agreement.

  68. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING AND
  69. WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
  70. FOR A PARTICULAR PURPOSE. THE COMPANY DOES NOT WARRANT, GUARANTEE OR MAKE
  71. ANY REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF THE
  72. SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS
  73. OR OTHERWISE.

  75. IN NO EVENT SHALL THE COMPANY OR ITS EMPLOYEES OR LICENSORS BE LIABLE FOR
  76. ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF
  77. OR IN CONNECTION WITH THE LICENSE GRANTED UNDER THIS AGREEMENT INCLUDING
  78. AND WITHOUT LIMITATION, LOSS OF USE, LOSS OF DATE, LOSS OF INCOME OR
  79. PROFIT, OR OTHER LOSS SUSTAINED AS A RESULT OF INJURY TO ANY PERSON, OR
  80. LOSS OF OR DAMAGE TO PROPERTY, OR CLAIMS OF THIRD PARTIES, EVEN IF THE
  81. COMPANY OR AN AUTHORIZED REPRESENTATIVE OF THE COMPANY HAS BEEN ADVISED
  82. OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT SHALL LIABILITY OF THE
  83. COMPANY FOR DAMAGES WITH RESPECT TO THE SOFTWARE EXCEED THE AMOUNTS
  84. ACTUALLY PAID BY YOU, IF ANY, FOR THE SOFTWARE.

  86. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF IMPLIED WARRANTIES OR
  87. LIABILITY FOR INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, SO
  88. THE ABOVE LIMITATIONS MAY NOT ALWAYS APPLY.

  90. ACKNOWLEDGMENT
  91. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND AGREE
  92. TO BE BOUND BY ITS TERMS AND CONDITIONS.  YOU ALSO AGREE THAT THIS
  93. AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN
  94. YOU AND THE COMPANY AND SUPERCEDES ALL PROPOSALS OR PRIOR ENDORSEMENTS,
  95. ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND THE COMPANY
  96. OR ANY REPRESENTATIVE OF THE COMPANY RELATING TO THE SUBJECT MATTER OF
  97. THIS AGREEMENT.
