  8. END-USER LICENSE AGREEMENT
  9.

  11. This  End-User License  Agreement document  is a  legal agreement
  12. (hereafter referred to as the "Agreement") between you (either an
  13. individual  person or a single legal entity, who will be referred
  14. to  as "You")  and Ronen  Tzur (the  "Author"), and  contains the
  15. terms  and conditions  that  must  be complied  with  if You  use
  16. version  2.0  or later of  the Sandboxie software program and the
  17. accompanying  written  materials, in either printed or electronic
  18. (online)  form. The  Sandboxie software  and any  such matterials
  19. will be collectively referred to as the "Software".
  20.  
  21. IMPORTANT:   By  installing,  copying,  or  otherwise  using  the 
  22. Software,  You agree  to be bound by the terms of this Agreement. 
  23. If  You do  not agree  to  the terms  of this  Agreement, do  not 
  24. install  or  use  the  Software. This  Agreement  represents  the 
  25. entire  agreement concerning  the  Software between  You and  the 
  26. Author,  and it supersedes any prior proposal, representation, or 
  27. understanding  between the  parties, and may be amended only in a 
  28. writing signed by both parties.

  31. The Software is licensed, not sold.

  33.  
  34. GRANT OF LICENSE 
  35.  
  36.  
  37. The  Author  grants You  a personal, limited, non-exclusive, non- 
  38. transferable  license  to  access, install,  download,  copy  the 
  39. Software,  or  otherwise benefit  from using the functionality of 
  40. the  Software, on  any number of computers you own, provided that 
  41. You  adhere to all of the terms and conditions of this Agreement. 
  42. This  Agreement is  an express  limited  use license  and not  an 
  43. assignment,  sale,  or other  transfer  of  the Software  or  any 
  44. Intellectual Property Rights of the Author. 
  45.  
  46. This  Agreement grants  You the  right  to use  the Software  for 
  47. personal  use  only.  Commercial  use  of  the  Software  is  not 
  48. permitted under this  Agreement.
  49.  
  50. This Agreement specifically FORBIDS You from making copies of the 
  51. Software for purposes of distributing the Software into computers 
  52. or  electronic media  that are  not  owned by You.  A license for
  53. the Software may not be shared.
  54.  
  55. The  Author and/or  its  affiliates or  subsidiaries own  certain 
  56. rights  that  may exist  from time  to time in  this or any other 
  57. jurisdiction,  whether foreign  or  domestic,  under patent  law, 
  58. copyright  law, publicity  rights  law, moral  rights law,  trade 
  59. secret  law,  trademark  law,  unfair competition  law  or  other 
  60. similar  protections, regardless of whether or not such rights or 
  61. protections   are  registered  or  perfected  (the  "Intellectual 
  62. Property   Rights"),  in  the  computer  software  and  hardware, 
  63. together   with  any  related  documentation  (including  design, 
  64. systems  and user) and other materials for use in connection with 
  65. such   computer  software  in  this  package  (collectively,  the 
  66. "Licensed  Works"). ALL  INTELLECTUAL PROPERTY  RIGHTS IN  AND TO 
  67. THE LICENSED WORKS ARE AND SHALL REMAIN IN THE AUTHOR.

  69. By  opening  the  file  package  containing  this  software,  You 
  70. agree  that  this  Agreement  is  a  legally  binding  and  valid 
  71. contract,  agree  to abide by  the intellectual property laws and 
  72. all  of  the terms and  conditions of this Agreement, and further 
  73. agree  to  take all necessary steps  to ensure that the terms and 
  74. conditions  of  this Agreement are  not violated by any person or 
  75. entity under Your control or in Your service.

  78. RESTRICTIONS

  81. (a)  You  are  expressly  prohibited  from  reverse  engineering, 
  82. decompiling, translating, disassembling, deciphering, decrypting, 
  83. or  otherwise  attempting to  discover  the  source code  of  the 
  84. Software   as  the  Software  contains  proprietary  material  of 
  85. the Author.  You may  not otherwise  modify, alter,  adapt, port, 
  86. or merge the Software.

  88. (b)  You  may not  remove, alter,  deface, overprint or otherwise 
  89. obscure the Author patent,  trademark,  service mark or copyright 
  90. notices. 
  91.  
  92. (c)   You   agree  that   the  Software   will  not  be  shipped, 
  93. transferred  or  exported into any  other country, or used in any 
  94. manner  prohibited  by any government  agency or any export laws, 
  95. restrictions or regulations.

  98. TERMINATION 
  99.

  101. This  Agreement  is effective until terminated. You may terminate 
  102. this  Agreement at  any  time by  uninstalling  the Software  and 
  103. destroying all copies of the Software.  Upon any termination, You 
  104. agree  to uninstall the Software and return or destroy all copies 
  105. of  the  Software, any  accompanying documentation, and all other 
  106. associated materials. 
  107.  
  108. Without  prejudice to  any other rights, the Author may terminate
  109. this  Agreement  if  You  fail  to  comply  with  the  terms  and
  110. conditions  of this  Agreement. In such event, You must uninstall
  111. the Software and destroy all copies of the Software.

  113.  
  114. WARRANTIES AND DISCLAIMER 
  115.  
  116.  
  117. EXCEPT  AS EXPRESSLY  PROVIDED OTHERWISE  IN A  WRITTEN AGREEMENT 
  118. BETWEEN  THE AUTHOR  AND YOU, THE SOFTWARE ARE NOW PROVIDED AS IS 
  119. WITHOUT   WARRANTY  OF  ANY  KIND,  EITHER  EXPRESS  OR  IMPLIED, 
  120. INCLUDING,   BUT  NOT  LIMITED  TO,  THE  IMPLIED  WARRANTIES  OF 
  121. MERCHANTABILITY  OR  FITNESS FOR  A  PARTICULAR  PURPOSE, OR  THE 
  122. WARRANTY  OF NON-INFRINGEMENT.  WITHOUT  LIMITING THE  FOREGOING, 
  123. THE AUTHOR MAKES NO WARRANTY THAT (i) THE SOFTWARE WILL MEET YOUR 
  124. REQUIREMENTS,   (ii)   THE   USE   OF  THE   SOFTWARE   WILL   BE 
  125. UNINTERRUPTED,  TIMELY,  SECURE, OR ERROR-FREE, (iii) THE RESULTS 
  126. THAT  MAY BE  OBTAINED  FROM  THE USE  OF  THE  SOFTWARE WILL  BE 
  127. ACCURATE OR RELIABLE, (iv) THE QUALITY OF THE SOFTWARE WILL  MEET 
  128. YOUR  EXPECTATIONS,  (v)  ANY  ERRORS IN  THE  SOFTWARE  WILL  BE 
  129. CORRECTED,  AND/OR (vi) YOU MAY USE, PRACTICE, EXECUTE, OR ACCESS 
  130. THE  SOFTWARE  WITHOUT VIOLATING THE INTELLECTUAL PROPERTY RIGHTS 
  131. OF OTHERS.

  133. IN  NO EVENT  SHALL THE  AUTHOR  BE LIABLE  TO YOU  OR ANY  THIRD 
  134. PARTY  FOR ANY  SPECIAL,  INCIDENTAL,  INDIRECT OR  CONSEQUENTIAL 
  135. DAMAGES  OF  ANY  KIND,  OR ANY  DAMAGES  WHATSOEVER,  INCLUDING, 
  136. WITHOUT  LIMITATION,  THOSE RESULTING  FROM LOSS  OF USE, DATA OR 
  137. PROFITS,  WHETHER OR  NOT  THE  AUTHOR HAD  BEEN  ADVISED OF  THE 
  138. POSSIBILITY  OF SUCH  DAMAGES, AND  ON ANY  THEORY OF  LIABILITY, 
  139. ARISING  OUT  OF OR IN  CONNECTION WITH  THE USE OF THE SOFTWARE.

  142. In  the  event  any  provision  of this  Agreement  is  found  to 
  143. be  invalid, illegal or unenforceable, the validity, legality and 
  144. enforceability  of  any of the  remaining provisions shall not in 
  145. any   way  be  affected  or  impaired  and  a  valid,  legal  and 
  146. enforceable provision of similar intent and economic impact shall 
  147. be substituted therefor.
