  2. END-USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE
  3.  
  4. IMPORTANT-READ CAREFULLY: This Microsoft End-User License
  5. Agreement ("EULA") is a legal agreement between you (either an
  6. individual or a single entity) and Microsoft Corporation for the
  7. Microsoft software product identified above, which includes
  8. computer software and associated media and printed materials,
  9. and may include "online" or electronic documentation ("SOFTWARE
  10. PRODUCT" or "SOFTWARE"). By installing, copying, or otherwise
  11. using the SOFTWARE PRODUCT, you agree to be bound by the terms
  12. of this EULA. If you do not agree to the terms of this EULA, do
  13. not install, copy, or use the SOFTWARE PRODUCT.

  15. SOFTWARE PRODUCT LICENSE
  16. The SOFTWARE PRODUCT is protected by copyright laws and
  17. international copyright treaties, as well as other intellectual
  18. property laws and treaties. The SOFTWARE PRODUCT is licensed,
  19. not sold.
  20.  
  21. 1. GRANT OF LICENSE. This EULA grants you the following
  22. non-exclusive rights:
  23.  
  24.     * Software Product. You may install and use the enclosed
  25.       SOFTWARE PRODUCT on your computers to design, develop, and
  26.       test help systmes and Internet content ("Help").
  27.  
  28.     * Sample Code. You may modify the sample source code
  29.       located in the SOFTWARE PRODUCT's online help files to
  30.       design, develop, and test your Help. You may also
  31.       reproduce and distribute the Sample Code in object code
  32.       form along with any modifications you make to the Sample
  33.       Code, provided that you comply with the Distribution
  34.       Requirements described below. For purposes of this
  35.       section, "modifications" shall mean enhancements to the
  36.       functionality of the Sample Code.
  37.  
  38.     * Redistributable Code. The portions of the SOFTWARE
  39.       PRODUCT identified as "hhupd.exe" is designated as
  40.       "Redistributable Code." The Redistributable Code has been
  41.       designed, developed and tested to run on Windows 95 and
  42.       Windows NT and is intended to provide you with a way to
  43.       redistribute Internet Explorer services such as HTML Help
  44.       functionality. You may redistribute the Redistributable
  45.       Code subject to the Distribution Requirements listed below
  46.       and the following additional provisions: you may only
  47.       permit installation of the Redistributable Code in the
  48.       "passive mode" without making it the default browser and
  49.       without adding the Internet icon to the desktop. If your
  50.       redistribution and installation of the Redistibutable Code
  51.       requires that you use the Internet icon on the desktop, or
  52.       to use Internet Explorer as the default browser, you must
  53.       sign up and accept the terms of the Internet Explorer
  54.       License and Distribution Agreement located at:
  55.       http://ieak.microsoft.com/release2/licenseProducts.asp.
  56.  
  57.     * Distribution Requirements. You may copy and
  58.       redistribute the Sample Code and/or Redistributable Code
  59.       (collectively "REDISTRIBUTABLE COMPONENTS") as described
  60.       above, provided that (a) you distribute the
  61.       REDISTRIBUTABLE COMPONENTS only in conjunction with, and
  62.       as a part of, your Application; (b) your Application adds
  63.       significant and primary functionality to the
  64.       REDISTRIBUTABLE COMPONENTS; (c) you do not use Microsoft's
  65.       name, logo, or trademarks to market your Application,
  66.       except as expressly authorized by Microsoft in any other
  67.       agreement; (d) you include a valid copyright notice on
  68.       your Application; and (g) you agree to indemnify, hold
  69.       harmless, and defend Microsoft from and against any claims
  70.       or lawsuits, including attorneys' fees, that arise or
  71.       result from the use or distribution of your Application.
  72.       Microsoft reserves all rights not expressly granted to
  73.       you.

  75. 2. COPYRIGHT. All rights, title, and copyrights in and to the
  76. SOFTWARE PRODUCT (including, but not limited to, any images,
  77. photographs, animations, video, audio, music, text, and
  78. "applets" incorporated into the SOFTWARE PRODUCT) and any copies
  79. of the SOFTWARE PRODUCT are owned by Microsoft or its suppliers.
  80. You may not copy the printed materials, if any, accompanying the
  81. SOFTWARE PRODUCT.

  83. 3.  DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
  84.     * Limitations on Reverse-Engineering, Decompilation, and
  85.       Disassembly. You may not reverse- engineer, decompile, or
  86.       disassemble the SOFTWARE PRODUCT, except and only to the
  87.       extent that such activity is expressly permitted by
  88.       applicable law notwithstanding this limitation.
  89.  
  90.     * Rental. You may not rent or lease the SOFTWARE PRODUCT.
  91.  
  92.     * Software Transfer. You may permanently transfer all of
  93.       your rights under this EULA, provided you retain no
  94.       copies, you transfer all of the SOFTWARE PRODUCT
  95.       (including all component parts, the media and printed
  96.       materials, any upgrades, this EULA, and, if applicable,
  97.       the Certificate of Authenticity), and the recipient agrees
  98.       to the terms of this EULA. If the SOFTWARE PRODUCT is an
  99.       upgrade, any transfer must include all prior versions of
  100.       the SOFTWARE PRODUCT.
  101.  
  102.     * Termination. Without prejudice to any other rights,
  103.       Microsoft may terminate this EULA if you fail to comply
  104.       with the terms and conditions of this EULA. In such event,
  105.       you must destroy all copies of the SOFTWARE PRODUCT and
  106.       all of its component parts.
  107.  
  108. 5. EXPORT RESTRICTIONS. You agree that neither you nor your
  109. customers intend to or will, directly or indirectly, export or
  110. transmit (a) the SOFTWARE PRODUCT or related documentation and
  111. technical data, or (b) your Application as described in Section
  112. 1 of this EULA (or any part thereof), or process, or service
  113. that is the direct product of the SOFTWARE PRODUCT to any
  114. country to which such export or transmission is restricted by
  115. any applicable U.S. regulation or statute, without the prior
  116. written consent, if required, of the Bureau of Export
  117. Administration of the U.S. Department of Commerce, or such other
  118. governmental entity as may have jurisdiction over such export
  119. or transmission.

  121. 6. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and
  122. documentation are provided with RESTRICTED RIGHTS. Use,
  123. duplication, or disclosure by the Government is subject to
  124. restrictions as set forth in subparagraph (c)(1)(ii) of The
  125. Rights in Technical Data and Computer Software clause at DFARS
  126. 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial
  127. Computer Software - Restricted Rights at 48 CFR 52.227-19, as
  128. applicable. Manufacturer is Microsoft Corporation/One Microsoft
  129. Way/ Redmond, WA 98052-6399. MISCELLANEOUS
  130.  
  131. If you acquired this product in the United States, this EULA is
  132. governed by the laws of the State of Washington.
  133.  
  134. If you acquired this product in Canada, this EULA is governed by
  135. the laws of the Province of Ontario, Canada. Each of the parties
  136. hereto irrevocably attorns to the jurisdiction of the courts of
  137. the Province of Ontario and further agrees to commence any
  138. litigation that may arise hereunder in the courts located in the
  139. Judicial District of York, Province of Ontario.

  141. If this product was acquired outside the United States, local
  142. law may apply.
  143.  
  144. Should you have any questions concerning this EULA, or if you
  145. desire to contact Microsoft for any reason, please contact the

  150. NO WARRANTIES. To the maximum extent permitted by applicable
  151. law, Microsoft expressly disclaims any warranty for the SOFTWARE
  152. PRODUCT. The SOFTWARE PRODUCT and any related documentation are
  153. provided "as is" without warranty of any kind, either express or
  154. implied, including, without limitation, the implied warranties
  155. of merchantability or fitness for a particular purpose. The
  156. entire risk arising out of use or performance of the SOFTWARE
  157. PRODUCT remains with you.
  158.  
  159. LIMITATION OF LIABILITY. Microsoft's entire liability and your
  160. exclusive remedy under this EULA shall not exceed five dollars
  161. (US$5.00).
  162.  
  163. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent
  164. permitted by applicable law, in no event shall Microsoft or its
  165. suppliers be liable for any damages whatsoever (including,
  166. without limitation, damages for loss of business profit,
  167. business interruption, loss of business information, or any
  168. other pecuniary loss) arising out of the use of, or inability to
  169. use, this Microsoft product, even if Microsoft has been advised
  170. of the possibility of such damages. Because some
  171. states/jurisdictions do not allow the exclusion or limitation of
  172. liability for consequential or incidental damages, the above
  173. limitation may not apply to you.
