This package contains a proprietary software program ("Software"), Data, Information and other materials. This software, data, information and other materials, including the textual information and the still images, maps, graphics, video sequences and audio, its design and representation (inclusing the design of the user interface and the navigational structure) and the related documentation are hereafter collectively referred to as the "Product". Your right to use the Product is governed by the terms and conditions of this Agreement. Clicking 'Accept' below indicates your acceptance of these terms. If you do not agree with the terms and conditions set forth below, click 'Decline' and return the entire package (including all disks, documentation and printed materials) to the person or entity from whom you purchased this product within thirty days of the date of purchase for a full refund.
License and Term: Throughout this Agreement "you" shall mean either the individual or entity whose agent opens this package. Criterion Software Limited ("Criterion") and its licensors grant to you a non-exclusive, non-transferable licence ("Licence") to use the Product. The Product can only be used on a single computer (i.e. a single CPU). You may make one copy of the Software for backup purposes. Any attempted sub licence, assignment or other transfer of the Product or the rights or obligations of this Agreement without the prior written consent of Criterion shall be void. This Agreement will terminate if you fail to comply with its terms. Upon termination you are obliged to return to Criterion the Product with any copy thereof in any form.
Copyright; Restrictions on Use and Transfer: This product is copyrighted. No part of the Product, including the data or software, may (except to the extent allowed by the product for private study or as otherwise expressly authorized herein) be reproduced, stored, distributed or transmitted in any form without the prior written permission of Criterion or the applicable copyright holder. Unauthorized copying or reverse compiling and disassembling of the Software in object format are prohibited. You may make copies of limited portions of the information but only to the extent allowed by the system and only for your internal personal use. Title to the Program is not transferred to you by this Agreement. All rights not expressly granted herein are reserved to Criterion and its respective licensors.
Program Limitations: Criterion makes no warranty that the Program will be free from error or will meet your specific requirements. You assume complete responsibility for decisions made or actions taken based on information obtained using the Program. Any statements made concerning the utility of the Program are not to be construed as expressed or implied warranties.
CRITERION MAKES NO WARRANTY OR CONDITION, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, REGARDING THE PROGRAM. CRITERION MAKES THE PROGRAM AVAILABLE SOLELY ON AN "AS IS" BASIS.
Limited Warranty on Media and Damages Disclaimer: The media (not the Program) is warranted to the original purchaser against defects in material and workmanship for a period of ninety (90) days from the date of original purchase. Other than the postage charges (when allowed by law), no charge will be made for the replacement. THIS PARAGRAPH EXPRESSES THE SOLE LIABILITY OF CRITERION AND YOUR EXCLUSIVE REMEDY. This warranty gives you specific legal rights, and you may also have other rights, which vary, from country to country and, within the U.S., from state to state.
NEITHER CRITERION NOR ANY APPLICABLE LICENSOR SHALL BE RESPONSIBLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. Some countries and some U.S. states do not allow the exclusion or limitations of incidental or consequential damages or limitations on how long an implied warranty lasts, so the above limitations or exclusions may not apply to you.
General: This Agreement constitutes the entire agreement between the parties relating to the Product. This terms of any purchase order shall have no effect on the terms of this Agreement. Failure of Criterion to insist at any time on strict compliance with this Agreement shall not constitute waiver of any rights under this Agreement. This Agreement shall be construed and governed in accordance with the laws of England.
