  1. LIMITED USE SOFTWARE LICENSE AGREEMENT
  2.  
  3. This Limited Use Software License Agreement (the "Agreement") is a legal
  4. agreement between you, the end-user and Aegis Simulation Technologies 
  5. ("Aegis Tech").  By continuing the installation of this game program 
  6. entitled BFRIS, by loading or running the game program, or by placing 
  7. or copying the game program onto your computer hard drive, computer RAM 
  8. or other storage, you are agreeing to be bound by the terms of this 
  9. Agreement.
  10.  
  11. 1. Grant of License of Software.  Subject to the terms and conditions 
  12. of this Agreement, Aegis Tech grants to you the non-exclusive and 
  13. limited right to use the software game program entitled BFRIS in 
  14. executable or object code form only (the "Software") for recreational 
  15. purposes only.  The term "Software" includes all elements of the 
  16. Software such as data files, images appearing in the Software and 
  17. screen displays.  You are not receiving any ownership or proprietary 
  18. right, title or interest in or to the Software or the copyright, 
  19. trademarks, or other rights related thereto.  For purposes of this 
  20. section, "use" means loading the Software into RAM and/or onto computer 
  21. hard drive, as well as installation of the Software on a hard disk or 
  22. other storage device.  You agree that the Software will not be shipped, 
  23. transferred or exported into any country in violation of the U.S. Export
  24. Administration Act (or any other law governing such matters) by you or 
  25. any one at your direction and that you will not utilize and will not 
  26. authorize anyone to utilize, in any other manner, the Software in 
  27. violation of any applicable law.  The Software may not be exported or 
  28. reexported into (or to a national or resident of) any country to which 
  29. the U.S. has embargoed goods or to anyone or into any country who/which 
  30. are prohibited, by applicable law, from receiving such property.

  32. 2.  Additional .  Subject to the terms and conditions of this Agreement,
  33. Aegis Tech grants to you the non-exclusive and limited right to create 
  34. additional maps (the "Maps") which are operable with the Software.  You 
  35. agree that the Maps will not be shipped, transferred or exported into 
  36. any country in violation of the U.S. Export Administration Act (or any 
  37. other law governing such matters) by you or anyone at your direction and
  38. that you will not utilize and will not authorize anyone to utilize, in 
  39. any other manner, the Maps in violation of any applicable law.  The 
  40. Maps may not be downloaded or otherwise exported or re-exported into 
  41. (or to a national or resident of) any country to which the U.S. has 
  42. embargoed goods or to anyone or into any country who/which are 
  43. prohibited by applicable law, from receiving such property.

  45. You shall not rent, sell, lease, lend, offer on a pay-per-play basis or 
  46. otherwise commercially exploit or commercially distribute the Maps.  
  47. You are only permitted to distribute for free, without any cost or 
  48. charge, the Maps to other endusers.  As noted below, in the event you 
  49. commercially distribute or commercial exploit the Maps or commit any 
  50. other breach of this Agreement, your licenses, as granted in this 
  51. Agreement, shall automatically terminate, without notice. You hereby 
  52. agree to indemnify, defend and hold harmless Aegis Tech and Aegis 
  53. Tech's officers, employees, directors, agents, licensees (excluding 
  54. you), sublicensees (excluding you), successors and assigns from and 
  55. against all losses, lawsuits, damages, causes of action and claims 
  56. relating to and/or arising from the Maps and/or the distribution or 
  57. other use of the Maps. 
  58.  
  59.  
  60. 3.  Prohibitions with Regard to Software. You, either directly or in- 
  61. directly, shall not do any of the following acts:
  62.  
  63.      a.  rent the Software;
  64.  
  65.      b.  sell the Software;
  66.  
  67.      c.  lease or lend the Software;
  68.  
  69.      d.  offer the Software on a pay-per-play basis;
  70.  
  71.      e.  distribute the Software by any means, including, but not 
  72. limited to, Internet or other electronic distribution, direct mail, 
  73. retail, mail order or other means;
  74.  
  75.      f.  in any other manner and through any medium whatsoever 
  76. commercially exploit the Software or use the Software for any 
  77. commercial purpose;
  78.  
  79.      g.  reverse engineer, disassemble, decompile, modify or alter the 
  80. Software;
  81.  
  82.      h.  translate the Software;
  83.  
  84.      i.  reproduce or copy the Software (except as permitted by section 
  85. 4. herein below);
  86.  
  87.      j.  publicly display the Software; or
  88.  
  89.      k.  prepare or develop derivative works based upon the Software.
  90.  
  91. 4.  Permitted Copying.  You may make only the following copies of the 
  92. Software:  (i) you may copy the Software from the CD ROM which you 
  93. purchase onto your computer hard drive; (ii) you may copy the Software 
  94. from your computer hard drive into your computer RAM; and (iii) you may 
  95. make one (1) "back up" or archival copy of the Software on one (1) hard 
  96. disk.
  97.  
  98. 5.  Intellectual Property Rights.  The Software, including all printed 
  99. material accompanying the Software (the "Printed Materials") and all 
  100. copyrights, trademarks and all other conceivable intellectual property 
  101. rights related to the Software, the Printed Materials and the Aegis 
  102. Tech Images are owned by Aegis Tech and are protected by United States 
  103. copyright laws, international treaty provisions and all applicable law, 
  104. such as the Lanham Act.  You must treat the Software, the Printed 
  105. Materials and the Aegis Tech Images like any other copyrighted 
  106. material, as required by 17 U.S.C., paragraph 101 et seq. and other 
  107. applicable law.  You agree to use your best efforts to see that any 
  108. user of the Software licensed hereunder, the Printed Materials or the 
  109. Maps complies with this Agreement.  You agree that you are receiving a 
  110. copy of the Software and the Printed Material by license only and not 
  111. by sale and that the "first sale" doctrine of 17 U.S.C. paragraph 109 
  112. does not apply to your receipt or use of the Software, or Printed 
  113. Materials.  This section 5. shall survive the cancellation or 
  114. termination of this Agreement.
  115.  
  116. 6.  No Aegis Tech Warranties.  AEGIS SIMULATION TECHNOLOGIES DISCLAIMS
  117. ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED 
  118. TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  119. PURPOSE, WITH RESPECT TO THE SOFTWARE AND PRINTED MATERIALS.  AEGIS 
  120. TECH DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE 
  121. UNINTERRUPTED OR ERROR FREE OR THAT THE SOFTWARE WILL MEET YOUR 
  122. SPECIFIC REQUIREMENTS.  ADDITIONAL STATEMENTS SUCH AS PRESENTATIONS, 
  123. WHETHER ORAL OR WRITTEN, DO NOT CONSTITUTE WARRANTIES BY Aegis Tech AND 
  124. SHOULD NOT BE RELIED UPON.  This section 6.  shall survive the 
  125. cancellation or termination of this Agreement. 
  126.  
  127. 7.  Venue and Liability Limitation.  This Agreement shall be construed 
  128. in accordance with and governed by the laws of the State of New Mexico 
  129. and applicable United States federal law.  Copyright and other 
  130. proprietary matters will be governed by United States laws and 
  131. international treaties.  Except as set forth below, exclusive venue for 
  132. all litigation with regard to this Agreement shall be in Bernalillo 
  133. County, New Mexico and you agree to submit to the jurisdiction of the 
  134. courts in Albuquerque, New Mexico for any such litigation.
  135. IN ANY CASE, NEITHER AEGIS TECH NOR ANY OF AEGIS TECH'S OFFICERS, 
  136. EMPLOYEES, DIRECTORS, AGENTS, LICENSEES (EXCLUDING YOU), SUBLICENSEES 
  137. (EXCLUDING YOU), SUCCESSORS OR ASSIGNS SHALL BE LIABLE FOR LOSS OF 
  138. DATA, LOSS OF  PROFITS, LOST SAVINGS, SPECIAL, INCIDENTAL, 
  139. CONSEQUENTIAL, INDIRECT, PUNITIVE OR OTHER SIMILAR DAMAGES ARISING FROM 
  140. BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT PRODUCT  
  141. LIABILITY, OR OTHER LEGAL THEORY EVEN IF AEGIS TECH, OR THEIR 
  142. RESPECTIVE AGENT(S) HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH 
  143. DAMAGES OR EVEN IF SUCH DAMAGES ARE FORESEEABLE, OR LIABLE FOR ANY 
  144. CLAIM BY ANY OTHER PARTY.  Some jurisdictions do not allow the 
  145. exclusion or limitation of incidental or consequential damages, so the 
  146. above limitation or exclusion may not apply to you.  This section 7. 
  147. shall survive the cancellation or termination of this Agreement.

  149. 8.  U.S. Government Restricted Rights.  To the extent applicable, the 
  150. United States Government shall only have those rights to use the 
  151. Software and Printed Materials as expressly stated and expressly 
  152. limited and restricted in this Agreement, as provided in 48. C.F.R. 
  153. paragraph 227.7202-1 through 227.7204.
  154.  
  155. 9.  General Provisions.  Neither this Agreement nor any part or portion 
  156. hereof shall be assigned or sublicensed by you.  Aegis Tech may assign 
  157. its rights under this Agreement in the assigning party's sole 
  158. discretion.  Should any provision of this Agreement be held to be void, 
  159. invalid, unenforceable or illegal by a court, the validity and 
  160. enforceability of the other provisions shall not be affected thereby.  
  161. If any provision is determined to be unenforceable, you agree to a 
  162. modification of such provision to provide for enforcement of the 
  163. provision's intent, to the extent permitted by applicable law.  Failure 
  164. of Aegis Tech to enforce any provision of this Agreement shall not 
  165. constitute or be construed as a waiver of such provision or of the 
  166. right to enforce such provision.  If you fail to comply with or breach 
  167. any term or condition of this Agreement, YOUR LICENSES AND THIS 
  168. AGREEMENT ARE AUTOMATICALLY TERMINATED, WITHOUT NOTICE.  In the event 
  169. this Agreement is terminated, you shall have no right to use the 
  170. Software, the Printed Materials or the Maps, in any manner, and you 
  171. shall immediately destroy all copies of the Software, the Printed 
  172. Materials and the Maps in your possession, custody or control.
  173. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND 
  174. THIS AGREEMENT, AND UNDERSTAND THAT BY CONTINUING THE INSTALLATION OF 
  175. THE SOFTWARE, BY LOADING OR RUNNING THE SOFTWARE, OR BY PLACING OR 
  176. COPYING THE SOFTWARE ONTO YOUR COMPUTER HARD DRIVE OR RAM, YOU AGREE TO 
  177. BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.  YOU FURTHER 
  178. AGREE THAT, EXCEPT FOR WRITTEN SEPARATE AGREEMENTS BETWEEN AEGIS TECH 
  179. AND YOU, IF ANY, THIS AGREEMENT IS A COMPLETE AND EXCLUSIVE STATEMENT
  180. OF THE RIGHTS AND LIABILITIES OF THE PARTIES HERETO.  THIS AGREEMENT 
  181. SUPERSEDES ALL PRIOR ORAL AGREEMENTS, PROPOSALS OR UNDERSTANDINGS, AND 
  182. ANY OTHER COMMUNICATIONS BETWEEN AEGIS SIMULATION TECHNOLOGIES AND YOU 
  183. RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
