  3. BY CLICKING ON THE "ACCEPT" BUTTON, OPENING THE 
  4. PACKAGE OR DOWNLOADING THE PRODUCT, YOU ARE 
  5. CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU 
  6. DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, 
  7. CLICK THE "DO NOT ACCEPT" BUTTON AND THE 
  8. INSTALLATION PROCESS WILL NOT CONTINUE, RETURN 
  9. THE PRODUCT TO THE PLACE OF PURCHASE FOR A FULL

  13. SOFTSOURCE END USER LICENSE AGREEMENT
  14. REDISTRIBUTION NOT PERMITTED
  15.  
  16. This License Agreement has 3 parts. Part I applies if you have
  17. not purchased a license to the software. Part II applies if you
  18. have purchased a license to the software. Part III applies to
  19. all license grants. If you initially acquired a copy of the software
  20. without purchasing a license and you wish to purchase a license,
  21. contact SoftSource ("SoftSource") on the Internet at 
  22. http://www.softsource.com/softsource.

  25. PART I -- TERMS APPLICABLE WHEN LICENSE FEES
  26.                 NOT (YET) PAID
  27.  
  28. GRANT. SoftSource hereby grants you a non-exclusive license 
  29. to use its SVF plug-in software ("Software") free of charge
  30. if (a) you are a student, faculty member or staff member of an
  31. educational institution (K12, junior college, college or library)
  32. or an employee of a charitable non-profit organization; or (b)
  33. your use of the Software is for the purpose of evaluating whether
  34. to purchase an ongoing license to the Software. The evaluation
  35. period for use by or on behalf of a commercial entity is limited
  36. to 30 days; evaluation use by others is not subject to this restriction.
  37. Government agencies (other than public libraries) are not considered
  38. educational or charitable non-profit organizations for purposes
  39. of this license agreement. If you are using the Software free
  40. of charge, you are not entitled to hard-copy documentation, support
  41. or telephone assistance. If you fit within the description above,
  42. you may use the Software in the manner described in Part III below
  43. under "Scope of Grant."
  44.  
  45. DISCLAIMER OF WARRANTY. Free of charge Software is provided 
  46. on an "AS IS" basis, without warranty of any kind, including
  47. without limitation the warranties of merchantability, fitness
  48. for a particular purpose and non-infringement. The entire risk
  49. as to the quality and performance of the Software is borne by
  50. you. Should the Software prove defective, you and not SoftSource
  51. assume the entire cost of any service and repair. In addition,
  52. the security mechanisms implemented by SoftSource software have
  53. inherent limitations, and you must determine that the Software
  54. sufficiently meets your requirements. This disclaimer of warranty
  55. constitutes an essential part of the agreement. SOME STATES DO
  56. NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO 
  57. THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY 
  58. HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO 
  59. STATE OR BY JURISDICTION.

  62. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  63.  
  64. GRANT. Subject to payment of, $50 dollars per station US, 
  65. applicable license fees, SoftSource hereby grants to you a 
  66. non-exclusive license to use the Software and accompanying 
  67. documentation ("Documentation") in the manner described in 
  68. Part III below under "Scope of Grant", subject to the terms 
  69. herein.

  71. LIMITED WARRANTY. SoftSource warrants that for a period of 
  72. ninety (90) days from the date of acquisition, the Software, 
  73. if operated as directed, will substantially achieve the 
  74. functionality described in the Documentation. SoftSource does 
  75. not warrant, however, that your use of the Software will be 
  76. uninterrupted or that the operation of the Software will be 
  77. error-free or secure. In addition, the security mechanisms 
  78. implemented by SoftSource software have inherent limitations, 
  79. and you must determine that the Software sufficiently meets 
  80. your requirements. SoftSource also warrants that the media
  81. containing the Software, if provided by SoftSource, is free 
  82. from defects in material and workmanship and will so remain 
  83. for ninety (90) days from the date you acquired the Software. 
  84. SoftSource's sole liability for any breach of this warranty 
  85. shall be, in SoftSource's sole discretion: (i) to replace 
  86. your defective media; or (ii) to advise you how to achieve 
  87. substantially the same functionality with the Software as 
  88. described in the Documentation through a procedure different 
  89. from that set forth in the Documentation; or (iii) if the 
  90. above remedies are impracticable, to refund the license fee 
  91. you paid for the Software. Repaired, corrected, or replaced 
  92. Software and Documentation shall be covered by this limited
  93. warranty for the period remaining under the warranty that 
  94. covered the original Software, or if longer, for thirty (30) 
  95. days after the date (a) of shipment to you of the repaired or 
  96. replaced Software, or (b) SoftSource advised you how to 
  97. operate the Software so as to achieve the functionality 
  98. described in the Documentation. Only if you inform SoftSource 
  99. of your problem with the Software during the applicable 
  100. warranty period and provide evidence of the date you purchased 
  101. a license to the Software will SoftSource be obligated to 
  102. honor this warranty. SoftSource will use reasonable commercial
  103. efforts to repair, replace, advise or refund pursuant to the 
  104. foregoing warranty within 30 days of being so notified.
  105.  
  106. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY 
  107. WARRANTY MADE BY SOFTSOURCE. SOFTSOURCE MAKES 
  108. NO OTHER EXPRESS WARRANTY AND NO WARRANTY OF 
  109. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE 
  110. DURATION OF IMPLIED WARRANTIES, INCLUDING WITHOUT 
  111. LIMITATION, WARRANTIES OF MERCHANTABILITY AND OF 
  112. FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO 
  113. THE ABOVE LIMITED WARRANTY PERIOD; SOME STATES DO 
  114. NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED 
  115. WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO 
  116. YOU. NO SOFTSOURCE DEALER, AGENT, OR EMPLOYEE IS 
  117. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, 
  118. OR ADDITIONS TO THIS WARRANTY.  If any modifications 
  119. are made to the Software by you during the warranty period; 
  120. if the media is subjected to accident, abuse, or improper use; 
  121. or if you violate the terms of this Agreement, then this 
  122. warranty shall immediately be terminated. This warranty shall 
  123. not apply if the Software is used on or in conjunction with 
  124. hardware or software other than the unmodified version of 
  125. hardware and software with which the Software was designed 
  126. to be used as described in the Documentation.

  128. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, 
  129. AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY 
  130. FROM STATE TO STATE OR BY JURISDICTION.

  132.  
  133. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  134.  
  135. SCOPE OF GRANT.
  136.  
  137. You may:
  138.  
  139. -- use the Software on any single computer;
  140. -- use the Software on a network, provided that each person accessing
  141.    the Software through the network must have a licensed copy;
  142. -- use the Software on a second computer so long as the first and
  143.    second computers are not used simultaneously; or
  144. -- copy the Software for archival purposes, provided any copy must
  145.    contain all of the original Software's proprietary notices.
  146.  
  147. You may not:
  148.  
  149. -- permit other individuals to use the Software except under the
  150.    terms listed above;
  151. -- modify, translate, reverse engineer, decompile, disassemble
  152.    (except to the extent applicable laws specifically prohibit such
  153.    restriction), or create derivative works based on the Software;
  154. -- copy the Software (except as specified above);
  155. -- rent, lease or otherwise transfer rights to the Software; or
  156. -- remove any proprietary notices or labels on the Software.
  157.  
  158. TITLE. Title, ownership rights, and intellectual property rights
  159. in the Software shall remain in SoftSource and/or its suppliers.
  160. The Software is protected by the copyright laws and treaties.
  161. Title and related rights in the content accessed through the Software
  162. is the property of the applicable content owner and may be protected
  163. by applicable law. This license gives you no rights to such content.
  164.  
  165. TERMINATION. The license will terminate automatically if you fail
  166. to comply with the limitations described herein. On termination,
  167. you must destroy all copies of the Software and Documentation.
  168.  
  169. EXPORT CONTROLS. None of the Software or underlying information
  170. or technology may be downloaded or otherwise exported or reexported
  171. (i) into (or to a national or resident of) Cuba, Iraq, Libya,
  172. Yugoslavia, North Korea, Iran, Syria or any other country to which
  173. the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury
  174. Department's list of Specially Designated Nationals or the U.S.
  175. Commerce Department's Table of Deny Orders. By downloading or
  176. using the Software, you are agreeing to the foregoing and you
  177. are representing and warranting that you are not located in, under
  178. the control of, or a national or resident of any such country
  179. or on any such list.
  180.  
  181. In addition, if the licensed Software is identified as a not-for-export
  182. product (for example, on the box, media or in the installation
  183. process), then the following applies: EXCEPT FOR EXPORT 
  184. TO CANADA FOR USE IN CANADA BY CANADIAN 
  185. CITIZENS, THE SOFTWARE AND ANY UNDERLYING 
  186. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE 
  187. UNITED STATES OR TO ANY FOREIGN ENTITY OR 
  188. "FOREIGN PERSON" AS DEFINED BY U.S. GOVERNMENT 
  189. REGULATIONS, INCLUDING WITHOUT LIMITATION, 
  190. ANYONE WHO IS NOT A CITIZEN, NATIONAL OR 
  191. LAWFUL PERMANENT RESIDENT OF THE UNITED STATES. 
  192. BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE 
  193. AGREEING TO THE FOREGOING AND YOU ARE 
  194. WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" 
  195. OR UNDER THE CONTROL OF A FOREIGN PERSON.
  196.  
  197. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES 
  198. AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR 
  199. OTHERWISE, SHALL SOFTSOURCE OR ITS SUPPLIERS OR 
  200. RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON 
  201. FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 
  202. CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, 
  203. WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, 
  204. WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, 
  205. OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. 
  206. IN NO EVENT WILL SOFTSOURCE BE LIABLE FOR ANY 
  207. DAMAGES IN EXCESS OF SOFTSOURCE'S LIST PRICE FOR 
  208. A LICENSE TO THE SOFTWARE, EVEN IF SOFTSOURCE 
  209. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF 
  210. SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. 
  211. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO 
  212. LIABILITY FOR DEATH OR PERSONAL INJURY TO THE 
  213. EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. 
  214. FURTHERMORE, SOME STATES DO NOT ALLOW THE 
  215. EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  216. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND 
  217. EXCLUSION MAY NOT APPLY TO YOU.
  218.  
  219. MISCELLANEOUS. This Agreement represents the complete 
  220. agreement concerning this license and may amended only 
  221. by a writing executed by both parties. THE ACCEPTANCE 
  222. OF ANY PURCHASE ORDER PLACED BY YOU IS 
  223. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT 
  224. TO THE TERMS SET FORTH HEREIN, AND NOT 
  225. THOSE IN YOUR PURCHASE ORDER. If any provision 
  226. of this Agreement is held to be unenforceable, such
  227. provision shall be reformed only to the extent 
  228. necessary to make it enforceable. This Agreement 
  229. shall be governed by Washington law (except for 
  230. conflict of law provisions). The application the
  231. United Nations Convention of Contracts for the 
  232. International Sale of Goods is expressly excluded.
  233.  
  234. U.S. GOVERNMENT RESTRICTED RIGHTS. Use, duplication 
  235. or disclosure by the Government is subject to restrictions set 
  236. forth in subparagraphs (a) through (d) of the Commercial 
  237. Computer-Restricted Rights clause at FAR 52.227-19 when 
  238. applicable, or in subparagraph (c)(1)(ii) of the Rights in 
  239. Technical Data and Computer Software clause at
  240. DFARS 252.227-7013, and in similar clauses in the NASA FAR 
  241. Supplement.  Contractor/manufacturer is SoftSource,
