  1. LICENSE AGREEMENT

  9. IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

  11. END USER LICENSE AGREEMENT
  12. MetaProducts Corporation ("MPC") agrees to provide the user ("USER") with a copy 
  13. of this software product ("SOFTWARE"), and grants the USER a limited license to use 
  14. the SOFTWARE. ("LICENSE")  This LICENSE defines what the USER may do with the 
  15. SOFTWARE, and contains limitations on warranties, liabilities and remedies.  This 
  16. LICENSE may be revoked by MPC at any time without notice if the USER fails to 
  17. comply with the terms of this LICENSE.  The copyright and all other rights in the 
  18. SOFTWARE shall remain with MPC.

  20. LICENSE OF UNREGISTERED SOFTWARE
  21. An unregistered copy of the SOFTWARE ("UNREGISTERED SOFTWARE") may be used 
  22. by the USER for evaluation purposes for a period of thirty (30) days following the 
  23. initial installation of the UNREGISTERED SOFTWARE. ("TRIAL PERIOD")  At the end 
  24. of the TRIAL PERIOD, the USER must either register the SOFTWARE or remove it 
  25. from his system.  The UNREGISTERED SOFTWARE may be freely copied and 
  26. distributed to others users for their evaluation.

  28. LICENSE OF REGISTERED SOFTWARE
  29. A registered copy of the SOFTWARE ("REGISTERED SOFTWARE") allows the USER to 
  30. use the SOFTWARE only on a single computer or network, and only by a single user 
  31. at a time.  If the USER wishes to use the SOFTWARE for more than one user, the 
  32. USER will need a separate license for each individual user.  The USER is allowed to 
  33. make one copy of the REGISTERED SOFTWARE for back-up purposes.

  35. TERM OF LICENSE
  36. This LICENSE shall continue for as long as the USER uses the SOFTWARE.  However, 
  37. this LICENSE will terminate if the USER fails to comply with any of its terms or 
  38. conditions. The USER agrees, upon termination, to destroy all copies of the SOFTWARE.  
  39. The limitations of warranties and liability set forth in this LICENSE shall continue in 
  40. force even after termination.

  42. ACCEPTANCE OF THIS LICENSE AGREEMENT
  43. By downloading and/or installing this SOFTWARE, the USER agrees to the terms of 
  44. this LICENSE.

  46. DISCLAIMER OF WARRANTY AND LIABILITY
  47. This SOFTWARE is provided "as is" without representations or warranties of any kind, 
  48. whether expressed or implied.  The USER must assume the entire risk of using the 
  49. SOFTWARE, and MPC shall have no liability to the USER or any other third-party for 
  50. any damages whatsoever, including, but not limited to, any economic or data loss, 
  51. even if such loss was foreseeable by MPC.

  53. MPC DISCLAIMS ALL OHTER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED 
  54. TO ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT 
  55. TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS.  ANY LIABILITY OF MPC WILL BE 
  56. LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE.

  58. OTHER RESTRICTIONS
  59. The USER may not rent, lease, sublicense, translate, disassemble, reverse engineer, 
  60. or de-compile the SOFTWARE, or modify or merge the SOFTWARE with any part of the 
  61. software in another program.   This LICENSE may not be assigned or otherwise 
  62. transferred without the prior written consent of MPC.
  63.  
  64. INVALID PROVISIONS
  65. If any provision of this LICENSE shall be declared invalid or unenforceable, the 
  66. remaining provisions of this LICENSE shall remain in full force and effect to the 
  67. fullest extent permitted by law.  In such event, each provision of this LICENSE 
  68. which is invalid or unenforceable shall be replaced with a provision as similar in 
  69. terms to such invalid or unenforceable provision as may be possible which is 
  70. legal and enforceable.

  72. ENTIRE AGREEMENT
  73. This LICENSE is the entire agreement between MPC and the USER, and supersedes 
  74. any other agreement, oral or written, and may not be changed except by a written 
  75. signed agreement.

  77. GOVERNING LAW
  78. This agreement shall be governed by the laws of the State of Ohio.
