  1. LICENSE AGREEMENT FOR THE REALPLAYER 
  2.  
  3. IMPORTANT -- READ CAREFULLY: By clicking on 
  4. the Next button or by opening the sealed packet(s) to 
  5. make and utilize copies of the RealPlayer and
  6. accompanying software ("Software") Licensee agrees 
  7. to be and is hereby bound by the terms of this License
  8. Agreement ("Agreement").  If Licensee does not agree 
  9. to the terms of this Agreement, Licensee must promptly 
  10. destroy all copies of the Software and accompanying 
  11. documentation ("Documentation") and obtain a full 
  12. refund of any fees paid from Progressive Networks Inc.

  15. I. GRANT OF LICENSE: 
  16.  
  17. Progressive Networks Inc. ("PN") hereby grants to 
  18. Licensee a non-exclusive license to use the Software 
  19. and Documentation subject to the following terms: 
  20.  
  21. Licensee may: (i) use the Software on any single 
  22. computer; (ii) use the Software on a second computer 
  23. so long as the first and second computers are not used 
  24. simultaneously; (iii) copy the Software for back-up, 
  25. archival purposes provided any copy must contain all of 
  26. the original Software's proprietary notices. 
  27.  
  28. Licensee may not: (i) permit other individuals to use the 
  29. Software except under the terms listed above; (ii) 
  30. modify, translate, reverse, engineer, decompile, 
  31. disassemble (except to the extent that this restriction is 
  32. expressly prohibited by law) or create derivative works 
  33. based upon the Software or Documentation; (iii) copy 
  34. the Software or Documentation (except for back-up 
  35. purposes); (iv) rent, lease, transfer, or otherwise transfer 
  36. rights to the Software or Documentation; or (v) remove 
  37. any proprietary notices or labels on the Software or 
  38. Documentation.

  41. II.  SOFTWARE: 
  42.  
  43. If Licensee receives the first copy of the Software 
  44. electronically and a second copy on media the second 
  45. copy may be used for archival purposes only and may 
  46. not be transferred to or used by any other person.  This 
  47. license does not grant Licensee any right to any 
  48. enhancement or update.

  51. III. TITLE: 
  52.  
  53. Title, ownership, rights, and intellectual property rights 
  54. in and to the Software and Documentation shall remain 
  55. in PN and/or its suppliers. The Software is protected by 
  56. the copyright laws of the United States and international 
  57. copyright treaties.  Title, ownership rights and 
  58. intellectual property rights in and to the content 
  59. accessed through the Software including the content 
  60. contained in the Software media demonstration files is 
  61. the property of the applicable content owner and may 
  62. be protected by applicable copyright or other law. This 
  63. license gives Licensee no rights to such content.

  66. IV. DISCLAIMER OF WARRANTY: 
  67.  
  68. Product is deemed accepted by Recipient. The 
  69. PRODUCT is provided AS IS WITHOUT
  70.  WARRANTY OF ANY KIND.  TO THE MAXIMUM 
  71. EXTENT PERMITTED BY APPLICABLE LAW, 
  72. PROGRESSIVE NETWORKS FURTHER 
  73. DISCLAIMS ALL WARRANTIES, INCLUDING 
  74. WITHOUT LIMITATION ANY IMPLIED 
  75. WARRANTIES OF MERCHANTABILITY, FITNESS 
  76. FOR A PARTICULAR PURPOSE, AND 
  77. NONINFRINGEMENT. THE ENTIRE RISK
  78. ARISING OUT OF THE USE OR PERFORMANCE 
  79. OF THE PRODUCT AND DOCUMENTATION 
  80. REMAINS WITH RECIPIENT. TO THE MAXIMUM 
  81. EXTENT PERMITTED BY APPLICABLE LAW, IN 
  82. NO EVENT SHALL PROGRESSIVE NETWORKS 
  83. OR ITS SUPPLIERS BE LIABLE FOR ANY
  84. CONSEQUENTIAL, INCIDENTAL, DIRECT, 
  85. INDIRECT, SPECIAL, PUNITIVE, OR OTHER
  86. DAMAGES WHATSOEVER (INCLUDING, 
  87. WITHOUT LIMITATION, DAMAGES FOR
  88. LOSS OF BUSINESS PROFITS, BUSINESS 
  89. INTERRUPTION, LOSS OF BUSINESS 
  90. INFORMATION, OR OTHER PECUNIARY LOSS) 
  91. ARISING OUT OF THIS AGREEMENT OR THE 
  92. USE OF OR INABILITY TO USE THE PRODUCT,
  93. EVEN IF PROGRESSIVE NETWORKS HAS BEEN 
  94. ADVISED OF THE POSSIBILITY OF SUCH 
  95. DAMAGES. BECAUSE SOME 
  96. STATES/JURISDICTIONS
  97. DO NOT ALLOW THE EXCLUSION OR 
  98. LIMITATION OF LIABILITY FOR
  99. CONSEQUENTIAL OR INCIDENTAL DAMAGES, 
  100. THE ABOVE LIMITATION MAY NOT APPLY TO 
  101. RECIPIENT.

  104. V. TERMINATION: 
  105.  
  106. This license shall terminate automatically if Licensee 
  107. fails to comply with the limitations described in this 
  108. license.  No notice shall be required from PN to 
  109. effectuate such termination.  On termination Licensee 
  110. must destroy all copies of the Software and 
  111. Documentation.

  114. VI. U.S. GOVERNMENT RESTRICTED RIGHTS 
  115. AND EXPORT RESTRICTIONS: 
  116.  
  117. The Software is provided with RESTRICTED 
  118. RIGHTS. Use duplication or disclosure by the 
  119. Government is subject to restrictions as set forth in 
  120. subparagraph (c)(1)(ii) of The Rights in Technical Data 
  121. and Computer Software clause of DFARS 252.227-
  122. 7013 or subparagraphs (c)(i) and (2) of the Commercial 
  123. Computer Software-Restricted Rights at 48 CFR 
  124. 52.227-19 as applicable. Manufacturer is Progressive 
  125. Networks 1111 Third Avenue Suite 2900 Seattle 
  126. Washington 98101. Licensee acknowledges that none 
  127. of the Software or underlying information or technology 
  128. may be download or otherwise exported or re-exported 
  129. (i) into (or to a national or resident of) Cuba Iraq Libya 
  130. Yugoslavia North Korea Iran Syria or any other country 
  131. to which the U.S. has embargoed goods; or anyone on 
  132. the U.S. Treasury Department's list of Specially 
  133. Designated Nationals or the U.S. Commerce 
  134. Department's Table of Denial Orders.  By using the 
  135. Software Licensee is agreeing to the foregoing and is 
  136. representing and warranting that it is not located in 
  137. under the control of a national or resident or resident of 
  138. any such country or on any such list.

  141. VII. GOVERNING LAW: 
  142.  
  143. This License Agreement shall be governed by the laws
  144. of the State of Washington without regard to conflicts 
  145. of law provisions and Recipient consents to the 
  146. exclusive jurisdiction of the state and federal courts 
  147. sitting in the State of Washington. This License 
  148. Agreement will not be governed by the United Nations 
  149. Convention of Contracts for the International Sale of 
  150. Goods, the application of which is hereby expressly 
  151. excluded.  If either PN or Licensee employees attorneys 
  152. to enforce any rights arising out of this Agreement, the 
  153. prevailing party shall be entitled to recover reasonable
  154. attorneys' fees.

  157. VIII. ENTIRE AGREEMENT: 
  158.  
  159. This agreement constitutes the complete and exclusive 
  160. agreement between PN and Licensee with respect to 
  161. the subject matter hereof and supersedes all prior oral or 
  162. written understandings, communications or agreements 
  163. not specifically incorporated herein.  This agreement 
  164. may not be modified except in a writing duly signed by 
  165. an authorized representative of PN and Licensee.
