  5.     DO NOT REMOVE THIS LICENSE DOCUMENT FROM YOUR DCF/2 
  6.     PROGRAM AREA.

  8.     The DCF/2 Lite Version 1.4 is licensed software and subject
  9.     to the following License Agreement:

  17.     This product package contains licensed software.  Installing
  18.     this software package indicates your acceptance of the terms
  19.     and conditions outlined below.

  21.     License 
  22.  
  23.     Proportional Software Corporation (PSC) grants to the
  24.     customer a non-transferable license to use the DCF/2 computer
  25.     programs.  The original and any copies of the Licensed 
  26.     Programs, in whole or in part, which are made by the 
  27.     customer shall be the property of PSC governed by this 
  28.     license.  
  29.  
  30.     The customer must reproduce and include the copyright 
  31.     notice of PSC on any copy made, in whole or in part, of 
  32.     the Licensed Programs or documentation.  
  33.  
  34.     Term 
  35.  
  36.     This license is effective for 30 days from the date of
  37.     installation for evaluation purposes.  After that time,
  38.     this license is terminated.
  39.  
  40.     This license may be discontinued by the customer at any
  41.     time.  PSC may terminate the license if the customer fails
  42.     to comply with any of the terms and conditions of this
  43.     license.  Customer agrees upon termination to destroy 
  44.     the licensed programs together with all copies, or parts 
  45.     thereof, in any form.  
  46.  
  47.     Limitations 
  48.  
  49.     The customer shall not create, by de-compilation or 
  50.     otherwise, the source code or any part thereof from the 
  51.     machine readable object code or from other information 
  52.     made available under this license.  
  53.  
  54.     Violation of these provisions shall be the basis for 
  55.     immediate termination of this license.  Termination of 
  56.     the license shall be in addition to and not in lieu of 
  57.     any other legal or equitable remedies available to PSC.  
  58.  
  59.     Warranty and Disclaimer 
  60.  
  61.     PSC warrants to the customer that the licensed programs 
  62.     will be free of defects which are not commercially 
  63.     acceptable in material and workmanship for a period of 
  64.     90 days from date of purchase provided that the licensed 
  65.     programs have been properly installed and maintained, 
  66.     and operated under normal conditions.  
  67.  
  68.     This warranty is void and of no effect, and PSC shall 
  69.     not be liable for any breach of warranty, express or 
  70.     implied, if the licensed programs or any part or 
  71.     component thereof shall have been repaired or altered by 
  72.     persons other than PSC unless expressly authorized in 
  73.     writing by PSC, or if the licensed programs are 
  74.     installed or operated contrary to PSC's instructions or 
  75.     subjected to misuse, negligence or accident.  
  76.  
  77.     No other warranties extend beyond this warranty and no 
  78.     statement oral or written, inconsistent with this 
  79.     warranty, is binding on PSC.  No distributor, agent, 
  80.     employee or representative of PSC has any authority to 
  81.     bind PSC to any confirmation, representation or warranty 
  82.     concerning the licensed programs beyond that 
  83.     specifically included herein.  Extension of or amendment 
  84.     to this warranty can be made only in writing by a duly 
  85.     authorized officer of PSC.  
  86.  
  87.     This warranty is made in lieu of all other warranties, 
  88.     express or implied, including any warranty of 
  89.     merchantability or fitness for a particular purpose.  
  90.  
  91.     PSC's policy is one of continuous improvement of its 
  92.     products, and therefore PSC reserves the right to make 
  93.     changes in design or materials as PSC may deem proper, 
  94.     without incurring any obligation to incorporate such 
  95.     changes in licensed programs of future manufacture.  
  96.  
  97.     The customer's remedies for breach of any warranty shall 
  98.     be limited as provided in the next section.  
  99.  
  100.     Remedy for Breach of Warranty and Limitation 
  101.  
  102.     PSC agrees to repair or replace at PSC's option any part 
  103.     of the licensed programs which during the period of the 
  104.     90 days specified above may prove upon PSC's inspections 
  105.     to be defective in material or workmanship and not 
  106.     commercially acceptable; provided that such materials 
  107.     claimed to be defective are returned to PSC's plant or 
  108.     another point designated by PSC.  
  109.  
  110.     Under no circumstances shall PSC be liable for the 
  111.     customer's lost profits or other consequential or 
  112.     incidental damages resulting from any cause whatsoever, 
  113.     including but not limited to any breach of warranty, 
  114.     negligence by PSC, or alleged damaged or defective 
  115.     goods, irrespective of whether such defects are 
  116.     discoverable or latent.  PSC'S liability, in all events, 
  117.     including any claim of negligence, shall not exceed and 
  118.     is limited to PSC's retail price for licensed programs 
  119.     found to be defective.  
  120.  
  121.     Any claim for breach of PSC's warranty herein contained 
  122.     must be made in writing addressed to PSC and set forth
  123.     in sufficient detail to permit identification of the
  124.     defect.  Any claim for breach of warranty must be made 
  125.     within 90 days after the customer's purchase.  If not 
  126.     made within that 90 day period, any warranty claim shall 
  127.     be conclusively deemed to have been waived.  
  128.  
  129.     This warranty is not transferable, and is available 
  130.     solely to the original end user.  The remedies herein 
  131.     contained for breach of warranty and/or PSC's negligence 
  132.     shall be exclusive.  
  133.  
  134.     General 
  135.  
  136.     Any action for breach of PSC's warranty must commence 
  137.     within 6 months of the time the cause of action accrues, 
  138.     unless the period for action is extended by PSC in 
  139.     writing.  This provision is made expressly in lieu of, 
  140.     and shall supersede, any otherwise applicable statute of
  141.     limitations.  
  142.  
  143.     The waiver or failure of either party to exercise in any 
  144.     respect any right provided for herein shall not be 
  145.     deemed a waiver of any further right hereunder.  
  146.  
  147.     If any of the provisions, or portions thereof, of this 
  148.     license are invalid under any applicable statute or rule 
  149.     of law, they are to that extent to be deemed omitted.  
  150.
