  1. Sundial Systems Public PreRelease Software Agreement

  4. This PreRelease Software Agreement ("Agreement") is made between Sundial
  5. Systems Corporation ("Sundial") and the recipient ("You") regarding one or
  6. more unreleased versions of one or more software products ("PreRelease
  7. Software") provided to You by Sundial.
  8.  
  9. The scope this Agreement shall include any software and related information
  10. received by You from Sundial, either electronically or on any media, which is
  11. marked "PreRelease," "Alpha," "Beta," "Gamma," or otherwise labeled in a way
  12. which indicates it has been made generally available to the public by Sundial
  13. but is not a commercially released product.  Specifically excluded from the
  14. Agreement is any PreRelease Software which has been made available to you on
  15. a private basis under terms of a different agreement.

  18. Grant of License
  19.  
  20. Sundial grants to You, and You accept, a non-exclusive license to the
  21. PreRelease Software.  The license is granted solely for the purpose of
  22. evaluation and testing by You and for providing feedback about the PreRelease
  23. Software to Sundial.
  24.  
  25. You acknowledge that the PreRelease Software may contain time-outs, functional
  26. restrictions, or other provisions which may restrict or prevent your use of
  27. the PreRelease Software at any arbitrary point in time.

  30. Restriction on Use
  31.  
  32. You agree not to redistribute the PreRelease Software except under the same
  33. terms and conditions as it was distributed to you by Sundial and that a copy
  34. of this Agreement be included with any such redistribution.  Any such
  35. redistribution must not include any Confidential Information which may
  36. have be distributed to you with or in connection with the PreRelease Software.

  38. You agree not to make any modifications to, or adaptations of, the whole or
  39. any part of the PreRelease Software or merge the PreRelease Software into
  40. other programs or other materials.

  42. You agree not to decompile, disassemble, or otherwise reverse engineer the
  43. PreRelease Software.

  45.  
  46. Disclaimer of Warranty
  47.  
  48. You understand that the PreRelease Software is a preliminary version and does
  49. not represent a released product.  You also understand that the PreRelease
  50. Software may contain errors, "bugs," and other problems which may result in
  51. system failure or failure in the use of the PreRelease Software.
  52. Consequently, it is provided to you "AS IS," and Sundial disclaims any
  53. warranty or liability obligations to you of any kind.

  55. YOU UNDERSTAND AND AGREE THAT SUNDIAL MAKES NO EXPRESS, IMPLIED, OR STATUTORY
  56. WARRANTY OF ANY KIND FOR THE PRERELEASE SOFTWARE INCLUDING, BUT NOT LIMITED
  57. TO, ANY WARRANTY WITH REGARD TO PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR
  58. ANY PARTICULAR PURPOSE.  IN NO EVENT WILL SUNDIAL BE LIABLE TO YOU FOR ANY
  59. DIRECT OR INDIRECT DAMAGES EVEN IF SUNDIAL OR ANY SUNDIAL REPRESENTATIVE HAS
  60. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER
  61. PARTY.  YOU BEAR THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE
  62. PRERELEASE SOFTWARE.

  65. Proprietary Rights
  66.  
  67. While Sundial intends to distribute a commercially available product based on
  68. the PreRelease Software, Sundial reserves the right to never release such a
  69. product or alter features, specifications, capabilities, functions, or other
  70. characteristics of the PreRelease Software before commercial release.
  71.  
  72. If Sundial has provided you with any license numbers or access codes 
  73. necessary to use the PreRelease Software, you agree that this information
  74. is "Confidential Information."  You also agree that Confidential Information
  75. includes any information received by You regarding the PreRelease Software
  76. which is marked as such.

  78. All Confidential Information and any materials furnished to you by Sundial
  79. and any information or materials which are designated in writing to be the
  80. property of Sundial or its suppliers or affiliates shall remain the property
  81. of Sundial and/or its suppliers and affiliates.

  83. You agree not to disclose the Confidential Information to anyone nor allow
  84. access to it by anyone.  You further agree that you will be the only one
  85. authorized to use the Confidential Information for evaluation and/or testing
  86. and discussions with authorized representatives of Sundial.

  88. You further agree to immediately notify Sundial if you receive any such
  89. Confidential Information related to the PreRelease Software from a third
  90. party rather than Sundial.

  93. Term and Termination
  94.  
  95. This Agreement is effective immediately upon either your installation or first
  96. use of the PreRelease Software and carries the same force and effect as a
  97. copy signed by You and Sundial.
  98.  
  99. You may terminate the license at any time by notifying Sundial.
  100.  
  101. Sundial may terminate your license at any time, with or without cause, by 
  102. notifying you.
  103.  
  104. You agree, that upon any termination, you will promptly return or destroy the
  105. PreRelease Software and related information if requested by Sundial.  You
  106. further agree that your obligations concerning Confidential Information under
  107. this Agreement, and all disclaimers of warranty by Sundial, shall survive
  108. termination of the Agreement

  111. General Provisions
  112.  
  113. This Agreement is the complete statement of the agreement between the parties
  114. and supersedes all prior written and oral communications and agreements
  115. relating to the subject matter hereof.
  116.  
  117. This Agreement may not be assigned by You.
  118.  
  119. This Agreement shall be binding upon and inured to the benefit of the parties
  120. and their respective administrators, successors and assigns.
  121.  
  122. This Agreement shall be governed in all respects by the laws of the State of
  123. California and You submit to personal jurisdiction in the State of California.
  124.  
  125. In the event of any invalidity of any provision of this Agreement, the parties
  126. agree that such invalidity shall not affect the validity of the remaining
  127. portions of this Agreement, and further agree to substitute for the invalid
  128. provision a valid provision which most closely approximates the intent and
  129. economic effect of the invalid provision.

  131. In the event You are provided with multiple software products or versions by
  132. Sundial as PreRelease Software under this Agreement, the terms of the
  133. Agreement shall apply independently to each such product or version.
