  2. SINGLE USER EVALUATION LICENCE AGREEMENT for 'XY-Query for OS/2'

  5. The copyright in this software ("the Software") is owned by Xyratex, the trading name of Havant International Limited. You may
  6. not load the Software into any computer or copy it without the licence of Xyratex.  Xyratex offers you a non-exclusive non-
  7. transferable evaluation licence on the terms set out below.  You agree to accept the terms of this licence and be bound by it by
  8. installing the Software.  If you do not agree to the terms of this agreement, DO NOT INSTALL THE SOFTWARE and return the
  9. Software to Xyratex.

  11.  Licence

  13. 1 This non-exclusive non-transferable evaluation licence is granted in consideration of your agreement to abide by its terms and conditions. 
  14.   You are permitted to load the Software and use it for the period stated in Clause 4 on a single computer (with a single input terminal)
  15.   which is under your control, only for the purposes of familiarisation, evaluation and testing to see if it is suitable for use in your business;

  18. 2  You are not permitted:

  20.  2.1      to use the Software for any other purpose than that set out in paragraph 1;     
  21.  
  22.  2.2      to use the Software on any computer, system or network which permits electronic access to it by more than one user;
  23.  
  24.  2.3      to rent, lease, sub-licence, transfer, loan, copy (except as expressly provided in this Agreement), modify, adapt, merge, translate,
  25.           reverse engineer (including attempting to derive or deriving the source code from the object code of the  Software), decompile,
  26.           disassemble or create derivative works based on the whole or any part of the Software or its associated documentation (except to
  27.           the extent permitted by law).

  29.  2.4      except as expressly provided in this Agreement, to use, reproduce or deal in the Software or its associated documentation in any way.

  31.  Xyratex reserves all rights not expressly granted by this Agreement.

  33.  If you seek interface information within the meaning of article 6.1 of the EC directive on the legal protection of Computer Programs, you
  34.  should in the first place contact Xyratex Software at the address shown below.

  40.  3.1      You shall be deemed to have accepted the terms of this Agreement by installing the Software. Xyratex waives communication of
  41.           your acceptance.

  43.  3.2      This Agreement contains all that is agreed between Xyratex and you and all other provisions are excluded.

  46.  Term

  48. 4   This licence is valid for 60 (sixty) days commencing on the date of the installation of the Software. Upon expiry or termination you agree to
  49.     destroy all copies of the Software and its documentation including any Software stored on the hard disk of any computer under your control.

  52.  Ownership

  54. 5   Xyratex shall at all times retain ownership of the Software and its documentation as supplied to you and all subsequent copies thereof
  55.     regardless of form as well as of all intellectual property rights therein (including copyright).  This Agreement is for the grant of a licence
  56.     only and does not constitute a  contract of sale of the Software or such documentation.  Xyratex's warranties under this Agreement are
  57.     available only to you, the original licensee.

  60.  Employees

  62. 6   You shall ensure that your employees, agents and other persons who will use the Software are notified of the terms of this Agreement and
  63.     shall ensure that they comply with each of the terms of this licence.

  65. Confidentiality
  66.  
  67. 7   You agree that all information, data, drawings, specifications, documentation, software, listings and source or object code which Xyratex
  68.     has or will disclose to you is the confidential property of Xyratex.  You agree to use it only in accordance with the terms of this licence
  69.     and do not at any time during or after the termination of this Licence (howsoever caused) to disclose it, whether directly or indirectly,  to
  70.     any third party without Xyratex's prior written consent.

  72. Warranties

  75.  8.1     The Software has been supplied to you free of charge for the limited purposes set out in paragraph 1.  It is not intended that the
  76.          Software will be used for any other purpose and in particular it should NOT be used in any way that may result in any liability, loss
  77.          or damage occurring to you, your officers, employees or customers whatsoever.

  79.  8.2     In view of the free supply of the Software for the limited purposes set out in paragraph 1 Xyratex shall have no liability to you, your
  80.          officers, employees or customers whatsoever (including but not limited to liability for negligence) whether in contract, tort or
  81.          otherwise.

  83.  8.3     The express terms of this Agreement are in lieu of all warranties, conditions, undertakings, terms and obligations implied by statute,
  84.          common law, trade usage, course of dealing or otherwise all of which are hereby excluded to the fullest extent permitted by law.
  85.          No Xyratex dealer or distributor is authorised to make any modification or addition to the warranties set out above.

  89. 9   This Agreement shall be governed by English law, and the parties submit to the exclusive jurisdiction of the English court.
