  715.           the major portion of the run time code and configuration information  
  716.           on an LAN file server.  This allows the customers to utilize their

  906.                  The program package upgrade option allows currently licensed   
  907.           users of any IBM or other vendor's 3270 Emulation Program to obtain   
  908.           the new function for a program upgrade charge.  The program upgrade   
  909.           to IBM Personal Communications/3270 Version 4.0 for OS/2  is          
  910.           available from February 24, 1995.  Orders will be accepted after      
  911.           February 24, 1995.  These upgrades will be available through IBM      
  912.           Authorized Personal Computer Dealers and Industry Remarketers --      
  913.           Personal Computers certified to market IBM Authorized Advanced        
  914.           Products.  The remarketer will require a Proof of License for each    
  915.           upgrade ordered.  The original Proof of License is the colored front  
  916.           cover page (inside the hard binder) or the separate Proof of License  
  917.           page in the program package as identified by IBM to the remarketer.   
  918.                  Customers can also order upgrades through the local IBM office 
  919.           using the IBM Personal Computer/System Program IBM U.S. Upgrade and   
  920.           Certification Order Form included with this announcement.             
  921.                  The order can be placed only through the local IBM office      
  922.           using the IBM Personal Computer/System Program IBM U.S. Upgrade and   
  923.           Certification Order Form included with this announcement.  The total  
  924.           quantity of upgrades acquired for a specific program cannot exceed    
  925.           the total quantity of program packages and/or additional licenses     
  926.           previously acquired for that program.  Proof of License for upgrade   
  927.           eligibility for additional license upgrades is a copy of this invoice 
  928.           or previously acquired Proof of Additional License certificate.

  935.           Additional license upgrades can be entered through the local IBM      
  936.           office using the IBM U.S. Upgrade and Certification Order Form        
  937.           included in this announcement or ordered through an authorized        
  938.           remarketer.                                                           
  939.                  The customer certifies that the total quantity of the IBM      
  940.           Personal Computer Program Package Upgrades, Additional License        
  941.           Upgrades, and/or Distributed Feature Upgrades indicated below does    
  942.           not exceed the quantity of qualifying programs currently licensed by  
  943.           the customer.  Further, the customer certifies that the total         
  944.           quantity of this upgrade ordered by the customer by all procedures    
  945.           will not exceed the total quantity of licenses to the program being   
  946.           updated that have been obtained from all sources and are currently    
  947.           licensed by the customer.  Documentation to substantiate the quantity 
  948.           of licenses obtained will be available for inspection by IBM for a    
  949.           period of six months following the date of the upgrade order.         
  950.                  For each copy of the program or distributed feature upgraded,  
  951.           original IBM materials replaced by the upgrade and all copies of      
  952.           these materials will be destroyed within thirty days of the receipt   
  953.           of the upgrade.  The provisions of the IBM Program License Agreement  
  954.           will be applicable to the licensed program upgrade received.          
  955.                  This upgrade is offered only for licenses granted in the       
  956.           United States and Puerto Rico.                                        
  957.           TERMS AND CONDITIONS                                                  
  958.           LICENSING:  The program described in this announcement is licensed    
  959.           under the terms and conditions of the IBM Program License Agreement.  
  960.           A copy of the agreement is included in the program package.           
  961.           ADDITIONAL LICENSE:  The IBM Customer Agreement (ICA) must be in      
  962.           effect, or Proof of Additional License certificate must be acquired.
