  12.    PLEASE, take a few moments to read this file.  Important
  13.    information is contained herein to help you with the installation of
  14.    SizeUp.
  15.

  17. 1. Install SizeUp by executing 'INSTALL.EXE' from your installation disk.
  18.  
  19. 2. SizeUp is a data gathering tool developed by One Up Corporation for the
  20.    purpose of analyzing Windows or OS/2 C and C++ source code to determine
  21.    the effort for migrating an application between Windows and OS/2 platforms.
  22.  
  23. 3. SizeUp is a stepwise, fully prompted OS/2 application.  You will be
  24.    prompted, with ample documentation and help, for each step of the SizeUp
  25.    process; from installation, through data collection and de-installation
  26.    of SizeUp.
  27.  
  28. 4. At the conclusion of the SizeUp data collection processes, you will be
  29.    able to copy the summary results of this application to a diskette.  The
  30.    analysis data from SizeUp can be further processed at One Up Corporation
  31.    for a detailed study of the requirements and effort to migrate the source
  32.    code to another platform.

  34. 5. The current platforms that are available for migration using the One Up
  35.    migration services are as follows:

  86.    ONE UP CORPORATION
  87.    SOFTWARE LICENSE AGREEMENT
  88.  
  89.    Notice to User:  This is a legal document between you (the "User") and One Up
  90.    Corporation ("One Up").  It is important that you read this document before
  91.    using the enclosed software and accompanying materials (collectively the
  92.    "Software").  By exercising the rights granted in this Agreement and/or using
  93.    the Software, you agree to be bound by the terms of this Agreement.  If you
  94.    do not agree, return the unused Software to One Up within thirty (30) days
  95.    from the date of receipt and you will receive a full refund of any license
  96.    fee paid by you.

  98.    One Up Corporation provides this product and licenses its use subject to the
  99.    terms and conditions set forth below.

  101.    1. Grant of License.  One Up grants to User a non-exclusive, nontransferable,
  102.    limited license for use of the Software.
  103.  
  104.       Title to the Software is not transferred to User.  Ownership of the Software
  105.       is vested in One Up subject to the rights granted in this Agreement.
  106.  
  107.    2. Intellectual Property Rights. All intellectual property rights in the
  108.    Software and any accompanying materials are owned by One Up and protected by
  109.    United States copyright laws, other applicable copyright laws and international
  110.    treaty provisions.  One Up retains all rights not expressly granted herein.

  112.    3. Restrictions.  User may not alter, modify, adapt, disassemble, decompile
  113.    nor reverse engineer the Software.  User may not loan, rent, lease, license,
  114.    or distribute the Software.  You may transfer the Software and the rights
  115.    granted in this Agreement to another party on a permanent basis provided you
  116.    transfer all of the Software and related materials, the transferee agrees to
  117.    be bound by the terms of this Agreement and you do not retain any copies of
  118.    the Software.

  120.    4. Termination.  Without limiting its available remedies One Up may terminate
  121.    this Agreement if you fail to comply with the terms hereof.  User may
  122.    terminate this Agreement at any time.  In the event of termination you must
  123.    cease to use the Software, destroy all copies in your possession and take
  124.    such other action as may be reasonably necessary to ensure that no copies of
  125.    the Software remain in your possession.

  127.    5. Limited Warranty.  One Up warrants that the medium upon which the Software
  128.    is provided by One Up to User shall be free from defects in materials and
  129.    workmanship under normal use for a period of sixty (60) days from the date of
  130.    receipt.

  132.       EXCEPT AS EXPRESSLY STATED HEREIN, ONE UP MAKES NO WARRANTY, REPRESENTATION,
  133.       PROMISE OR GUARANTY, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ALL
  134.       WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY
  135.       AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SOFTWARE.

  137.       Because laws may vary between jurisdictions you may have different or
  138.    other legal rights regarding this matter.
  139.  
  140.    6. Remedies.  One Up's entire liability and your exclusive remedy shall be at
  141.    One Up's option, either to:  a.) replace of any defective medium upon its
  142.    return to One Up within the warranty period; or b.) refund of the license fee
  143.    paid by User.
  144.  
  145.    7. Limitations.  YOUR SOLE REMEDIES ARE SET FORTH ABOVE AND IN NO EVENT SHALL
  146.    ONE UP BE LIABLE FOR ANY LOST PROFITS OR OTHER DAMAGES INCLUDING INDIRECT,
  147.    DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF
  148.    THE USE OR INABILITY TO USE THE SOFTWARE.

  150.       Because laws may vary between jurisdictions, you may have different or
  151.    other legal rights regarding this matter.

  153.    8. U.S. Government Restricted Rights.  The Software is provided with RESTRICTED
  154.    RIGHTS.  Use, duplication, or disclosure by the Government is
  155.    subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights
  156.    in Technical Data and Computer Software clause at DFARS 252.227-7013 or
  157.    subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted
  158.    Rights at 48 CFR52.227-19, as applicable.  Contractor/manufacturer is One Up
  159.    Corporation, 5 Campus Circle, Suite 100, Westlake, Texas 76262.

  161.    9. General.  This Agreement is governed by the laws of the State of Texas.
  162.    This Agreement supersedes all prior agreements related to the subject matter
  163.    hereof and can only be modified if set forth in writing between the parties.
