  7. DAPTOOLS
  8.  
  9. DAPTOOLS is an on-line database accessible through CompuSERVE, which IBM
  10. is making available to members of the IBM OS/2 Developers Assistance
  11. Program (DAP).  DAPTOOLS is intended to supplement the OS/2 Toolkit to
  12. facilitate the development of application programs for use with IBM OS/2.
  13. DAPTOOLS includes the following categories of materials (DAPTOOLS Materials)
  14. which you may electronically download to your workstation and use as
  15. described in this agreement.  DAPTOOLS Materials are files identified with the
  16. descriptive legend "DAPTOOLS LIBRARY Restricted Software."  These specific
  17. materials are listed in the DAPTOOLS file section of CompuSERVE.
  18.  
  19. î    Development Tools.  These are IBM development-level programs and
  20. associated documentation which may be useful in developing application
  21. programs for IBM OS/2.  IBM has not tested, debugged or documented these
  22. programs to the same extent as programs which IBM makes generally
  23. available.  IBM cannot assure that the Development Tools are complete or
  24. useable enough to be suitable for your intended use.
  25.  
  26. î    Demo Programs.  These are sample versions of non-IBM application
  27. development programs that are commercially marketed by other companies for
  28. use with IBM OS/2.  The vendors of the Demo Programs have agreed to make
  29. the Demo Programs available for your evaluation through DAPTOOLS.  IBM does
  30. not endorse or guarantee these products.  You should contact the vendor
  31. directly for information about the products and their availability and
  32. pricing.
  33.  
  34. î    Sample Source Programs.  These are machine readable sample programs in
  35. source languages illustrating programming techniques for developing OS/2
  36. application programs.  IBM has not tested, debugged or documented these
  37. programs to the same extent as programs which IBM makes generally
  38. available.  IBM cannot assure that the Development Tools are complete or
  39. useable enough to be suitable for your intended use.

  42. Access to DAPTOOLS and use of DAPTOOLS Materials
  43.  
  44. You are authorized to use DAPTOOLS only as described herein.  This
  45. Agreement defines the terms and conditions which you may access the
  46. DAPTOOLS library.  Each program has a specific license which governs the
  47. use of the program, which must be accepted prior to downloading the
  48. program.  You agree to comply with the instructions provided by IBM for
  49. access to DAPTOOLS, and you will ensure that any of your company's
  50. employees who access DAPTOOLS or DAPTOOLS Materials will also comply.

  52. You are responsible for providing the appropriate workstation hardware,
  53. operating system, other software, modem, and telephone line needed to
  54. access DAPTOOLS on CompuSERVE.  You also are responsible for paying any
  55. telephone charges and host connect charges necessary to connect and
  56. communicate with CompuSERVE node.
  57.  
  58. IBM may provide limited technical support if you have questions about the
  59. DAPTOOLS Materials.  You remain responsible for the design of your
  60. application programs and your results in developing and/or marketing them.
  61.  
  62. You will use the Development Tools and Sample Source Programs solely for
  63. the purpose of developing, testing or assessing the feasibility of
  64. developing application program(s) using the protect mode of IBM OS/2.  You
  65. will use the Demo Programs solely for the purpose of evaluation and
  66. demonstration within your company.
  67.  
  68. IBM retains ownership of the DAPTOOLS Materials, including any copies.  You
  69. obtain no rights other that those granted in this Agreement.
  70.  
  71. For use within your company as authorized by this agreement, you may (a)
  72. make a reasonable number of copies of the development tools and Demo
  73. Programs, and (b) merge them with other programs or modify them.  Each copy
  74. must contain the copyright notice in the original.  You may not reverse
  75. assemble or reverse compile their program code.  You may not lend,
  76. transfer, sublicense, pledge or assign the Development Tools or Demo
  77. Programs or any copies.  Any attempt to do so is void.
  78.  
  79. You may copy and distribute the Sample Source Programs in any form without
  80. payment to IBM, for the purposes of developing, using, marketing and
  81. distributing application programs written to the OS/2 application program
  82. interface.  Each copy of any portion of the Sample Source Programs or any
  83. derivative work, which is distributed outside your company, must include a
  84. copyright notice as follows: "(c) Copyright (your company name) (year).
  85. All Rights Reserved.

  88. Term
  89.  
  90. Either you or IBM may terminate this Agreement at any time upon 20 days'
  91. prior written notice.  IBM may immediately terminate this Agreement or deny
  92. access to DAPTOOLS if IBM believes that you are violating the terms of this
  93. Agreement or if you cease being a member of the DAP or a licensee of the
  94. IBM OS/2 Toolkit.
  95.  
  96. Your authorization to access DAPTOOLS, and your license to use any
  97. downloaded copies of the Development Tools and Demo Programs, will end upon
  98. expiration or termination of this Agreement.  Your license to the
  99. downloaded Sample Source Programs will survive unless IBM terminates this
  100. Agreement due to a violation of the terms.  You agree to return or destroy
  101. the DAPTOOLS Materials when your license ends.

  104. Disclaimers
  105.  
  106. DAPTOOLS, THE DAPTOOLS MATERIALS, AND ANY RELATED IBM TECHNICAL SUPPORT ARE
  107. PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES.
  108.  
  109. IN NO EVENT WILL IBM BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED
  110. TO ANY LOST PROFITS, LOST SAVINGS OR ANY INCIDENTAL OR CONSEQUENTIAL
  111. DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY
  112. CLAIM BY YOU BASED ON A THIRD PARTY CLAIM.

  114. IBM does not want to receive and you agree not to disclosed to IBM any
  115. information that is confidential or proprietary to you or others.  IBM is
  116. free to use and disclose any information you provide, notwithstanding any
  117. legends to the contrary.

  120. General
  121.  
  122. This Agreement does not authorize you to use the names or trademarks of IBM
  123. or any other company for any publicity or marketing activities.
  124.  
  125. Neither you nor IBM has any obligation to purchase anything under this
  126. Agreement.  No agency, partnership, joint venture or other joint
  127. relationship is created by this Agreement.  IBM may enter into the same or
  128. similar agreements with others.
  129.  
  130. In the case of any conflict between the terms of this Agreement or any
  131. other amendment to it, the terms of this Agreement shall prevail.  All
  132. other terms of the Agreement or any other Amendment to it shall remain in
  133. effect.  Any change or addition to this Agreement must be in writing signed
  134. by you and IBM.
  135.  
  136. The laws of the State of New York govern this Agreement.
  137.  
  138. You acknowledge that they have read this Agreement and understand it and
  139. agree to be bound by  its terms and conditions.  Further, you agree that
  140. this Agreement is the complete and exclusive statement of the agreement
  141. between you and IBM relating to this subject.  This statement of agreement
  142. supersedes all proposals or prior agreements, oral or written, and all
  143. other communications between the parties relating to this subject.

  145. By downloading DAPTOOLS Materials, indentified as "DAPTOOLS LIBRARY 
  146. Restricted Software," you hereby agree to the above terms and conditions.
