  13. You should carefully read the following terms and conditions before using this software. 
  14. Unless you have a different license agreement signed by W. Johnson & Associates Inc. 
  15. your use of this software product indicates your acceptance of this license agreement 
  16. and warranty.
  17.  
  18. Shareware Version Evaluation and Registration:

  20. This is not free software. Subject to the terms below, you are hereby licensed to use this 
  21. software for evaluation purposes without charge for a period of 30 days. If you use this 
  22. software after the 30 day evaluation period payment of the registration fee is required. 
  23. Payments must be in U.S. dollars drawn on a U.S. bank, and should be sent to W. Johnson & 
  24. Associates Inc., Twelve Horne St., Saint Charles, IL 60174-4146. Quantity and other discounts 
  25. are available. When payment is sent you will receive a registered copy of the latest version 
  26. of J.I.M..

  28. Restrictions:

  30. This License allows the Licensee to exercise the rights granted herein and must be retained 
  31. by Licensee. Licensee may not rent, lease or otherwise transfer any part of the software or 
  32. its accompanying documentation. Licensee may make a limited number of copies of the software 
  33. specified by the number of licensed Users as well as a reasonable number of back-up copies. 
  34. The Software contains W. Johnson & Associates Inc. copyrighted material, trade secrets and 
  35. other proprietary material. Licensee must reproduce the W. Johnson & Associates Inc. copyright 
  36. notice and any other proprietary notices found on the original software on all copies of the 
  37. software. Licensee shall not, without prior written permission from W. Johnson & Associates 
  38. Inc., permit anyone else, to decompile, reverse engineer, disassemble or otherwise reduce the 
  39. software to another form, or to rent, lease, modify, network, distribute, loan, or create 
  40. derivative works based on the software or its documentation in whole or in part. Any and all 
  41. information obtained during such unlawful reverse engineering and / or decompiling activities, 
  42. including but not limited to, the organization, logic, algorithms and processes of the software, 
  43. shall be deemed to be confidential and proprietary information of W. Johnson & Associates Inc. 
  44. Licensee shall not make copies of any documentation accompanying the software without prior 
  45. written permission of W. Johnson & Associates Inc.

  47. If Licensee receives the first copy of the software electronically, and a second copy on media, 
  48. the second copy may be used for backup and archive purposes only. This License does not grant 
  49. Licensee any right to receive enhancements or updates to the software or accompanying 
  50. documentation. Enhancements and updates, if available, may be obtained by Licensee at W. 
  51. Johnson & Associates Inc. then current standard pricing, terms, and conditions. Title, 
  52. ownership rights, and intellectual property rights to content accessed through the software is 
  53. the property of the applicable content owner and may be protected by applicable copyright or 
  54. other law. This License gives Licensee no rights to such content. W. Johnson & Associates Inc. 
  55. may furnish the software and on line help to Licensee electronically or on media in machine 
  56. readable object code form.

  58. With regard to the registered version. One registered copy of J.I.M. may either be used by a 
  59. single person who uses the software personally on one or more computers, or installed on a 
  60. single workstation used nonsimultaneously by multiple people, but not both. You may access the 
  61. registered version of J.I.M. through a network, provided that you have obtained individual 
  62. licenses for the software covering all workstations that will access the software through the 
  63. network. For instance, if eight different workstations will access J.I.M. on the network, each 
  64. workstation must have its own license, regardless of whether they use J.I.M. at different times 
  65. or concurrently.

  67. Technical Support:
  68.  
  69. Technical support is not provided by W. Johnson & Associates Inc. for this product. Technical 
  70. support may be provided by the Service Provider distributing the product at Service Providers 
  71. option. W. Johnson & Associates Inc. may, at its discretion, provide updates to the software. 
  72. Upgrades to the software and its documentation, if any, are not included and may be sold 
  73. separately.

  75. Disclaimer of Warranty:

  77. Licensee acknowledges and agrees that the use of the software and all accompanying 
  78. documentation is at Licensees sole risk. The software and documentation are provided "AS IS" 
  79. and without warranty of any kind. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, 
  80. THE STATED WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, WRITTEN OR ORAL, STATUTORY, 
  81. EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION THERETO, THE WARRANTY OF MERCHANTABILITY, 
  82. THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. W. Johnson & Associates 
  83. Inc. DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET LICENSEES 
  84. REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE FREE OF ERRORS. W. Johnson & 
  85. Associates Inc. SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE 
  86. OR FOR ANY REASON, OR FOR COMMERCIAL LOSSES OF ANY CAUSE, WHETHER OR NOT W. Johnson & 
  87. Associates Inc. HAS RECEIVED NOTICE OF THE POSSIBILITY OR CERTAINTY OF SUCH DAMAGES OR LOSSES. 
  88. CONSEQUENTIAL DAMAGES INCLUDE ANY LOSS OF INFORMATION, DAMAGE TO COMPUTER OR MONITOR, LOSS OF

  91. Limitation of Liability:

  93. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES, INCLUDING 
  94. NEGLIGENCE, SHALL W. Johnson & Associates Inc. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS 
  95. BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS 
  96. OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE) 
  97. ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR ITS DOCUMENTATION, EVEN IF W. 
  98. Johnson & Associates Inc. OR ITS AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY 
  99. OF SUCH DAMAGES. In no event shall W. Johnson & Associates Inc. total liability to Licensee for 
  100. all damages, losses, and causes of action (whether in contract, tort, including negligence, or 
  101. otherwise) exceed the amount paid by Licensee for the software and its documentation.

  103. No Waiver or Assignment:

  105. This License may not be assigned, sublicensed or otherwise transferred by the Licensee, by 
  106. operation of law or otherwise, without W. Johnson & Associates Inc. prior written consent.
  107.  
  108. U.S. Government Restricted Rights:
  109.  
  110. The software and its documentation are provided with RESTRICTED RIGHTS. Use, duplication, or 
  111. disclosure by the Government is subject to restriction as set forth in subparagraph (c)(1)(ii) 
  112. of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or 
  113. subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 
  114. 52.227-19, as  applicable. Contractor/manufacturer is W. Johnson & Associates Inc., Twelve Horne 
  115. St., Saint Charles, Illinois 60174.

  117. Export Controls:
  118.  
  119. Licensee may not download or export the software or its technology except in full compliance 
  120. with all United States regulations and laws. The software or technology may not be downloaded 
  121. or exported to a national or resident from Cuba, Haiti, Iran, Iraq, Libya, North Korea, Syria, 
  122. Yugoslavia, or any other country subject to a United States embargo. 
  123.  
  124. Termination:
  125.  
  126. This agreement may be terminated immediately by either party in the event of default by the 
  127. other party. If this Agreement is terminated, Licensee will immediately discontinue use of the 
  128. software and shall return all copies of the software and its documentation to W. Johnson & 
  129. Associates Inc. within fourteen (14) days. Licensee may also terminate this Agreement at any 
  130. time by destroying all copies of the software and its documentation.
  131.  
  132. General:
  133.  
  134. This Agreement represents the only statement of the terms relative to this license between the 
  135. parties and supersedes any previous agreements or representations. This Agreement may only be 
  136. amended in writing, and must be executed by both parties. W. Johnson & Associates Inc. IS NOT 
  137. BOUND BY ANY PROVISION OF ANY PURCHASE ORDER, RECEIPT, ACCEPTANCE, CONFIRMATION, CORRESPONDENCE, 
  138. OR OTHERWISE UNLESS W. Johnson & Associates Inc. SPECIFICALLY AGREES TO THE PROVISION IN WRITING. 
  139. If any section of this Agreement is held to be unenforceable for any reason, the section shall be 
  140. reformed only to the extent necessary to make it enforceable. This Agreement shall be governed by 
  141. United States and Illinois law.
