  1. ELECTRONIC END USER AGREEMENT

  4. Goldfish Software End User Agreement
  5.  
  6. NOTE:
  7. THIS IS A CONTRACT BETWEEN THE BUYER OF THIS PRODUCT ('User')
  8. AND THE COMPANY 'GOLDFISH SOFTWARE' ('Goldfish Sofware')
  9. SITUATED IN ST.GALLEN, SWITZERLAND.
  10. IF YOU CLICK ON THE 'YES' BUTTON BELOW, YOU WILL CONFIRM THAT
  11. YOU HAVE READ AND AGREE WITH THIS CONTRACT'S TERMS AND CONDITIONS.

  13. With this end user license agreement of comes a software product
  14. and documentation pertaining thereto ('software'). The term
  15. 'software' includes all extended, upgraded or changed versions
  16. of the software, for which Goldfish Software has granted
  17. you a license. Please read this agreement carefully.

  19. Goldfish Software grants you a license (not exclusive) for
  20. usage of the software if you agree to the following terms:

  23. 1. Usage of Software.
  24.    You may install the software on a single computer on a harddisk
  25.    drive or other media, or set it up on a network fileserver in order to
  26.    distribute it more easily to clients in the network. YOU NEED A LICENSE
  27.    FOR EACH CLIENT THAT USES THIS SOFTWARE, IF THE SOFTWARE
  28.    USED IS A FULL VERSION!

  30.   1.1 If the software is shareware:
  31.       You may make an unlimited nr of copies of the software and distribute
  32.       them freely as long as those copies contain the same copyright information
  33.       and other notices as the original.

  35.   1.2 If the software is a full (i.e. REGISTERED) version or has been
  36.       upgraded to a full version:
  37.       You may make one copy of the software for security reasons. This copy
  38.       may not be distributed to other persons or computers. This copy may
  39.       not be changed, taken apart, reassembled or rearranged in any way.
  40.       You must keep the software in such a manner that third persons will
  41.       not be able to make unrightful copies of it.

  43. 2. Copyright.
  44.    This software is the mental property of Goldfish Software.
  45.    It is protected by national and international copyright law,
  46.    the copyright laws of the country it is being used in
  47.    and international treaties for the protection of copyright.
  48.    Its structure and code are industry secrets of Goldfish
  49.    Software. You as the buyer agree not to change or modify,
  50.    disassemble or decompile the software to optain its source
  51.    code. Trademarks are to be used in accordance with the guidelines
  52.    set forth in the various international agreements on this matter,
  53.    including the mentioning of the trademark owner's name. This
  54.    license does not give you any of the software's mental property
  55.    rights.

  57. 3. Resale.
  58.    You may not lend or lease out the software, and you may not give out
  59.    any kind of sublicense for its usage. You may, however, transfer all
  60.    rights granted to you by this agreement to another person, provided
  61.    that you transfer this license along with the software. You may not
  62.    continue to use this software upon completion of the transfer.

  64. 4. Disclaimer.
  65.    This software has been thouroughly tested. It is, however, the nature
  66.    of software not be completely free of bugs at any time.
  67.    Goldfish Software does NOT give out any guarantees as to this software's
  68.    faultless workings or its usability under any kind of circumstances.
  69.    GOLDFISH SOFTWARE DOES NOT MAKE ANY KIND OF STATEMENT - EXPLICIT
  70.    OR IMPLICIT - REGARDING UNINTENDED VIOLATION OF THIRD PARTIES'
  71.    RIGHTS OR THE SOFTWARE'S SUITABILITY FOR A PARTICULAR PURPOSE.
  72.    GOLDFISH SOFTWARE WILL UNDER NO CIRCUMSTANCES BE HELD LIABLE
  73.    FOR DAMAGES RESULTING FROM THE USAGE OF THE SOFTWARE INCLUDING
  74.    LOST PROFITS OR WORK.

  76.    The above paragraph does in no way diminish your rights granted to you
  77.    by law.

  79. 5. Applicable law and general terms.
  80.    This agreement is subject to the laws of the country of the
  81.    European Union (or Switzerland & Finnlan) you reside in at
  82.    the time of optaining this license. If you reside outside
  83.    the circle of these countries, Swiss law is applicable
  84.    (exept in the case of a conflict with local laws).
  85.    This agreement is NOT subject to one of the following treaties: 
  86.    Article 6:254 of Dutch Civil Law, The United Nations Convention
  87.    on Contracts for the International Sale of Goods, the Uniform
  88.    Law on the Formation of Agreements for the International Sale of Goods 
  89.    or the Uniform Law on the International Sale of Goods incl. all laws
  90.    based on above treaties.
  91.    If a part of this agreement should prove to be void or invalid, this
  92.    will not influence the validity of any and all other parts.
  93.    This agreement will end automatically if the terms therein are not
  94.    kept. Changes to this license agreement need to be validated by
  95.    the written permission of a Goldfish Software representative.
