  1. NOVELL AND UNIX SYSTEM LABORATORIES SIGN MEMORANDUM OF UNDERSTANDING

  3. PROVO, Utah, and SUMMIT, N.J. Oct. 15, 1991

  5. Novell, Inc., developer of NetWare systems software, and UNIX System 
  6. Laboratories (USL), Inc., developer of the UNIX System V operating system,
  7. today announced the signing of a memorandum of understanding on October 8,
  8. 1991, calling for a joint venture to be formed to develop and market
  9. products and services to enhance NetWare and UNIX System V Release 4
  10. interoperability in response to customer demand.

  12. According to the memorandum, the two companies have agreed to make
  13. available sales, marketing and distribution resources for the joint
  14. venture's products.  Novell and USL will fund and staff the new company at
  15. a sufficient level to provide for a rapid introduction of its initial
  16. products to market.

  18. The two companies are proceeding with negotiation of a definitive agreement
  19. and anticipate that the execution of the agreement will be reached within
  20. two months of the signing of the memorandum. The agreement is subject to
  21. the approval of both companies' Boards of Directors UNIX System
  22. Laboratories, Inc., headquartered in Summit, N.J. develops and markets the
  23. UNIX System V operating system  and other Open Systems software, including
  24. the TUXEDO, Transaction Processing System, Open Networking Platform OSI
  25. technology, and the C++ Programming Language System, to the worldwide
  26. computer industry.

  29. that manage and control the sharing of data across a variety of network
  30. computing environments, including computer workgroups, departmental
  31. networks and business-wide information systems.
