  3.         OVERVIEW OF LICENSING TERMS FOR GENERAL MIDI TIMBRES

  6.         The file entitled FATV10.BNK, and it's derivative OPL2.BNK,
  7.         contain the information that defines General MIDI timbres
  8.         (piano sound, trumpet sound, etc.) for the Yamaha chip in your
  9.         sound card. All timbres in both FATV10.BNK and OPL2.BNK are
  10.         Copyright (c) 1993, The Fat Man, and administered by Fat Labs,
  11.         Inc. You may use these timbres in your product provided that
  12.         you:
  13.  
  14.         1) Send $1 per product that contains the timbres (not $1 per
  15.            box shipped, but a one-time, nominal charge to make our
  16.            contract binding),
  17.  
  18.         2) put our credit on the screen when sound drivers load and in
  19.            your paper documentation,
  20.  
  21.         3) send us a copy of your finished product, and
  22.  
  23.         4) be sure that all software that is distributed by you and
  24.            that contains the timbres (FATV10.BNK and OPL2.BNK) also
  25.            contains this notice and our contract (README3.TXT and
  26.            GENMID-V.TXT) in software and paper documentation. This is
  27.            meant to cover products such as SDK's and OEM drivers that
  28.            will encourage the incorporation of FATV10.BNK and OPL2.BNK
  29.            into other products. End products, such as games, that do
  30.            not invidte further distribution of FATV10.BNK and OPL2.BNK
  31.            need not include the .TXT files.

  36.         were produced by The Fat Man(tm) and developed by K. Weston Phelan
  37.         and George Alistair Sanger. Copyright (c) 1993, The Fat Man(tm)

  39.         Please read the contract (attached file GENMID-V.TXT), sign it
  40.         and send one per title with your check to:

  58.         MASTER LEASE LICENSE FOR COMPUTER GAME USE

  60.         This agreement will serve to mutually set forth the terms of
  61.         licensing and consideration so that _________________________
  62.         (Company Name)(the Licensee), can have non-exclusive use of
  63.         the tones created by the Fat Man (the Licensor) in the bank
  64.         files called ______________________ (the Libraries)(All libraries
  65.         Copyright 1993, The Fat Man), for use in the product(s) entitled
  66.         __________________________ (the Product).

  68.         1.  The Licensor hereby grants the Licensee the non-exclusive
  69.         right to use in the product.

  71.         2.  This License is granted in perpetuity for the entire
  72.         world.

  74.         3.  In consideration the Licensee will pay a fee of $1 (per
  75.         product if more than one product is covered by this license)
  76.         payable upon signing this agreement and agrees to encode the
  77.         Product with the words "General MIDI timbres for Yamaha OPL-2
  78.         and OPL-3 based sound cards were produced by The Fat Man(tm)
  79.         and developed by K. Weston Phelan and George Alistair Sanger.
  80.         Copyright (c) 1993, The Fat Man(tm)"  which will appear on
  81.         screen at the time that the sound driver is loaded into memory.
  82.         Attendant packaging and paper documentation will also contain
  83.         the credit.

  85.         4.  Within 30 days of its shipping date, The Licensee agrees
  86.         to provide Licensor with a copy of the Product.
  87.  
  88.         5.  All software distributed by Licensee and that contains the
  89.         timbres (FATV10.BNK) must contain this contract and the overview
  90.         of licensing terms (GENMID-V.TXT and README3.TXT) in software
  91.         and in paper documentation. End products such as games that do
  92.         not invite further distribution of FATV10.BNK need not include
  93.         the .TXT files.
  94.  
  95.         6.  This agreement shall be construed only under the laws of
  96.         the United States Of America and the State of Texas.  If any
  97.         part of this agreement shall be invalid or unenforceable it
  98.         shall not affect the validity of the balance of this agreement.

  100.         7.  This document constitutes the entire agreement between
  101.         the Licensor and the Licensee and supersedes any prior
  102.         understandings or written or oral agreements between the
  103.         parties.
