  5.                               CLACOM LICENSE AGREEMENT
  6.                               ------------------------

  8.           This legal  document is  an agreement  between you, the end user,
  9.           and GAP  Development Company.    By  using  the  CLACOM  software
  10.           (the "SOFTWARE") provided  by GAP  Development Company, you agree
  11.           to become  bound by  the terms  of this agreement, which includes
  12.           the software license and the disclaimer of warranty.
  13.  
  14.           This agreement constitutes the complete agreement between you and
  15.           GAP Development  Company.   If you  do not  agree to the terms of
  16.           this agreement,  promptly return  the disks  and other items that
  17.           are part of this product.
  18.  
  19.           The SOFTWARE  may not  be copied,  reproduced, disclosed,  trans-
  20.           ferred, or  reduced to  any form,  including electronic medium or
  21.           machine readable  form, or  transmitted or  publicly performed by
  22.           any  means,  electronic  or  otherwise,  unless  GAP  Development
  23.           Company consents in writing, in advance.

  25.           The SOFTWARE  contains valuable  trade  secrets  and  proprietary
  26.           information and  is protected by federal copyright laws. Unautho-
  27.           rized use  of the  software  can  result  in  civil  damages  and
  28.           criminal prosecution.
  29.  
  30.           You may  use the  SOFTWARE on a single computer only. You may not
  31.           network the  SOFTWARE or  otherwise  use  it  on  more  than  one
  32.           computer or terminal at the same time.
  33.  
  34.           YOU MAY  NOT COPY  the SOFTWARE except to place the programs onto
  35.           your hard  disk and  to make  archival backup  copies onto floppy
  36.           disks for your personal use as permitted by this License. You may
  37.           not copy the written materials accompanying the software. You may
  38.           not grant  sublicenses  nor  transfer  the  SOFTWARE  or  related
  39.           materials in  any form  to  any  person  unless  GAP  Development
  40.           Company consents in writing, in advance.

  42.           Registration of the SOFTWARE is REQUIRED as a condition of use.

  44.           You are  granted a  royalty-free right  to distribute  executable
  45.           files created using the SOFTWARE.  You may not, under any circum-
  46.           stances distribute  any part of the SOFTWARE with your executable
  47.           files.
  48.  
  49.           If you  purchased the  SOFTWARE SOURCE  CODE, you  are granted  a
  50.           nonexclusive, personal, nontransferable, nonassignable license to
  51.           use and  modify the  SOURCE CODE and to distribute your programs.
  52.           You may  not reproduce  or distribute  the SOURCE  CODE except in
  53.           executable  form   as  part  of  your  executable  file.  If  you
  54.           distribute your  source code,  you may  not include  the SOFTWARE
  55.           SOURCE CODE as part of your product.

  57.           This License  is effective  until terminated.  This License  will
  58.           terminate automatically  if you fail to comply with any provision
  59.           of this License.

  62.           Any Demo Programs or Example Files that are distributed as a part
  63.           of CLACOM  are the  property of  GAP Development  Company and GAP
  64.           Development Company  reserves the  right to  use any  source code
  65.           that is provided with these Demo Programs or Example Files in its
  66.           own programs  and such  use will NOT infringe upon any Copyrights
  67.           or TradeMarks  you may  place upon  your programs  that  use  the
  68.           CLACOM Library, the Demo Programs, or Example Files.

  70.           The GTERM  (Terminal Emulation)  Program that  is  supplied  with
  71.           CLACOM is  the exclusive  property of GAP Development Company. It
  72.           may not, under ANY circumstances be marketed "as is" by any other
  73.           individual or company without express written permission from GAP
  74.           Development Company.
  75.  
  76.           Government End  Users: If CLACOM is acquired by or on behalf of a
  77.           unit or  agency of  the United  States Government, this provision
  78.           applies. This GAP Development Software:
  79.  
  80.           a)  was  developed  at  private  expense,  is  existing  computer
  81.               software, and  no part  of it  was developed  with government
  82.               funds,
  83.           b)  is a trade secret of GAP Development Company for all purposes
  84.               of the Freedom of Information Act,
  85.           c)  is "restricted  computer software"  submitted with restricted
  86.               rights in  accordance with  sub-paragraphs (a) through (d) of
  87.               the Commercial  Computer Software  - Restricted Rights clause
  88.               at 52.227-19 and its successors,
  89.           d)  in all  respects is  proprietary data belonging solely to GAP
  90.               Development Company,
  91.           e)  is  unpublished   and  all  rights  are  reserved  under  the
  92.               copyright laws of the United States.

  95.           SUMMARY OF LIMITED WARRANTY:

  97.           In summary, the SOFTWARE is licensed AS IS.  THERE ARE NO WARRAN-
  98.           TEES, EXPRESS  OR IMPLIED,  INCLUDING  BUT  NOT  LIMITED  TO  THE
  99.           IMPLIED  WARRANTIES   OF  MERCHANTABILITY   AND  FITNESS   FOR  A
  100.           PARTICULAR PURPOSE,  AND ALL  SUCH WARRANTIES  ARE EXPRESSLY  AND
  101.           SPECIFICALLY DISCLAIMED.   IN NO EVENT SHALL GAP DEVELOPMENT COM-
  102.           PANY BE  RESPONSIBLE FOR  ANY INDIRECT,  SPECIAL,  INCIDENTAL  OR
  103.           CONSEQUENTIAL DAMAGES  OR LOST PROFITS TO YOU OR ANY OTHER PERSON
  104.           OR ENTITY  REGARDLESS OF  THE LEGAL  THEORY, EVEN IF WE HAVE BEEN
  105.           ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  107.           No dealer,  company or  person is  authorized to  expand or alter
  108.           either these  warranties or  this agreement; any such representa-
  109.           tion will not bind GAP Development Company.

  112.                               REGISTRATION INFORMATION
  113.                               ------------------------
  114.  
  115.           CLACOM is  a professional  Communications Library for programmers
  116.           using  the  Clarion  Database  Developer.  It  supports  standard
  117.           Communications Ports  as well as the DigiBoard Intelligent serial
  118.           cards. Internal File Transfer Protocols include all variations of
  119.           Xmodem and Ymodem as well as the popular Zmodem protocol.
  120.  
  121.           CLACOM is  a user-supported  program, also  known as 'shareware'.
  122.           Shareware is a means by which users may 'test-drive' software be-
  123.           fore purchasing.   Generally,  it allows the user to evaluate the
  124.           software for  a period  of 30  days.  After the evaluation period
  125.           the user must either register the product or cease using it.
  126.  
  127.           The shareware  version of  CLACOM is  identical to the registered
  128.           version with  the exception  that it  does not include the Zmodem
  129.           Protocol  or the  Protected Mode  Libraries.  In addition  to the
  130.           Zmodem Module and the Protected Mode Libraries,  a Printed Manual
  131.           and technical support are included with the registered version.

  133.           You are  permitted under the terms of the above License Agreement
  134.           to use  CLACOM for  a period  of 30  days without payment. If you
  135.           continue to  use the  product past  the 30 day evaluation period,
  136.           you must register your copy as described below.
  137.  
  138.           Commercial use  of this  software absolutely requires a registra-
  139.           tion within the 30 day period.  Commercial use includes any soft-
  140.           ware written or distributed by you or your company which utilizes
  141.           CLACOM and  which you charge any sum of money for the use of your
  142.           software.  This   includes  shareware   registration,  donations,
  143.           registration fees,  bartering, or any method you use or devise to
  144.           solicit funds from the users of your software.
  145.  
  146.           Commercial use  also includes bundling CLACOM with other software
  147.           even if  that other  software does  not utilize any of the CLACOM
  148.           functions. This  type of  commercial use  is strictly  prohibited
  149.           unless GAP Development Company consents, in writing, to such use.
  150.  
  151.           Registration of  CLACOM is  a one time fee of $179.00. Payment of
  152.           this fee  entitles you to one year of free upgrades, product sup-
  153.           port, the  right to use CLACOM in any executable program you sell
  154.           or distribute,  and a good conscience. You will receive a Printed
  155.           Manual, the Zmodem module, and the latest version of the library.
